一、定义与解释 1.1 “项目”系指双方拟共同开发/制作/发行的[视听作品/综艺节目/影视剧/相关衍生项目],包括其前期开发资料、脚本/节目格式、试播集、样片、宣传素材及其全部迭代版本与衍生内容。 1.2 “开发成果”系指在本意向书有效期内由任何一方或双方共同产生的与项目相关的创意表达、策划案、文本、角色设定、选角方案、试制品、提案、样片、视觉设计、音乐样段、节目流程及其载体。 1.3 “净收益”指项目从全部授权渠道取得的可分配收入扣除与项目直接且必要的、经双方书面确认的成本、税费、第三方分成、金融费用、发行宣传费用及经审计确认的合理开支后的余额;净收益的构成、审计与分配以正式协议约定为准。 1.4 “机密信息”指一方以书面、口头或其他方式向另一方披露的与项目或各自主体经营有关的任何非公开信息,包括但不限于艺人名单、档期、报酬、合同文本、财务数据、技术资料、商业计划、未公开项目、谈判信息及本意向书内容。
二、合作目标与范围(非约束性) 2.1 合作目标:双方拟就项目进行联合开发与商业化合作,探索包括但不限于联合制作、艺人包装、品牌合作、广告植入、版权授权、海外发行与衍生品开发等模式。 2.2 初步分工:
三、知识产权与权利归属(阶段性安排) 3.1 原始权利与链条清晰:各方声明就其提供或引入之素材、艺人服务与第三方权利具备相应之授权或处置权,并承诺配合提供必要的权属证明及权利清单,确保权利链条可审计、可追溯并符合相关法律法规与行业规范。 3.2 视听作品权属原则:依据现行著作权法律及相关行政法规关于视听作品权利归属与单独使用的规定,项目形成完整之视听作品后,作品整体之财产权利归属由双方在正式协议中明确约定;参与创作人员依法享有署名权及其他人身权利;如需对脚本/音乐等可单独使用之作品进行独立开发或二次利用,应另行取得相应权利人许可。 3.3 开发成果阶段性处理:在本意向书有效期内形成之开发成果,除非双方另有书面约定或形成正式协议,均归双方共有,仅得用于双方共同推进的项目;任一方不得单方对外授权、转让或用于与项目竞争的第三方项目。若双方未能进入正式合作,开发成果之使用以第7.5条约定执行。 3.4 表演者权利与肖像/姓名权:涉及艺人之表演者权、肖像权、姓名权、声音权等,将由甲方协助取得艺人或其有权主体的授权,并在正式协议与艺人单独协议中明确用途、字段、地域、期限、版本、二次改编与商业化范围。尊重演职人员依法享有的人身权,不得进行歪曲、篡改或以有损名誉之方式使用。 3.5 节目格式与商业秘密:节目格式、流程设计、提案与未公开样片在正式协议签署前均为商业秘密;任何一方不得据此仿制或变相仿制近似格式供第三方使用。
四、合规与监管(原则性约定) 4.1 监管许可:乙方应确保制作主体资质有效,按项目类型依法办理项目备案/立项、剧本审查、拍摄许可证、发行许可证/上线备案、广电总局及相关主管部门要求的内容审查与公示等;网络视听节目遵循相关平台规范与行政管理要求。 4.2 广告与品牌合规:品牌合作、广告植入、赞助、宣发物料制作与投放须符合广告相关法律法规、平台及播出机构标准,并进行必要的显著标识、声明与报备。 4.3 劳动用工与安全:拍摄现场遵守安全生产、未成年人保护、工作时长与休息安排、特殊高危场景安全评估与保险要求;演职人员依法享有合理报酬与安全保障。 4.4 数据与隐私:各方对艺人、观众或用户的个人信息处理须遵循个人信息保护与数据安全相关法律法规,进行合法、正当、必要的最小化收集与跨境传输合规安排。 4.5 内容合规:项目内容应符合公序良俗与内容审查标准,不得含有法律法规禁止的内容,必要时进行法律与合规评估。
五、独家磋商与排他(具约束力) 5.1 自本意向书生效之日起[60/90]日内(“排他期”),双方就本项目相互授予独家谈判权,不与任何第三方就与项目实质相同或具有直接竞争关系的事项进行实质性接触、谈判或签署任何协议;确需与第三方接洽的,应事先取得对方书面同意。 5.2 双方应本着诚实信用原则积极推进尽职调查、条款清单与正式协议的磋商与签署。任何一方如存在以虚假信息、恶意拖延、无正当理由中止谈判等情形,构成对谈判阶段义务的违反,应依法承担相应的先合同责任。
六、费用、开发经费与审计(阶段性安排) 6.1 各自费用:除另有书面约定外,各方承担各自主体在本意向书项下之尽调、差旅、法律与财务顾问等费用。 6.2 开发经费(如适用):如为推进项目需要由任一方先行垫付开发经费,双方应以附件或补充条款明确金额、用途、凭证、可退/不可退性质、触发退回或转为项目成本之条件、所有权归属及票据与税务处理。 6.3 审计权:为核验成本与净收益计算,双方在正式协议中将约定相互合理审计权、留存与查验义务及争议解决之独立审计机制。
七、期限、终止与开发成果处置 7.1 有效期:本意向书自双方签署之日起生效,有效期至:(i)双方签署正式合作协议之日;或(ii)自签署之日起满[90/120]日之日;或(iii)任一方依据本意向书约定通知终止之日,以先发生者为准。 7.2 终止:在不违反第5条排他及第8条保密之前提下,任一方可基于商业判断以书面通知解除本意向书;但不得借此规避诚实信用义务或侵害对方信赖利益。 7.3 存续条款:第5条(独家磋商与排他)、第8条(保密)、第9条(适用法律与争议解决)、第10条(合规与反腐)、第11条(其他)在本意向书终止或失效后继续有效[2]年,法律另有强制性规定或双方另有约定的除外。 7.4 融资与条件成就:任一方未能在约定期限内落实必要融资、关键艺人档期、核心主创到位或监管许可,不视为违约,但应及时通知对方并提出可行替代方案。 7.5 开发成果处置:若双方未进入正式合作:(i)共同开发成果在不含对方机密信息的前提下,未经对方书面同意不得擅自对外使用或授权;(ii)由一方单独形成且未使用对方机密信息的成果,归该方所有,但不得用于与本项目实质相同或近似的竞争项目,期限为[12]个月;(iii)涉及第三方权利的,依权利清理文件执行。
八、保密(具约束力) 8.1 双方对机密信息负有严格保密义务,不得向任何第三方披露或用于与本意向书无关之目的,法律法规或有权机关要求披露的除外,但应在可行范围内事先通知对方并仅在必要范围内披露。 8.2 机密信息包括但不限于艺人报酬与合同条款、商业模式、投融资方案及谈判文本;对泄密方因违反保密义务导致的直接损失与可得利益损失,守约方有权依法主张救济,包括但不限于停止侵害、删除信息、损害赔偿与必要的临时禁令/行为保全。 8.3 本条义务不因本意向书终止而失效,存续期为最后一次合法披露之日起[3]年或双方另行约定之更长期限。
九、适用法律与争议解决(具约束力) 9.1 适用法律:本意向书之订立、效力、解释、履行及争议解决受中华人民共和国法律(为本条之目的,不含港澳台地区法律)管辖。 9.2 争议解决:凡因本意向书引起或与之相关之任何争议,双方应先行友好协商,协商不成的,提交[北京仲裁委员会/中国国际经济贸易仲裁委员会]按其现行仲裁规则在[北京]进行仲裁。仲裁裁决为终局,对双方均有约束力。为保全机密或防止不可弥补之损害,任一方可向有管辖权的人民法院申请行为保全或临时禁令。 9.3 语言:仲裁与文件以中文进行。
十、合规与反腐(具约束力) 10.1 双方承诺严格遵守适用的反商业贿赂、反不正当竞争、反洗钱及制裁出口管制等法律法规,禁止任何形式的贿赂、回扣或利益输送。 10.2 如任一方或其关联方、员工、受托代理人在本意向书相关事项中存在违反上述合规义务之行为,另一方有权立即终止本意向书并依法主张损害赔偿与名誉救济。
十一、陈述与保证;权力与授权 11.1 各方陈述与保证其为依据其注册地法律合法存续之主体,具有签署与履行本意向书所需之权力与授权;签署本意向书不违反其公司章程、对外合同或任何对其有约束力的法律文书。 11.2 各方承诺将促使其关联公司、雇员、顾问、受托代理人及所引入之第三方遵守本意向书项下义务。 11.3 甲方就艺人经纪资格合规性与授权链条作出善意义务保证;乙方就制作资质、项目备案及发行平台合作主体资质作出善意义务保证;具体保证与违约责任以正式协议明确。
十二、非约束性与排他条款的界定 12.1 本意向书旨在为双方进一步谈判提供框架与原则,除第5条(独家磋商与排他)、第8条(保密)、第9条(适用法律与争议解决)、第10条(合规与反腐)、第11条(陈述与保证;仅限权力与授权条款)及第13条(通知)、第14条(其他)外,其余条款均为双方当前之意向性安排,不构成对双方订立或履行任何特定交易之法律约束。 12.2 双方确认,尚未就项目的关键商业条款与完整法律文件达成一致之前,任何一方均无义务推进或完成该项目,亦不承担因未达成正式协议而产生的缔约过失责任,但一方存在违反诚实信用原则或本意向书之具约束力条款的情形除外。
十三、通知(具约束力) 13.1 本意向书项下之任何通知、同意或要求,均应以书面形式通过专人送达、挂号信、快递或发送至预留的公司邮箱进行,以送达之日或系统显示成功送达之日为到达时间。双方联络人与通讯信息详见本意向书首页或附件。 13.2 任一方联络信息变更,应及时书面通知对方,否则由此造成的不利后果由未通知方承担。
十四、其他(具约束力) 14.1 不构成合伙或合营:本意向书不构成双方之间之合伙、合营、雇佣或代理关系。任何一方不得以对方名义进行陈述或承担义务。 14.2 转让限制:未经对方书面同意,任一方不得转让其在本意向书项下之权利义务,但一方可将其权利义务整体转让予其控制的关联方,惟应对该关联方的履约承担连带责任。 14.3 不可抗力:因不可抗力导致之延迟或不能履行,受影响一方不承担违约责任,但应在合理期限内通知对方并尽最大努力减轻损失。 14.4 完整协议与修订:就其所涉事项,本意向书构成双方之间的完整理解,任何修改或补充均须以双方授权代表签署的书面文件为之。 14.5 副本与电子签署:本意向书可签署两份或以上具有同等法律效力之文本,任一份均可作为证明;经双方确认的电子签名与电子印章具有与手写签名与实体印章相同之法律效力。 14.6 无弃权:任何一方对权利之延迟或未行使不构成对该权利或其他权利之弃权。
十五、后续文件 双方同意在排他期内尽最大努力完成:(i)项目条款清单(Term Sheet);(ii)联合开发/联合制作协议;(iii)艺人出演协议模板、主创服务协议及版权/邻接权授权文件;(iv)广告植入与品牌合作框架协议;(v)隐私与数据合规附件;(vi)保险与安全管理计划;并对净收益定义、审计机制、回款顺位、税务处理与跨境结算进行明确约定。

Letter of Intent for Brand Sponsorship Collaboration
This Letter of Intent (LOI) sets forth the principal terms under which the parties intend to negotiate and, if mutually agreed, enter into a definitive written agreement governing a brand sponsorship and content collaboration.
Parties and Purpose 1.1 Parties: (a) [Brand/Sponsor]: [Full legal name], a [jurisdiction and entity type], with its principal place of business at [address] (Brand). (b) [Sponsorship Lead/Representative]: [Full legal name and role], authorized to act on behalf of Brand (Sponsorship Lead). (c) [Content Creation Team]: [Full legal name(s) and entity type(s) of creator/agency/production company], with its principal place of business at [address] (Content Team). 1.2 Purpose: The parties intend to collaborate on the ideation, production, publication, and promotion of branded content in connection with Brand’s [campaign/product/service] (the Project), subject to compliance with applicable advertising, consumer protection, intellectual property, and data protection laws and regulations.
Scope of Collaboration; Deliverables 2.1 Deliverables: The Content Team will develop and deliver the content as set forth in Exhibit A (Deliverables and Content Plan), including deliverable descriptions, platforms, technical specifications, talent requirements, content schedule, approval milestones, and any paid media/whitelisting needs. 2.2 Services: The Content Team will provide creative development, production, post‑production, talent sourcing and management, and delivery services consistent with industry standards, Brand’s written guidelines, and the requirements of this LOI. 2.3 Approvals: Brand shall have the right to review and approve concept boards, scripts, rough cuts, and final assets within the timeframes specified in Exhibit A. Failure to respond within the specified period may be deemed approval solely for production scheduling purposes, but no content shall be published without express written approval by Brand. 2.4 Brand Guidelines: The Content Team shall comply with Brand’s written guidelines, including brand safety, voice and tone, legal disclaimers, product claims substantiation, and platform-specific requirements.
Compensation; Payment; Expenses 3.1 Fees: Fees, currency, and payment schedule are specified in Exhibit B (Compensation). Unless otherwise stated, fees are exclusive of applicable taxes. 3.2 Milestones and Holdbacks: Payments shall be tied to mutually agreed milestones. Brand may withhold a reasonable portion (not to exceed [10–20]%) until final delivery and approval of all Deliverables. 3.3 Expenses: Pre‑approved, documented out-of-pocket expenses shall be reimbursed at cost without markup. No unapproved expenses are reimbursable. 3.4 Invoices; Taxes: Invoices shall be issued in accordance with Exhibit B. Each party is responsible for its own taxes, except that Brand shall remit any legally required withholding and provide documentation thereof.
Exclusivity; Non‑Compete 4.1 Category Exclusivity: During the Campaign Term and any Exclusivity Tail specified in Exhibit A, the Content Team and any identified on‑camera talent shall not endorse, promote, or feature competing products/services within the Category and Territory defined in Exhibit A. 4.2 Carve‑Outs: Exceptions must be expressly approved in writing by Brand.
Intellectual Property; Licenses 5.1 Background IP: Each party retains all right, title, and interest in its pre‑existing intellectual property (Background IP). No rights are granted except as expressly set forth herein. 5.2 Work‑Made‑for‑Hire/Assignment: (a) Where permitted by applicable law, the parties agree the Deliverables (excluding Background IP and third‑party materials) are specially ordered or commissioned as a “work made for hire” under applicable copyright law (including 17 U.S.C. § 101 in the United States) as part of an audiovisual work, and Brand shall be deemed the author and exclusive owner. (b) To the extent any Deliverable (or portion thereof) does not qualify as a work made for hire, the Content Team hereby assigns to Brand all right, title, and interest in and to such Deliverables (excluding Background IP and third‑party materials) upon receipt of the corresponding milestone payment. 5.3 License to Background IP and Creator Likeness: The Content Team grants Brand a non‑exclusive, worldwide, royalty‑free, transferable, sublicensable license during the Usage Term specified in Exhibit A to use, reproduce, distribute, publicly perform, display, adapt, edit, and create derivative works from (i) the Content Team’s Background IP, solely as embodied in the Deliverables, and (ii) the names, images, voices, likenesses, handles, and signatures of creators and on‑camera talent as included in the Deliverables, for exploitation across the channels and media identified in Exhibit A, including organic, paid social, programmatic, CTV, and paid amplification/whitelisting. 5.4 License to Brand IP: Brand grants the Content Team a limited, non‑exclusive, non‑transferable license to use Brand’s trademarks, logos, and materials solely for creating and delivering the Deliverables during the Term, subject to Brand’s guidelines. All goodwill inures to Brand. 5.5 Third‑Party Materials; Music: The Content Team shall not incorporate third‑party materials (including music, footage, fonts, images, and UGC) unless fully cleared in writing for the intended uses, worldwide territory, and Usage Term, including necessary synchronization, master use, mechanical, and public performance rights, and moral rights waivers where applicable.
Representations; Warranties; Compliance 6.1 Mutual: Each party represents and warrants it has the full right, power, and authority to enter into and perform this LOI. 6.2 Content Team: The Content Team represents and warrants that: (a) Deliverables will be original (except for cleared third‑party materials) and will not infringe or misappropriate any third‑party rights. (b) All necessary permissions, consents, releases (including location and talent releases), and union/guild clearances (e.g., SAG‑AFTRA, ACTRA, Equity) will be obtained as applicable. (c) All factual statements and claims about Brand’s products included at Brand’s direction are supported by Brand‑provided substantiation; any statements of personal opinion or experience will be truthful and not misleading. (d) Disclosures and endorsements will comply with applicable advertising and consumer protection laws and guidance, including, as applicable: United States Federal Trade Commission Endorsement Guides (16 C.F.R. Part 255) and related staff guidance; United Kingdom ASA/CAP Code and CMA guidance on endorsements; the EU Unfair Commercial Practices Directive (2005/29/EC) and national implementations; and any platform‑specific disclosure requirements. Clear and conspicuous disclosures (e.g., “Ad,” “Sponsored,” “Paid partnership”) shall be used as required. 6.3 Brand: Brand represents and warrants that any product performance or efficacy claims it requires to be included are truthful, not misleading, and substantiated, and that Brand IP provided to the Content Team does not infringe third‑party rights.
Morals; Brand Safety; Takedown 7.1 Morals Clause: Brand may suspend or terminate the Project, in whole or in part, if the Content Team or principal talent engages in conduct that a reasonable person would consider to subject Brand to public scandal, ridicule, or contempt, materially impairing Brand’s reputation, provided Brand acts in good faith and upon written notice. 7.2 Takedown: Upon Brand’s written request for legal, regulatory, or brand safety reasons, the Content Team will promptly remove, edit, or replace Deliverables, and will cooperate with Brand to implement corrective disclosures where required by law or platform rules.
Data Protection; Measurement; DPA 8.1 Data Protection: If either party processes Personal Data (as defined by applicable law) on behalf of the other, the parties shall execute a data processing agreement compliant with applicable law (including, as applicable, Regulation (EU) 2016/679 (GDPR), the UK GDPR and Data Protection Act 2018, and the California Consumer Privacy Act as amended (CCPA/CPRA)) prior to any processing. 8.2 Ads Permissions and Whitelisting: If Brand engages in paid amplification through creator handle/permissions, the parties shall implement platform‑native permissions and ensure compliance with platform advertising policies and transparency tools. 8.3 Measurement Data: Usage analytics and campaign performance data will be shared as specified in Exhibit C (Measurement and Reporting). Each party will implement reasonable security controls.
Insurance The Content Team shall maintain during the Term and for [12] months thereafter: (a) commercial general liability insurance with limits of not less than [USD 1,000,000] per occurrence; and (b) if reasonably available, errors and omissions/media liability insurance with limits of not less than [USD 1,000,000], each with reputable insurers, naming Brand as an additional insured where customary, and providing certificates of insurance upon request.
Indemnification; Limitation of Liability 10.1 Indemnities: Each party shall indemnify, defend, and hold harmless the other party and its affiliates, and their respective officers, directors, employees, and agents from and against third‑party claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from (a) breach of its representations, warranties, or obligations; (b) infringement or misappropriation of third‑party rights caused by materials it provides; or (c) gross negligence or willful misconduct. 10.2 Limitation: Except for indemnity obligations, breaches of confidentiality, data protection violations, or infringement of IP, neither party shall be liable for indirect, incidental, consequential, special, punitive, or exemplary damages. Aggregate liability of each party shall not exceed the total fees paid or payable under Exhibit B, except in cases of fraud, willful misconduct, or amounts payable to third parties under indemnity claims.
Term; Termination 11.1 Term: This LOI is effective as of the last signature date and continues until the earlier of (a) execution of a definitive agreement; (b) completion of the Project; or (c) termination under this Section. 11.2 Termination for Convenience: Either party may terminate this LOI upon [10–15] days’ written notice if the parties do not execute a definitive agreement by [date], provided that accrued payment obligations survive. 11.3 Termination for Cause: Either party may terminate immediately upon material breach by the other party that remains uncured for [10] days after written notice. 11.4 Effect: Upon termination, the Content Team shall (a) deliver all in‑progress materials for which Brand has paid; (b) refund any prepaid amounts for undelivered services on a pro‑rata basis; and (c) cease use of Brand IP. Brand shall pay for conforming Deliverables accepted prior to termination. Usage rights and ownership with respect to accepted Deliverables remain as granted.
Confidentiality; Publicity 12.1 Confidential Information: Non‑public information disclosed by one party to the other, whether oral, written, or electronic, and marked or reasonably understood as confidential, shall be kept confidential, used solely to perform this LOI, and disclosed only to personnel and advisors with a need to know and subject to obligations of confidence. 12.2 Exceptions: Information that is or becomes public through no breach, was independently developed, or was rightfully obtained from a third party without restriction is not confidential. 12.3 Public Announcements: No public announcements, press releases, or use of the other party’s name or logo shall be made without prior written consent, except as required by law.
Independent Contractor; No Partnership The parties are independent contractors. Nothing herein creates a partnership, joint venture, agency, fiduciary, or employment relationship. The Content Team is solely responsible for its personnel, taxes, benefits, and statutory obligations.
Compliance With Laws; Platform Terms Each party shall comply with applicable laws and regulations, including advertising and consumer protection laws, anti‑bribery/anti‑corruption laws (e.g., the U.S. Foreign Corrupt Practices Act, the UK Bribery Act), export controls and sanctions, and applicable platform terms of service and advertising policies.
Dispute Resolution; Governing Law 15.1 Good‑Faith Negotiation: In the event of a dispute, the parties shall first attempt in good faith to resolve the matter through executive‑level negotiations. 15.2 Governing Law: This LOI shall be governed by and construed in accordance with the laws of [State of New York/England and Wales/other], without regard to its conflict‑of‑laws principles. 15.3 Forum: The parties consent to the exclusive jurisdiction and venue of the courts located in [New York County, New York/England and Wales/other] or, if agreed, binding arbitration under [rules] in [location]. 15.4 Injunctive Relief: Breach of Sections 5 (IP), 8 (Data), or 12 (Confidentiality) may cause irreparable harm for which monetary damages are inadequate; the non‑breaching party may seek injunctive relief without posting bond.
Binding and Non‑Binding Provisions 16.1 Non‑Binding: The parties acknowledge that this LOI expresses their current intentions and is not intended to create binding obligations to consummate the Project or execute a definitive agreement, nor to serve as a comprehensive contract governing the contemplated transaction. 16.2 Binding Clauses: Notwithstanding Section 16.1, Sections 3 (solely as to payment for accepted Deliverables), 5.3–5.5 (licenses and clearances as to any accepted Deliverables), 7.2, 8, 10, 11.4, 12, 13, 14, 15, 16, and 17 shall be binding and enforceable.
Miscellaneous 17.1 Entire Understanding; Amendments: This LOI sets forth the parties’ current understanding on the subject matter and may be amended only by a written instrument signed by both parties. 17.2 Costs: Each party shall bear its own costs and expenses incurred in connection with the negotiation of this LOI and any definitive agreement. 17.3 Assignment: Neither party may assign this LOI without the other party’s prior written consent, except to an affiliate or in connection with a merger, acquisition, or sale of substantially all assets, provided the assignee assumes all obligations. 17.4 Severability; Waiver: If any provision is held invalid, the remainder shall remain in effect. No waiver is effective unless in writing and signed by the waiving party. 17.5 Counterparts; E‑Signatures: This LOI may be executed in counterparts, including via electronic signatures, each deemed an original and together constituting one instrument.
