以下内容仅供信息参考,不构成针对特定案件的法律意见或律师-客户关系。请在签署前由具备相应执业资格的本地律师依据适用法域和交易实情进行审阅、完善与落地。 演艺经纪管理合同 合同编号:[] 签署地点:[] 签署日期:[]年[]月[]日 甲方(艺人):林可 身份证件类型及号码:[] 通讯地址:[] 电子邮箱:[] 联系电话:[] 乙方(经纪管理方):[]文化传媒有限公司 统一社会信用代码:[] 住所:[] 电子邮箱:[] 联系电话:[] 法定代表人:[] 鉴于: 1. 甲方为具有从事演艺及相关文化娱乐活动能力与资质的自然人,拟就其职业发展、商务开发及日常经纪管理委托乙方提供专业经纪管理服务; 2. 乙方具备从事演艺经纪管理所需的人员与专业能力,并愿意按照本合同约定接受甲方的独家委任; 3. 双方本着平等、自愿、公平、诚信的原则,经协商一致,订立本合同。 为明确双方权利义务,特订立如下条款,以资共同遵守。 第一条 定义与解释 1.1 “艺人活动”系指甲方在以下领域从事的各种专业活动及其衍生收益:音乐(录音、演出、出版、词曲与邻接权)、影视(表演、配音、制作参与)、综艺与直播、电商带货、广告代言与品牌合作、商业演出与活动出席、综经纪运营(含社交媒体变现)、授权与周边商品、形象与姓名/肖像使用、内容分发与合成媒体(含但不限于短视频、长视频、音频、数字内容)等。 1.2 “经纪收入(Gross Receipts)”指甲方因艺人活动产生的、应计入甲方名下的全部对价(现金或非现金),包括片酬、演出费、出场费、授权费、版税、分成、保底、红包/打赏、直播分账、签约金与预付款等;但不含依法应由交易相对方代扣代缴的增值税及附加。 1.3 “净经纪收入(Net Receipts)”指经纪收入扣除以下项目后的余额:依法可抵扣之税费、就单项业务必需且经双方书面确认委聘之第三方中介机构佣金(如演员经纪代理、演出代理、海外代理、律师就该笔业务的专项成功酬金)、实际发生并经甲方书面预先批准的、不可报销之直接成本。 1.4 “佣金”指乙方就本合同项下服务依约从净经纪收入中提取的经纪管理报酬。 1.5 “重大协议”指满足以下任一条件之协议:期限超过[12]个月,或甲方总对价(含固定与可变部分)预计超过人民币[300,000]元,或包含独占/竞业限制/永久性授权/形象长期绑定/买断等重大承诺。 1.6 “关键人员”指乙方指定并经甲方确认的、对甲方服务承担主要责任的个人:[姓名],联系方式:[]。 第二条 委任与独家 2.1 自生效日起,甲方在本合同约定地域内,独家委任乙方作为其个人经纪管理方、商务开发方与事务代表,负责本合同项下艺人活动的统筹与管理。未经乙方书面同意,甲方不得自行或委托第三方在相同范围内提供经纪管理服务。 2.2 在不违背甲方合理利益的前提下,乙方可自行或通过分经纪/合作经纪/代理等安排履约,但应对其受托人之行为承担连带责任,并确保关键人员对甲方投入每周不少于[X]小时的实质工作时间。 第三条 服务内容 3.1 职业规划与品牌管理:为甲方制定中长期发展规划与年度目标,定位品牌调性与人设策略,优化内容矩阵与平台策略。 3.2 商务拓展与谈判:主动寻源并洽谈演出、影视、综艺、代言/广告、直播带货、平台签约、内容授权等项目,起草或协助审阅相关合同文本,协调法律、财务、税务与合规事宜。 3.3 日常经纪与档期管理:行程统筹、报批报备、证照办理、接洽与对接、物料管理、舆情监测与危机公关预案。 3.4 收款结算与对账:代为或协助收取项目款项、出具结算单、开具发票、进行分配与结算,按期提供对账报表。 3.5 品牌与形象维护:经甲方同意后合理使用甲方姓名、肖像、艺名、标识用于推广甲方的艺人活动及本合同项下服务。 3.6 合规与风控:提示适用法律法规及平台规则变化,建立广告审查与代言合规流程,落实个人信息保护、未成年人保护、反商业贿赂与反洗钱等合规要求。 第四条 甲方权利与义务 4.1 甲方应按乙方合理安排参加试镜/宣发/排练/拍摄/录制/演出等工作,遵守行业规范,维护合作方合法权益与商誉。 4.2 甲方保留对重大协议之最终书面批准权。未经甲方书面批准,乙方不得对甲方作出不可撤销的承诺或处分长期权利。 4.3 甲方应及时提供履约所需资料、证件、银行账户信息及纳税配合,并确保所提供资料真实、完整、合法。 4.4 甲方应遵从广告代言、直播电商、平台规则、未成年人保护等强制性规定,不从事损害公共秩序、违背公序良俗或严重有损品牌形象的行为。 4.5 甲方有权对乙方工作进行监督与评价,并有权就关键人员变更提出书面异议;关键人员连续[30]日未投入约定服务或被调离的,甲方有权书面催告,[10]日内未纠正的,甲方可选择:(1)指定替换关键人员;或(2)解除本合同。 第五条 乙方权利与义务 5.1 乙方应以专业勤勉、忠实义务为甲方提供服务,不得利用对甲方事务的掌控地位牟取不当利益,存在潜在利益冲突时应及时书面披露并取得甲方书面同意。 5.2 乙方应建立专用结算账户(或客户资金监管账户),代收的甲方款项应与乙方自有资金独立管理,并于收款后[7—15]个工作日内完成与甲方的结算与划付。 5.3 乙方对甲方信息、合约条款、合作条件等负有保密义务,除为履约必须或法律/司法/监管要求外,不得向第三方披露。 5.4 乙方在广告代言、直播合规、数据合规等方面应建立基础合规流程与清单管理,但不对合作相对方的履约能力与信用承担保证责任。 第六条 期限、地域与独家范围 6.1 期限:本合同自[生效日期]起生效,初始期限为[2/3]年。乙方享有[1-2]个延展选择权,每次延展期限为[1]年;乙方应于当期届满前至少[30]日以书面形式通知行使延展权。延展前提为:乙方已完成年度服务计划主要指标或甲方年度净经纪收入达到不少于人民币[金额]元。 6.2 地域:全球范围(不含法律禁止或制裁地区)。如限定特定地域,请于此处明确。 6.3 独家范围:第三条所列全部服务内容对应之艺人活动;甲方如基于既有存量合同履约,应向乙方书面披露,既有合同项下收入计入计佣范围的具体规则见附件一。 第七条 佣金、费用与结算 7.1 佣金比例:乙方就本合同期限内促成或管理的艺人活动所产生的净经纪收入,按比例提取佣金,标准为:一般业务[15%];境外业务或跨境复杂业务[20%](如有双重中介则可另议)。 7.2 计佣口径: - 乙方佣金基于净经纪收入计算。可抵扣项目仅限于:依法可抵扣之税费、经甲方书面批准且直接针对该笔业务的第三方中介佣金与必要成本。乙方自身运营成本不予抵扣。 - 预付款与保底金:对不可回收性质的预付款,按甲方实际入账金额计佣;对可回收(需与权利人对账/冲抵成本)之预付款,佣金在该笔预付款被确认转化为甲方实际净所得之时计提;如行业惯例或交易结构要求签收即确认,则乙方应书面披露并经甲方书面同意。 - 不计佣项目:甲方经书面同意的第三方报销款、旅费与制作成本补贴、演出落地制作费、物料费、保险赔付、由甲方或第三方垫付后按实报实销部分。 7.3 尾佣(Sunset):对在合同期限内已签署或经甲方书面授权并由乙方实质性主导谈判且于期满后继续履行的项目,乙方有权在期满后继续就该等项目的净经纪收入获取递减尾佣:期满后第1年[10%],第2年[7.5%],第3年[5%],此后为0%。若该项目在期满后经实质性改签且乙方未参与,则不产生尾佣。 7.4 结算与报表:乙方应按月(或季度)向甲方出具明细结算报表(见附件三模板),载明每笔收入之来源、金额、税费、第三方佣金、乙方佣金与净支付额。甲方对报表有异议的,应于收到之日起[30]日内书面提出,逾期视为确认但不影响其审计权。 7.5 审计权:甲方每合同年度有权委托注册会计师对乙方与本合同相关的账册进行审计,每年度不超过一次,提前[15]日书面通知。若审计发现应付未付超过当期应付总额的[5%],审计费用由乙方承担并立即补足差额及逾期利息(年化[LPR+3%]);否则由甲方承担。 7.6 费用预支:乙方为履约确需预支的单笔费用超过人民币[5,000]元的,应事前取得甲方书面批准;未经批准发生的费用,甲方有权拒绝报销。任何费用不应作为乙方计佣基数。 第八条 授权与批准 8.1 有限授权:为履行本合同之目的,甲方授予乙方在合同期内之有限授权,包括:(1)在甲方书面批准的前提下,签署标准出演确认单、行程确认函、宣传通告单;(2)代收与甲方相关的项目款项;(3)在必要范围内使用甲方姓名、肖像、艺名与标识用于推广甲方艺人活动及本合同项下服务。乙方不得在未经甲方书面批准的情况下作出长期权利处分或独占性承诺。 8.2 重大协议事前批准:涉及第1.5条重大协议、永久性授权、独家绑定、竞业限制、不利道德条款、内容买断、长周期保密与违约金超过人民币[100,000]元的协议,须经甲方书面批准方可签署。 8.3 形象与内容把关:涉及广告代言、直播电商的内容脚本、广告词、功效性表述,应经乙方初审并提交甲方或其委托律师进行合法合规审查。 第九条 知识产权与肖像权 9.1 除另有书面约定外,甲方在履行艺人活动中创作或参与创作的受著作权法保护之作品,其著作权或相关权利按照法律规定及具体合同约定归属;本合同不构成对甲方任何知识产权的转让。 9.2 甲方授予乙方在合同期限内及期满后[6]个月内的非独占、不可转授权、不可转让之许可,以在合理范围内使用甲方姓名、艺名、肖像、标识、履历与作品片段用于乙方为甲方进行的业务推广与业绩展示;商业化开发应另行签署书面协议。 9.3 如涉及第三方权利许可、音乐著作权、表演者权、邻接权之许可与结算,乙方应提示并协助甲方依法办理或通过集体管理组织进行授权与结算。 第十条 保密与数据合规 10.1 双方应对在履约过程中获知的对方商业秘密、未公开信息、合作条款等予以严格保密,非经对方书面同意,不得向任何第三方披露,法律法规另有规定或司法/行政机关要求的除外。 10.2 双方在处理甲方及粉丝/消费者/用户的个人信息时,应遵守适用的数据与隐私保护法律法规,采取合理安全措施,仅在为履约所必需的范围内收集、使用与存储。 10.3 本条在合同终止后仍然有效,存续期为[3]年,涉及商业秘密的,存续至该等信息不再具有商业秘密属性之日。 第十一条 合规经营与道德条款 11.1 双方应遵守包括但不限于《中华人民共和国民法典》《中华人民共和国著作权法》《中华人民共和国广告法》《中华人民共和国个人信息保护法》《反不正当竞争法》《未成年人保护法》及与营业性演出、广电与网络视听等相关的强制性法规与监管规则。 11.2 反商业贿赂与合规:任何一方不得直接或间接提供、索取或接受贿赂、回扣或其他不当利益。违反本条的守约方有权立即解除合同并要求违约方承担相应责任。 11.3 道德条款:如甲方发生严重违法行为、重大失德事件或广泛负面舆情,导致现有或潜在合作被取消、延期或严重受损且经书面证据证明,乙方有权暂停履行与结算直至情况消除;情节严重且持续超过[30]日的,乙方有权解除合同。乙方如发生损害甲方商誉之重大不当行为,甲方亦享有同等权利。 第十二条 违约、补救与终止 12.1 违约与补救:任何一方违反本合同义务,守约方有权书面通知违约方在[10-15]日内纠正并采取补救措施;逾期未补救的,守约方有权解除合同并要求赔偿损失。 12.2 特别解除权: - 关键人员条款:见第4.5条。 - 持续不能履约:因非不可抗力之原因,甲方连续[60]日以上未能按合理要求参与工作,乙方可解除合同;因健康或不可抗力导致的,合同期限相应顺延。 - 破产清算或资不抵债:任一方进入破产或清算程序,另一方有权解除合同。 12.3 终止后的权利义务:不影响乙方就期内达成项目享有之尾佣,不影响保密、知识产权、结算与审计、争议解决等存续条款。 12.4 抗辩与留置:如甲方对乙方佣金计算有争议,甲方就无争议部分应先行支付;乙方不得以争议为由留置与甲方无争议部分的款项。 第十三条 转让与分包 13.1 未经对方书面同意,任何一方不得转让其在本合同项下的权利义务,但下列情形除外:乙方为实现集团内部重组或向控制关系内的关联方转让,且保证不降低服务水平及不影响甲方权益,并提前[15]日书面通知甲方。 13.2 乙方委托第三方履行部分服务的,对第三方行为承担连带责任。 第十四条 不可抗力 14.1 因地震、台风、洪水、火灾、战争、罢工、重大传染病公共卫生事件、政府行为、平台系统性故障及其他不能预见、不能避免且不能克服之事件,致使一方不能履行或不能按期履行本合同的,受影响一方在合理期限内书面通知另一方,并在[10]日内提供相关证明,在不可抗力影响期间部分或全部免除责任。合同期限视影响天数顺延。 第十五条 税务与法律关系 15.1 双方系独立合同相对方,本合同不构成劳动关系、雇佣关系或合伙关系。各自依法自行申报与承担相关税费。 15.2 如基于交易结构需要开具发票,双方应依照适用税法与交易真实情况开具并流转票据,不得虚开。 第十六条 争议解决与适用法律 16.1 本合同的订立、效力、解释、履行及争议解决适用中华人民共和国法律(为本合同之目的,不含冲突规范)。 16.2 因本合同产生或与本合同有关之争议,双方应先行友好协商,协商不成的,提交[北京仲裁委员会/上海国际经济贸易仲裁委员会(上海国际仲裁中心)]按其届时有效的仲裁规则在[北京/上海]进行仲裁。仲裁裁决为终局,对双方均有约束力。仲裁语言为中文。 (如选择诉讼:提交乙方住所地有管辖权的人民法院。) 第十七条 通知与送达 17.1 与本合同有关的通知均应以书面形式通过专人送达、快递或电子邮件方式发送至本合同首页所载地址或双方另行书面确认的地址/邮箱。以电子邮件方式发出的,自邮件成功发送之时视为送达,但收件方有义务于[1]个工作日内确认收悉。 17.2 任何一方变更通知信息的,应提前[3]个工作日书面通知对方,否则因此造成的责任自负。 第十八条 完整协议与其他 18.1 本合同及其附件构成双方关于合同标的之完整协议,取代此前一切口头或书面谅解、意向或承诺。 18.2 对本合同的任何修改、补充均须以书面形式作出并由双方签署方为有效。 18.3 若本合同任何条款被认定为无效或不可执行,不影响其他条款的效力,双方应以最接近原意之有效条款替代。 18.4 本合同正本一式[两/三]份,双方各执[]份,具有同等法律效力。可采用电子签名或分份签署及电子扫描件流转,效力等同原件。 签署页(无正文) 甲方(艺人):林可 签字:______________________ 日期:_______年____月____日 如甲方为未成年人,监护人签字: 监护人姓名:________________ 身份证件号:________________ 签字:______________________ 日期:_______年____月____日 乙方(经纪管理方):[]文化传媒有限公司 法定代表人/授权代表:____________ (加盖公章) 日期:_______年____月____日 附件一:收入类别定义与计佣规则(示例) A. 计佣的收入类别包括但不限于:影视片酬、综艺通告费、音乐录音与词曲版税、邻接权分配、商业演出费、广告代言与品牌合作费、直播分账与打赏、电商带货佣金与坑位费分成、平台签约金及保底、内容授权与二次分发分成、肖像/姓名/艺名授权费、周边商品分成、宣传露出与站台费等。 B. 可抵扣项目:经甲方书面批准之该笔业务的第三方中介佣金(如演出代理10%、演员经纪代理15%、地区代理等)、依法可抵扣税费、与该笔业务直接相关且不可报销之必要成本。 C. 不计佣或特殊规则:制作预算、制作服务对价、旅游差旅与报销、慈善公益无偿活动、以物易物需经双方书面估值确认后计入、预付款之可回收性质按第7.2条执行。 附件二:授权书范本(摘录) 委托人(甲方):林可 受托人(乙方):[]文化传媒有限公司 授权事项:在甲方事前书面批准范围内,代为签署演出/通告确认单、收取结算款、对接行程与制作、在必要范围内使用姓名与肖像推广甲方艺人活动及本合同项下服务。 授权期限:自[生效日]至本合同届满/解除且结清全部款项之日止。 特别限制:不得进行长期权利处分、独占性承诺、永久授权、竞业限制及其他需甲方书面批准之重大协议。 委托人签字:________ 日期:______ 受托人盖章:________ 日期:______ 附件三:结算报表模板(要素) - - 艺人自愿委托经纪方作为其在约定领域内的独家经纪管理方; - 双方同意依照中华人民共和国法律(不含香港特别行政区、澳门特别行政区及台湾地区法律,下同)订立本合同并受其约束。 据此,双方达成如下协议: 一、定义与解释 1.1 领域:指与艺人姓名、肖像、声音、形象、签名、人格权要素及其演艺劳动成果相关的商业开发与演艺活动,包括但不限于:影视(电影、电视剧、网络剧、短剧)、综艺、音乐(录音、现场演出、音乐著作权及邻接权事务)、舞台及商业演出、广告及代言、直播带货及电商推广、网络平台内容创作及平台合作、社交媒体运营、品牌授权与联名、游戏及虚拟形象授权、出版与有声读物、公益活动与政府或行业活动等。 1.2 区域:指【中华人民共和国境内/全球】(如涉及境外活动,遵循相应属地法律及合规要求)。 1.3 合同期:指自生效日起至期满日止的期间,详见第三条。 1.4 应计收入:指因本合同项下领域内活动由艺人(包括艺人控制或指定的工作室、个人独资企业、关联主体或第三方收款主体)实际取得或应得之全部对价,包括货币、实物、股权/期权/限制性股票单位、分红分成、票房/收视/平台分成、版税、奖金、保底及超额收益、流量结算收入、出场费、服务费、顾问费、技术费、授权费、许可费、使用费、肖像或姓名使用费、违约金及和解金等;实物或股权等非货币性对价按取得时的公允价值计入。 1.5 可扣除成本:指经双方书面确认、与具体项目直接相关且有合法有效发票/凭证的第三方刚性支出,包括但不限于:制作成本(不含艺人自身片酬/劳务)、为完成合同义务而由第三方开具并实际发生的场地费、服化道、差旅住宿、签证及通关、培训及试镜成本、必要保险、直播间及技术服务费、平台技术服务费(如由艺方承担)、第三方经纪代理服务费(如另有书面约定由艺方承担)等。艺人的个人消费、生活开支、经纪方内部成本及未事先书面同意的支出不属于可扣除成本。 1.6 净应计收入:指应计收入扣除可扣除成本后的余额。 1.7 代言:包括广告法意义上的广告代言、推荐、证明、站台等各类具有背书性质的商业宣传行为。 二、委托与独占 2.1 艺人特此在合同期内授予经纪方在区域内就领域的独家经纪管理权。除经纪方书面同意,艺人不得自行或授权第三方在领域内从事与经纪管理同类或冲突的经纪活动。 2.2 经纪方有权以艺人名义或代表艺人对外洽谈、谈判并签署与领域相关的合同,但涉及艺人提供劳动或承诺义务的对外合同,须经艺人事前书面同意方可签署。经艺人书面授权,经纪方可作为收款代理代收应计收入。 2.3 经纪方为提供管理服务可聘用团队或关联方参与,但应对其行为负责,不得因此减轻或免除自身义务。 三、合同期限与独家延展 3.1 合同期为【___】年,自【_____】起至【_____】止。期满前【60】日内,双方可协商续约。 3.2 若合同期满时仍存在由经纪方在合同期内实质促成或谈判的项目,经纪方就该等项目的续展/衍生/分期支付部分,仍享有第四条约定的“日落期”佣金(见4.5)。 四、报酬与佣金 4.1 佣金基数:除非另有书面约定,经纪方佣金按应计收入(或双方书面同意的净应计收入)计提。涉及广告/代言/商务合作/直播电商等项目,以应计收入计提;涉及影视剧片酬、音乐现场等,可按净应计收入计提(如需)。 4.2 佣金比例(未尽项目由双方补充确认): - 广告/代言/商务站台/品牌授权/联名:【___】% - 直播电商及平台分成收入:【___】% - 影视剧(片酬)/综艺(通告费):【___】% - 音乐录音/演出/版权分成:【___】% - 出版、有声书、游戏/虚拟形象授权等:【___】% 4.3 收款与结算:由经纪方统一对外结算的,经纪方应于实际收讫收入之日起【10】个工作日内向艺人出具对账单并在开具合法发票后向艺人支付艺人应得部分(扣除经纪方佣金及经双方确认的可扣除成本)。由艺人或其指定主体收款的,艺人应于收讫之日起【5】个工作日内向经纪方支付相应佣金并提供结算凭证。 4.4 税费:双方各自依法纳税。经纪方收取佣金需开具合法有效发票。涉及依法代扣代缴个人所得税或其他税费的,双方应配合完成。 4.5 日落期(Post-Term Commission):合同期届满或解除后,对于合同期内经经纪方实质性促成(包括发出要约、进入实质谈判、试镜/定妆/商务提案/平台立项等)的项目,经纪方在以下期间仍可就该项目对应的应计收入计提佣金: - 期满后第1年:按原佣金比例的【100】%; - 第2年:按原佣金比例的【66】%; - 第3年:按原佣金比例的【33】%; 此后不再计提。 4.6 审计权:任一方对对账单有异议的,应于收到之日起【90】日内书面提出;经协商不成的,可由独立会计师审计。若差异超过应付金额的【5】%,审计费用由被审计方承担,否则由审计申请方承担。 4.7 反回扣与关联交易:经纪方不得收受未披露的回扣或利益。涉及经纪方或其关联方的关联交易,应事前书面披露并经艺人书面同意。 五、经纪服务内容 5.1 职业规划与统筹:制定艺人中长期发展策略、项目筛选与排序、年度商务与曝光规划。 5.2 洽谈与合同管理:就领域内项目进行信息搜集、邀约洽谈、谈判、合同审查与签署组织、履约管理与对账结算。 5.3 宣传与公关:媒体沟通、物料统筹、社媒策略、危机公关预案与应对;合理使用艺人姓名、肖像用于项目推广(详见第七条)。 5.4 形象与培训:经艺人同意的造型、培训与技能提升安排。 5.5 知识产权与授权:艺名/标识策划与申请(经同意)、版权与邻接权管理、维权与侵权投诉组织。 5.6 合规管理:对广告合规、演出审批、未成年人保护(如适用)、数据与隐私等提出合规建议与流程把控。 5.7 其他双方书面确认之经纪管理服务。 六、艺人承诺与配合义务 6.1 艺人确认已年满【18】周岁且具有完全民事行为能力,或已取得监护人书面同意(如适用)。 6.2 艺人保证不存在与第三方签署的在领域内具有冲突或限制本合同履行的协议或承诺;如有,应如实披露。 6.3 艺人应按合理商业标准配合经纪方履约,包括及时提供个人信息与材料(身份证明、银行账户、资质许可、纳税信息、专业履历等),并保证其真实性、准确性与完整性。 6.4 艺人参加项目应遵守法律法规、行业规范、平台规则及合同约定,按时出席,不得无故缺席或怠于履行。 6.5 艺人不得擅自与第三方直接接洽领域内项目并绕过经纪方签约;如确因紧急情况先行接触,应及时书面告知经纪方并由经纪方继续推进及管理。 6.6 艺人保证不实施任何违法或严重不当行为,包括但不限于涉嫌刑事犯罪、严重违背公序良俗、逃税骗税、发布违法或不当言论、严重违背广告代言合规义务等,避免给经纪方或合作方造成重大不利影响。 七、姓名、肖像及相关权利授权 7.1 艺人授权经纪方在合同期内为履行本合同及推广艺人业务之必要限度内,非独占地使用艺人姓名(含艺名)、肖像、签名、声音、个人资料与形象素材;经纪方不得超范围使用,不得许可第三方另行使用,除非系具体项目合作之合理必要或经艺人书面同意。 7.2 前述授权不构成经纪方对艺人姓名、肖像等人格权的任何所有权或排他性权利。经纪方对授权素材的编辑、合成、再利用应遵循诚实信用与必要性原则,并经艺人事前确认。 7.3 如需为艺人申请或管理商标、域名、账号等标识性权益,双方另行书面约定权利归属与费用分担。原则上艺人姓名/艺名之商标权归艺人或其指定主体所有,经纪方享有在合同期内的必要使用权。 八、知识产权 8.1 因项目产生之作品,其著作权归属依各项目合同约定及法律规定处理。经纪方对其独立创作之经纪方案、素材、模板与管理系统享有相应知识产权。 8.2 对于艺人社交媒体账号的建立与运营,双方应明确账号主体、运营权限及退出机制。合同终止后,艺人依法继续享有其人格权与作品权利,经纪方应完成账号与素材的合理移交(不含经纪方具有独立权利的素材与工具)。 8.3 双方应相互配合对第三方侵权行为进行维权。维权费用与收益分配另行协商或按具体案件协议执行。 九、数据与隐私合规 9.1 双方处理对方及合作方的个人信息,应遵守包括但不限于个人信息保护法、网络安全法、数据安全法及相应配套规定,遵循合法、正当、必要、诚信原则,限目的使用,最小化收集,安全存储。 9.2 涉及粉丝数据、用户画像、交易数据及平台后台权限的,双方应建立授权、分级访问、审计留痕与安全事件响应机制。 9.3 双方对所获悉的商业秘密、未公开信息与个人信息负有保密义务,详见第十二条。 十、广告代言与直播电商特别合规 10.1 广告与代言应遵守广告法、反不正当竞争法、互联网广告管理办法、价格法及相关监管政策:包括但不限于真实、准确、不得作引人误解的虚假宣传;涉及医疗、药品、保健食品、教育培训、金融投资等特殊品类,须履行法定审查与披露义务,依法不得代言的品类一律禁止。 10.2 艺人作为代言人应基于真实使用体验并保存相应证据;直播营销需显著标识广告属性,使用合规话术,不得作夸大或保证性承诺。 10.3 经纪方应在合理范围内进行合规审查与提示,但不构成对合作方产品/服务的背书或保证;合作方合规责任由合作方承担。 十一、演出经纪与审批 11.1 涉及营业性演出活动的,双方应遵守营业性演出管理条例及相关实施细则;如活动需报批或由具备相应资质的主体承办,应由具备资质之主体办理。经纪方如从事演出经纪,应依法持有或委托持证主体开展。 11.2 境外(含港澳台)演出或拍摄应依法办理出入境及文化审批手续,双方应配合并据此调整时间安排。 十二、保密 12.1 双方就本合同及履行过程中获悉的任何商业秘密、技术信息、未公开合作信息、艺人隐私与个人信息等,负有严格保密义务,非经对方书面同意不得向第三方披露,法律法规另有规定或监管机关要求披露的除外。 12.2 保密义务不因本合同解除或终止而终止,存续期限为该等信息合法保密期间及本合同终止后【3】年(法律另有最长期限规定的从其规定)。 十三、陈述与保证 13.1 各方陈述并保证其具有签署与履行本合同之完全民事权利能力与行为能力,签署与履行不违反对任何第三方的义务。 13.2 经纪方声明其具备开展本合同项下服务的必要人员、资源与专业能力;如涉及演出经纪等许可事项的,经纪方声明已取得相应许可或将委托有资质的第三方实施。 13.3 各方保证遵守反商业贿赂、反洗钱与税收合规要求,不从事任何损害对方或合作方合法权益的行为。 十四、违约与救济 14.1 任一方违反本合同约定,经对方书面催告后【10】个工作日内未纠正的,构成根本违约,守约方有权解除合同并请求违约方承担违约责任,包括继续履行、采取补救措施、赔偿损失(包括直接损失与可得利益损失)等。 14.2 违约金与损失:如无具体损失难以计算的,违约方应向守约方支付违约金人民币【______】元;若违约金明显低于实际损失,守约方有权另行主张不足部分;若明显过高,违约方可依法请求予以适当调整。 14.3 艺人严重违约或发生严重不当行为/违法行为,致使合作项目被取消、解约或造成重大商誉损害的,经纪方可立即解除合同,并有权就因此遭受的损失向艺人追偿;经纪方存在恶意隐瞒、严重管理过失或违法违规致项目失败的,艺人享有同等权利。 14.4 不得规避:艺人及其关联主体不得以更换收款主体、表面独立第三方等形式规避佣金;一经发现,艺人应按应计收入补付经纪方应得佣金并承担相应违约责任。 十五、不可抗力 15.1 因地震、台风、水灾、火灾、疫情及防控措施、战争、罢工、政府行为、法律政策重大变化、通信电力中断等不可抗力导致不能或延迟履行的,受影响方可在合理范围内免责,但应在【5】个工作日内通知对方并尽力减轻损失。 15.2 不可抗力持续超过【60】日且实质影响合同目的实现的,任一方有权解除合同。 十六、解除与终止后的安排 16.1 解除事由: - 一方严重违约且经催告后未在宽限期内纠正的; TALENT MANAGEMENT AGREEMENT This Talent Management Agreement (this “Agreement”) is entered into as of [Date] (the “Effective Date”) by and between [Manager Legal Name], a [jurisdiction and entity type] with its principal place of business at [address] (“Manager”), and Chen Rui (also known as 陈睿), an individual with an address at [address] (“Artist”). Manager and Artist are sometimes referred to individually as a “Party” and collectively as the “Parties.” RECITALS A. Artist is a professional talent engaged in entertainment activities, including without limitation acting, performing, appearances, endorsements, content production, literary, musical, digital and social media activities, merchandising, licensing, and related professional endeavors. B. Manager is experienced in advising, counseling, and managing talent careers in the entertainment industry and desires to render such services to Artist, and Artist desires to engage Manager to provide management services, on the terms and conditions set forth herein. NOW, THEREFORE, in consideration of the mutual covenants contained herein, the Parties agree as follows: 1. APPOINTMENT; SCOPE; EXCLUSIVITY 1.1 Appointment. Artist hereby engages Manager to render career management, advisory, and strategic services to Artist in connection with Artist’s professional entertainment activities (“Services”), and Manager hereby accepts such engagement, subject to the terms herein. 1.2 Exclusivity. During the Term (as defined below), Manager shall be Artist’s exclusive personal manager. For clarity, Artist may retain (a) a business manager, accountant, attorney, and/or licensed talent agents in any jurisdiction, and (b) specialized consultants (e.g., PR, social media, tour manager), provided that Manager shall coordinate with such representatives in good faith. 1.3 No Procurement Where License Required. Manager shall not procure or attempt to procure employment or engagements for Artist in any jurisdiction that requires an agency or similar license to do so, unless Manager holds and maintains such licenses; instead, any such procurement shall be performed by duly licensed third-party agents engaged by Artist, with Manager coordinating and advising. 2. TERRITORY; FIELD 2.1 Territory. Worldwide, unless limited to the following territory: [define territory] (the “Territory”). 2.2 Field. All areas of entertainment and media customarily within the scope of personal management, including but not limited to film, television, streaming, digital media, music, live events, endorsements, sponsorships, branding, merchandising, publishing, podcasts, gaming, appearances, and related exploitations (collectively, the “Field”). 3. TERM; OPTIONS; RENEWAL 3.1 Initial Term. The initial term of this Agreement shall commence on the Effective Date and continue for [two (2)] years, unless earlier terminated in accordance with this Agreement (the “Initial Term”). 3.2 Options. Artist shall grant Manager [one (1) or two (2)] option period(s) of [one (1)] year each (each, an “Option Term,” and together with the Initial Term, the “Term”), exercisable by Manager upon written notice to Artist no later than thirty (30) days prior to the expiration of the then-current term, provided that Manager has materially performed the Services and either: (a) Artist’s Gross Entertainment Income (as defined below) during the preceding contract year equaled or exceeded [amount or KPI], or (b) at least [X] new bona fide deals were consummated and commenced performance during such year. Any further renewal shall require mutual written agreement. 4. MANAGER’S SERVICES; KEY PERSON; STANDARD OF CONDUCT 4.1 Services. Manager shall: (a) advise on career strategy, branding, positioning, publicity coordination, and long-term planning; (b) identify and coordinate opportunities through licensed agents and other representatives; (c) assist in negotiations strategy (with all legal negotiations conducted by Artist’s counsel) and deal structuring; (d) liaise with third parties (producers, studios, platforms, networks, labels, promoters, brands, agencies); (e) coordinate schedules, publicity, and marketing support; (f) consult on budgets and production matters affecting Artist, subject to Artist’s final approval; and (g) reasonably supervise compliance by contracting parties with obligations to Artist and consult regarding disputes. 4.2 Key Person. The Parties acknowledge that Artist is entering into this Agreement in reliance on the services of [Name of Key Person] (“Key Person”). If Key Person ceases to be actively and primarily involved in the Services for more than thirty (30) consecutive days (excluding temporary incapacity) or ceases affiliation with Manager, Artist may, upon written notice and a fifteen (15)-day opportunity to cure, terminate this Agreement without further obligation except for commissions accrued through the effective date of termination and applicable Sunset commissions under Section 9.3. 4.3 Standard of Conduct; Compliance. Manager shall perform the Services with due professional skill, care, and diligence consistent with industry standards, maintain all legally required licenses and permits in the Territory, avoid conflicts of interest, and comply with all applicable laws and codes (including anti-bribery, anti-corruption, sanctions, and any talent-agency licensing requirements). 4.4 No Legal, Tax, or Accounting Advice. Manager shall not provide legal, tax, or accounting advice. Artist is encouraged to rely on independent counsel and professional advisors for such matters. 5. ARTIST APPROVALS; POWER OF ATTORNEY 5.1 Approvals. Artist’s prior written approval (email sufficient) shall be required for: (a) any agreement binding on Artist; (b) the engagement of any third-party representative or subagent for Artist; (d) any commitment involving expenditures, travel, exclusivity, or material scheduling constraints; (e) any use of Artist’s name, image, likeness, voice, biographical data, or social handles, except for customary industry pitches; and (f) any disclosure of confidential information, except as permitted under Section 12. 5.2 Power of Attorney. Manager shall have no power of attorney except as expressly granted by Artist in writing on a document-by-document basis for ministerial matters approved by Artist in advance. 6. COMPENSATION; DEFINITIONS; COLLECTIONS 6.1 Manager’s Commission. As consideration for the Services, Artist shall pay Manager a commission equal to [fifteen percent (15%)] of Gross Entertainment Income (as defined below) actually received by or on behalf of Artist during the Term, subject to the exclusions and limitations herein. 6.2 Gross Entertainment Income. “Gross Entertainment Income” means all monetary consideration (including salaries, fees, bonuses, royalties, participations, residuals, backend, box office bonuses, streaming/AVOD/SVOD bonuses, profit shares, and guaranteed compensation) earned by Artist from the Field in the Territory, less only: (a) union-mandated residuals and pension/health contributions paid on Artist’s behalf; (b) reasonable and customary agency commissions paid to duly licensed talent/literary/music agents (capped at the rates stated in the relevant agency agreements, and not to exceed industry-standard percentages); (c) bona fide production expenses chargeable to Artist and actually paid to third parties (e.g., hair/makeup, wardrobe, travel, per diem) to the extent not reimbursed; (d) recording, touring, or production costs recouped from Artist pursuant to applicable agreements, solely to the extent actually recouped from Artist’s share; and (e) taxes withheld at source (but not Artist’s income taxes generally). 6.3 Exclusions. The following are excluded from Gross Entertainment Income unless Manager can demonstrate Manager’s material involvement in sourcing, negotiating, or materially advancing the opportunity, in which case commission shall apply only to the extent of such involvement and subject to Artist’s prior written consent: (a) passive investment income (interest, dividends, equity appreciation); (b) income from businesses in which Artist is a passive investor; (c) personal gifts; (d) grants or scholarships; (e) compensation from pre-existing contracts executed prior to the Effective Date (listed on Exhibit A). 6.4 Collection and Flow of Funds. Unless otherwise approved by Artist in writing, all Gross Entertainment Income shall be paid directly to Artist or to Artist’s designated business manager or collection agent. Manager shall not collect or hold Artist’s funds without Artist’s prior written authorization. Manager shall invoice commissions within fifteen (15) days after Artist’s receipt of Gross Entertainment Income and Artist shall pay undisputed commissions within fifteen (15) days thereafter. 6.5 No Double Commission. Manager shall not receive commissions from third parties in connection with Artist’s deals without Artist’s prior written informed consent. Any packaging, marketing, referral, or similar fees offered by third parties must be disclosed in writing in advance and approved by Artist; if approved, any such fee shall be offset against commissions payable by Artist on the same deal. 7. ACCOUNTING; AUDIT; EXPENSES 7.1 Statements. Manager shall provide quarterly written statements summarizing material opportunities pursued, deals in negotiation, and commissions invoiced and collected, together with reasonable supporting documentation on request. 7.2 Audit Rights. Artist or Artist’s designee (including a CPA or auditor) may, upon at least ten (10) business days’ prior written notice and no more than once in any twelve (12)-month period, audit Manager’s books and records solely relating to Artist’s commissions and reimbursable expenses during normal business hours at Manager’s office. If an audit reveals an underpayment of more than five percent (5%) for the audited period, Manager shall reimburse the shortfall and reasonable audit costs within thirty (30) days. 7.3 Expenses. Artist shall reimburse Manager for reasonable, pre-approved, out-of-pocket expenses incurred solely in connection with Artist’s Services, provided Manager submits itemized receipts and the expenses were approved by Artist in writing in advance for any single expense exceeding [amount] or aggregate monthly expenses exceeding [amount]. Manager’s overhead (office rent, staff salaries, equipment, general travel, subscriptions) is not reimbursable. 8. CONFLICTS OF INTEREST; MULTI-CLIENT; BEST INTERESTS 8.1 Conflicts. Manager shall promptly disclose any actual or potential conflict of interest, including where Manager or its affiliates have a financial interest in a counterparty or project. Manager shall not prefer the interests of any other client over Artist. If a conflict arises that cannot be cured to Artist’s reasonable satisfaction, Artist may terminate pursuant to Section 9.2(c). 8.2 Multiple Clients. Manager may represent other clients provided Manager can perform its obligations hereunder and maintain confidentiality. Manager shall implement ethical screens and scheduling practices to avoid material prejudice to Artist. 9. TERMINATION; REMEDIES; SUNSET 9.1 Termination for Cause by Artist. Artist may terminate this Agreement upon written notice if: (a) Manager materially breaches this Agreement and fails to cure within fifteen (15) days after written notice; (b) Manager engages in fraud, willful misconduct, gross negligence, or criminal conduct that materially harms Artist; (c) a non-waivable conflict of interest arises under Section 8; (d) Key Person unavailability under Section 4.2; (e) Manager loses any legally required license to perform the Services in the Territory and such loss materially impairs performance; or (f) Manager becomes insolvent, enters bankruptcy, or assigns assets for the benefit of creditors. 9.2 Termination for Cause by Manager. Manager may terminate upon written notice if: (a) Artist materially breaches this Agreement and fails to cure within fifteen (15) days after written notice; (b) Artist commits fraud or willful misconduct materially impairing Manager’s ability to perform; or (c) Artist fails to pay undisputed commissions within thirty (30) days after written notice. 9.3 Effect of Termination; Sunset. Upon termination or expiration, Manager shall be entitled only to: (a) unpaid, accrued commissions on Gross Entertainment Income received by Artist through the effective date of termination; and (b) “Sunset” commissions solely on Gross Entertainment Income paid after termination under contracts substantially negotiated, procured, or entered into during the Term, but only for the following declining periods: [12 months at X% of the then-applicable commission rate; 12 months thereafter at Y%; then 12 months at Z%; thereafter, 0%], provided that no Sunset commissions shall be payable if Artist terminated for Manager’s uncured material breach under Section 9.1(a) or fraud/willful misconduct under Section 9.1(b). 9.4 Post-Term Cooperation. Following termination, Manager shall cooperate reasonably to transition matters to Artist or Artist’s designees, including delivery within ten (10) business days of all non-privileged materials, contacts, and calendars reasonably necessary to continue Artist’s business. 10. REPRESENTATIONS; WARRANTIES; INDEMNITIES 10.1 Mutual. Each Party represents and warrants that it has full right, power, and authority to enter into and perform this Agreement and that doing so will not violate any other agreement to which it is a party. 10.2 By Manager. Manager represents and warrants that: (a) Manager will comply with all applicable laws and licensing requirements in the Territory related to rendering the Services; (b) Manager will not knowingly make any false or misleading statements about Artist; and (c) Manager will not enter into agreements purporting to bind Artist absent Artist’s written approval. 10.3 By Artist. Artist represents and warrants that: (a) Artist shall act professionally and comply with applicable laws in connection with Artist’s professional activities; (b) Artist will timely pay commissions due; and (c) Artist is not presently bound by any agreement that would materially interfere with this Agreement. 10.4 Indemnification. Each Party (“Indemnifying Party”) shall indemnify, defend, and hold harmless the other Party, its affiliates, and their respective officers, directors, employees, and agents (“Indemnified Parties”) from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable outside attorneys’ fees) arising out of the Indemnifying Party’s breach of this Agreement or gross negligence, fraud, or willful misconduct, except to the extent caused by the Indemnified Parties’ breach or misconduct. 11. CONDUCT; MORALS; PUBLICITY 11.1 Conduct. Each Party shall refrain from conduct that it knows or should reasonably know would materially and adversely affect the other Party’s professional reputation or ability to perform hereunder. 11.2 Morals Clause. If either Party engages in conduct that constitutes a felony or an offense involving moral turpitude and such conduct becomes public and materially and demonstrably harms the other Party’s professional reputation or business, the harmed Party may terminate this Agreement upon written notice. Termination under this clause shall not deprive Manager of accrued commissions or applicable Sunset rights unless the terminating Party is Artist and the conduct is by Manager. 11.3 Publicity. Neither Party shall issue public announcements regarding this Agreement without the other’s prior written approval, except as required by law. 12. CONFIDENTIALITY; DATA PROTECTION 12.1 Confidentiality. Each Party shall keep confidential and not disclose the other Party’s non-public information obtained in connection with this Agreement, except to its personnel, advisors, licensed agents, and counterparties with a need to know and who are bound by confidentiality obligations at least as protective as those herein, or as required by law or court order (with prompt notice to the extent legally permissible). 12.2 Data Protection. Each Party shall process personal data in compliance with applicable data protection and privacy laws in the Territory and implement commercially reasonable administrative, technical, and physical safeguards commensurate with the nature of the data processed. 13. INSURANCE To the extent required by applicable law or customary for similarly situated professionals, each Party shall maintain insurance reasonably sufficient to cover its obligations hereunder. Upon reasonable request, a Party shall provide certificates evidencing such coverage. 14. ASSIGNMENT; DELEGATION; SUBAGENTS 14.1 Assignment. This Agreement is personal to Artist and may not be assigned by Artist without Manager’s prior written consent, except that Artist may assign to a loan-out entity wholly owned and controlled by Artist, provided Artist remains jointly and severally liable. Manager shall not assign this Agreement without Artist’s prior written consent, except to an affiliate or successor in interest in connection with a bona fide merger, acquisition, or sale of substantially all assets, provided that Key Person remains primarily responsible as provided in Section 4.2 and the assignee assumes all obligations hereunder. 14.2 Delegation; Subagents. Manager may not delegate the Services to third parties except to employees or contractors acting under Manager’s supervision or to licensed agents for procurement functions where licensing is required, subject to Artist’s approval under Section 5. 15. NOTICES All notices shall be in writing and deemed given when delivered personally, by reputable overnight courier, or by email with confirmation of transmission (and a hard copy sent by courier the same day) to the addresses first set forth above or such other address as a Party may designate by notice. 16. FORCE MAJEURE Neither Party shall be liable for failure or delay in performance (other than payment obligations) due to events beyond its reasonable control, including acts of God, war, terrorism, governmental action, epidemic, strikes (excluding strikes of a Party’s own workforce), or failures of utilities or communications, provided the affected Party uses commercially reasonable efforts to mitigate and resumes performance promptly. 17. GOVERNING LAW; DISPUTE RESOLUTION 17.1 Governing Law. MISCELLANEOUS 18.1 Independent Contractor. Manager is an independent contractor and not an employee, partner, or joint venturer of Artist. Nothing herein creates a fiduciary duty beyond those implied as a matter of law in a management relationship; Manager nonetheless owes duties of good faith and fair dealing. 18.2 Entire Agreement; Amendments. This Agreement constitutes the entire understanding of the Parties concerning its subject matter and supersedes all prior or contemporaneous agreements or understandings, whether oral or written. Amendments must be in a writing signed by both Parties. 18.3 Severability. If any provision is held invalid or unenforceable, it shall be enforced to the maximum extent permissible, and the remainder of the Agreement shall remain in effect. 18.4 Waiver. No waiver of any breach shall be deemed a waiver of any other or subsequent breach. Waivers must be in writing. 18.5 Counterparts; Electronic Signatures. This Agreement may be executed in counterparts and by electronic signatures, each of which shall be deemed an original and all of which together constitute one instrument. 18.6 Language. The governing language of this Agreement is English. At Artist’s request, a Chinese translation may be prepared for convenience; in the event of any conflict, the English version shall control.
