2. 乙方系依法成立并有效存续之主体/具有完全民事行为能力之自然人,或经合法授权可代表艺人签署并履行本合同,且具备提供现场演出服务之能力与资质; 3. 双方本着平等、自愿、公平和诚实信用原则,订立本合同,以资共同遵守。 为此,双方达成如下协议: 一、定义与解释 1.1 演出:指乙方按本合同约定在指定时间、地点,为现场观众提供的现场表演(含彩排、试音、上台表演及必要的签售/互动环节)。 1.2 演出资料:指与乙方及艺人有关之姓名/艺名、肖像、照片、视频、签名、标识(含注册商标)、简介、曲目单、演出画面及声音、舞台平面图、技术及接待需求等。 1.3 录制与传播:指对演出进行的录音、录像、摄影、直播、录播、点播、回放、信息网络传播及其他形式的固定、复制、编辑、改编、剪辑与向公众提供。 1.4 相关法律:指中华人民共和国现行有效之法律、行政法规、部门规章、地方性法规及与营业性演出相关之规范性文件(包括但不限于营业性演出管理条例及其实施细则、消防安保规范、噪声及环保规范等)。 二、演出基本信息 2.1 活动名称:星河音乐节(以甲方公布之对外正式名称为准)。 2.2 演出地点:[场地全称及地址]。 2.3 演出日期与时段:演出日为[ ]年[ ]月[ ]日,乙方无间断演出时长不少于[ ]分钟,表演出场时间以演出当日甲方制作人/舞台经理最终排期为准。 2.4 彩排与试音:乙方应于[ ]年[ ]月[ ]日[ ]:[ ]至[ ]:[ ]到场进行彩排与试音;甲方应确保舞台与设备按附件一(技术Rider)配置到位。 2.5 曲目与编制:乙方应于演出前[ ]个工作日向甲方书面确认曲目单、舞台编制与后台需求;曲目变更不应影响时长及审批事项。 2.6 票务与观众容量:由甲方负责。乙方不对甲方票务销售结果作任何承诺或承担任何保证责任,除非附件另有明确约定。 三、演出费用、税费与结算 3.1 费用结构(以下方式择一或组合采用): - 固定演出费(税前/税后):人民币[ ]元; - 乙方为非居民个人或非居民企业的,甲方有权按中国税法代扣代缴境内来源所得之税款; - 除非另有约定,上述演出费为含税价(或:不含税价,以本条首句明确为准)。 3.4 费用承担:除非附件二(接待Rider)另有约定,甲方承担乙方演出发生之必要差旅(机票/高铁/行李/地面交通)、住宿、现场餐饮及签证/工作许可等合理成本。 3.5 逾期:任何一方逾期付款,每逾期一日,向对方支付应付款项[ ]‰之违约金;逾期超过[ ]个工作日,守约方有权暂停履行或解除合同并追究违约责任。 四、行政许可与合规 4.1 甲方保证其或其合作方具备从事营业性演出活动所需之资质,并负责本音乐节相关的演出审批、备案及公安、消防、医疗救护、临建搭建、噪声控制等行政许可,确保活动合规举办。 4.2 涉及外籍或港澳台艺人时,甲方负责向文化和旅游主管部门申请有关演出许可,并在出入境、签证/停居留、临时演出证件等方面提供必要协助;乙方应按要求及时提供真实、完整的申请材料。 4.3 甲方负责观众公共表演著作权许可(如向中国音乐著作权协会缴纳公共表演许可费用);乙方保证其演出曲目、编曲及所用伴奏带、采样、视频素材等具备合法使用权,不侵犯任何第三人之著作权、邻接权或其他权利。 五、演出与制作义务 5.1 甲方义务: - 按附件一配置舞台、灯光、音响、后线、监控系统及备用方案,指派专业人员对接; - 提供后台区、化妆间、安全保卫及应急医疗,落实入场安检及观众秩序; - 在不降低艺人演出质量和人身安全的前提下,完成制作统筹与现场调度。 5.2 乙方义务: - 按时到场完成彩排/试音/演出;遵守场馆及舞台安全规则; - 保证表演内容不违反法律及公序良俗,不含违法广告或违禁内容; - 因身体原因无法演出时,应第一时间书面通知并提供三级甲等医院证明及合理替代方案(如可行)。 5.3 乙方替换:未经甲方书面同意,乙方不得以他人替代本合同所载艺人;确因重大疾病、不可抗力导致艺人不能演出且无法替代,适用第十条。 六、名称、肖像及品牌露出 6.1 限定授权:乙方许可甲方在本音乐节之宣传与报道范围内,非排他、不可转授权地使用艺人之姓名/艺名、肖像、照片、LOGO、演出资料,用于与本音乐节直接相关之宣传物料(含线下物料、官媒稿件、官方网站/社媒账号、新闻发布会),地域为中国大陆,期限自合同生效之日起至演出结束后[12]个月。超出前述范围或构成商业代言/背书之使用,须另行书面授权并另行计费。 6.2 赞助与商业呈现:甲方有权在不扭曲艺人形象且不违反法律法规之前提下,进行场景级赞助露出;乙方有权就与其现有代言/排他冲突之品牌提出合理限制(详见附件四品牌合规清单)。若涉及艺人登台时的品牌置入、台词或道具露出,须经乙方书面确认。 七、录制、直播与传播权 7.1 存档与短宣:乙方同意甲方为安全及档案目的进行现场拍摄,并在不影响演出之情况下,剪辑不超过3分钟的片段用于本音乐节回顾及来年宣传,地域为全球,期限为[12]个月;甲方应在期限届满后停止对该等内容的对外提供并合理协助下架。 7.2 直播/录播/长视频:如甲方拟对乙方演出进行直播、全程录播、点播或商业化分发,双方应另行签署书面补充协议,明确授权范围、媒体平台、地域、期限、版本控制、收益分配、数据披露与风控措施;未经该等授权,甲方不得进行上述行为。 7.3 UGC管理:甲方应采取合理措施限制观众进行商业化录制与传播;非商业且不构成实质性替代观看之UGC,按场馆政策及法律允许之范围处理。 7.4 权利保留:除本条明示许可外,艺人对现场录音录像及信息网络传播等邻接权利予以保留。 八、独家与竞演限制(可选) 8.1 半径条款:自演出日前后各[ ]日内,乙方不得在距本音乐节演出地点[ ]公里范围内进行公开售票演出或具有同等市场影响之商业演出;闭门品牌内购会/定制活动不在此限,但不得公开售卖门票或对外宣传与本音乐节同类定位。 8.2 违约金:违反前款之,乙方应向甲方支付违约金人民币[ ]元或相当于本合同演出费[ ]%之金额(以高者为准);甲方并有权要求乙方停止相关冲突演出。 九、商售与周边(可选) 9.1 乙方可在甲方指定区域进行官方周边销售,销售时间、品类及价格须事先报备;如需甲方提供结算通道,双方另行约定抽佣比例与税务处理。 9.2 禁售名单:涉及违禁品或与甲方独家品类赞助冲突之商品不得销售。 十、取消、延期与不可抗力 10.1 甲方原因取消:非不可抗力情况下,甲方单方取消,应向乙方支付:(1)如在演前[30]日(含)前取消,支付总演出费之[30]%作为取消费;(2)演前[29]日至[7]日取消,支付[60]%;(3)演前不足[7]日取消,支付[100]%并承担乙方已发生且合理之差旅等实际成本。 10.2 乙方原因取消:非不可抗力及非经甲方同意之正当事由,乙方单方取消,应向甲方退还已收费用并支付总演出费之[ ]%作为违约金;因乙方突发重大疾病或人身不可抗事由确不能演出且提供合法证明的,双方互不承担违约责任,已收未履行部分费用退还,已实际发生之必要成本由致事由一方承担。 10.3 不可抗力:依据中华人民共和国民法典关于不可抗力之规定,因不可抗力或政府命令、公共卫生事件、疫情防控政策、场地不可用、极端天气等导致演出取消或延期的,双方互不承担违约责任,就已发生之必要成本各自承担,未履行部分对价相应退还;如可延期,双方应尽商业上合理努力协商新的演出日期与条款。 10.4 部分履行:若演出中途因非乙方原因被迫中断,且不能恢复,则视为已实际履行比例结算演出费。 十一、保险与安全 11.1 甲方应为本音乐节购买公众责任保险,并承担观众人身、财产安全之组织管理职责;甲方应确保舞美结构经有资质单位审核并按规范搭建。 11.2 乙方应为艺人及其随行工作人员购买人身意外保险;乙方自带设备之运输、保管及保险由乙方负责;因甲方舞台/用电/安保等原因导致乙方人身或设备损害的,甲方应依法承担相应赔偿责任。 11.3 双方应建立现场应急预案,服从统一指挥,避免次生风险。 十二、陈述、保证与承诺 12.1 各方均保证其具有签署及履行本合同所需之权利能力与授权,签署与履行不违反对第三方之任何约定。 12.2 乙方保证: - 其演出内容合法合规,具备全部必要之权利许可;如发生权利侵权,由乙方承担相应法律责任并使甲方免责; - 演出不含危及公共安全之行为,不煽动扰乱秩序,不使用违禁物品或设备; - 不利用本音乐节从事任何违法广告或隐性代言行为。 12.3 甲方保证: - 依法取得并维持本音乐节所需全部许可与审批; - 不以误导方式使用乙方姓名肖像,不构成商业代言、保证或推荐之表示。 十三、违约与救济 13.1 任何一方违反本合同致对方遭受损失的,应承担违约责任并赔偿守约方因此遭受的直接损失及可得利益中可得而未得之部分(以订立合同时可合理预见为限)。 13.2 责任限制:除人身伤害、故意或重大过失、知识产权侵权、保密义务违反、税务代扣代缴义务违反外,任一方在本合同项下的累计赔偿责任上限为本合同下应支付之演出费总额。 13.3 禁止令与紧急救济:涉及姓名/肖像/著作权等知识产权或保密义务之违约,守约方有权向有管辖权之机构申请禁令或紧急救济。 十四、保密 14.1 双方对本合同内容及在履约过程中获知之对方商业信息负有保密义务,非因履约必要不得披露予第三方,但法律法规、证券监管规则或有权机关要求披露者不在此限(披露前应在可行范围内通知对方)。 14.2 本条于合同终止或解除后继续有效[三]年。 十五、通知与送达 15.1 双方通讯地址、联系人及邮箱/号码详见文首信息或附件五。任一方变更应及时书面通知对方,否则按变更前信息发送即视为有效送达。 15.2 双方同意采用电子签名与电子邮件/企业微信等可追溯方式进行通知;电子送达之通知自发送成功之时视为到达,能证明未能到达的除外。 十六、转让与分包 16.1 未经对方书面同意,任何一方不得全部或部分转让本合同权利义务;甲方为本音乐节之实施可在不减损乙方权利之前提下,委托其关联公司或指定的演出经纪机构履行制作与执行。 16.2 乙方不得将演出义务转交第三人履行。 十七、适用法律与争议解决 17.1 本合同适用中华人民共和国法律。 17.2 因本合同发生之争议,双方应先行友好协商;协商不成的,提交[ ]仲裁委员会按照其届时有效之仲裁规则在[ ]进行仲裁;仲裁裁决为终局,对双方均有约束力。(可选:由本合同签订地或演出地有管辖权的人民法院管辖。) 17.3 在争议解决期间,除争议事项外,双方应继续履行本合同其他条款。 十八、合同生效、期限与终止 18.1 本合同自双方授权代表签字/盖章之日生效,有效期至双方完成本合同项下全部义务之日止;其中涉及知识产权授权、保密、争议解决、责任限制等条款在合同终止或解除后继续有效。 18.2 因一方严重违约,经另一方书面催告后在合理期限内仍未纠正的,守约方有权解除本合同并要求违约方承担违约责任。 18.3 因法律政策变化或行政机关决定致使本合同无法履行的,双方可据此解除合同并按不可抗力处理。 十九、其他 19.1 完整协议:本合同及其附件构成双方就本合同事项之完整协议,取代先前口头或书面谅解。 19.2 可分割性:本合同任何条款无效或不可执行,不影响其他条款之效力;双方应以最接近原意之条款替代。 19.3 份数与签署:本合同一式[ ]份,双方各执[ ]份,具有同等法律效力;可采用电子合同形式签署并通过可信平台留存。 19.4 语言:本合同以中文订立;若有外文译本,以中文版本为准。 附件(均为本合同不可分割之组成部分): 附件一:技术Rider(舞台规格、输入清单、监听与后线、用电与安全、舞台图) 附件二:接待Rider(交通/住宿标准、餐饮、后台配置、通行证与安保) 附件三:演出排期与曲目单(如有) 附件四:品牌与赞助合规清单(冲突品牌、禁用品类、露出规范) 附件五:结算单及税务信息(账户信息、发票抬头与发票要素) 附件六(可选):直播/录播/点播授权及分成补充协议 [签署页无正文] 甲方(盖章):____________________ 法定代表人/授权代表(签字):______ 日期:______年____月____日 乙方(盖章/签字):________________ 法定代表人/艺人/授权代表(签字):__ 日期:______年____月____日 重要提示(操作指引,非合同条款): - 请根据实际情况填写方括号信息,并在附件中明确技术与接待细节,以降低履约风险; 演出涉及港澳台/外籍人员时,依法办理相应批准手续,按主管部门要求提交材料并承担相关法定义务。 4.2 乙方声明与保证: - 对艺人的演出安排、肖像、姓名/艺名使用等享有合法授权;艺人年满18周岁(如为未成年人,乙方须取得法定监护人及主管部门所需之许可并另行约定特别保护条款)。 - 艺人身体健康、无法律法规所禁止从事营业性演出的情形;演出内容不含违法、低俗、危害国家安全、民族团结及其他禁止性内容。 4.3 任一方未依法完成许可/备案或存在实质性合规瑕疵导致演出无法进行的,违约方应承担相应违约责任,并赔偿对方因此遭受的直接损失。 第五条 知识产权与权利授权 5.1 公共表演权:就演唱/演奏之音乐作品的公开表演权许可,原则上由甲方向中国音乐著作权协会(MCSC)等权利集体管理组织或权利人依法取得并承担相关费用;乙方应提供曲目清单用于许可申报。 5.2 录音制品/伴奏带/采样等使用权:由乙方自行保证并取得必要授权,如因此产生第三方索赔,由乙方自行处理并使甲方免责。 5.3 录音录像与直播: - 未经乙方书面许可,甲方不得对演出进行商业性录音、录像、直播或向第三方授权;新闻报道或演出回顾用途的短片剪辑可在不影响艺人权益与演出形象的前提下使用,单段不超过30秒、总时长不超过2分钟,并应标注艺人姓名/艺名。 - 甲方应采取合理措施限制观众长时间、系统性录音录像对演出秩序与艺人权益的实质影响。 5.4 宣传授权:乙方授权甲方在本场演出宣传期内,以合理方式使用艺人姓名/艺名、肖像、商标(如有)及不涉隐私的资料,用于与本场演出直接相关的宣传,不得用于与演出无关的商业背书或广告代言。宣传素材须经乙方审核同意。 5.5 周边商品:乙方有权在场内或指定区域售卖与艺人相关的官方周边。场地方如收取摊位/通道/分成费用,标准为:________________;未约定的,视为不收取。 第六条 技术与舞台要求 6.1 技术附件:乙方应至少于演出前__个工作日提供舞台图、输入清单、灯光/音响/视频需求及后台化妆间需求(附件一:技术Rider)。甲方应按附件标准提供并完成安装调试。 6.2 验收与调整:彩排/试音时,双方对关键技术指标进行确认;如甲方未达最低技术标准,乙方有权要求限时整改;逾期仍未达标,乙方可合理缩短演出或延期至达标后进行,相关责任由甲方承担。 6.3 设备安全:甲方对场地设备、舞台搭建、临电布线、承重与防护负全责;乙方对其自带设备之安全使用负责。 第七条 安全、秩序与合规运营 7.1 安全保障:甲方负责观众安保、秩序维护、票务稽核、消防器材配备、应急预案及演出保险(建议投保公众责任险),并遵守《大型群众性活动安全管理条例》(如适用)及地方性法规规章。 7.2 噪声与时间管理:甲方应确保演出音量与结束时间符合城市管理与环保部门之要求,避免行政处罚或投诉纠纷。 7.3 内容底线:乙方承诺不在演出中发表违法不当言论或实施损害公共秩序、社会公德的行为;甲方不得要求乙方表演违反法律法规或监管要求的内容。 第八条 取消、延期与票务退改 8.1 非因不可抗力的单方取消: - LIVE PERFORMANCE AGREEMENT (THEATRE ENGAGEMENT) This Live Performance Agreement (the Agreement) is entered into as of [Date of Execution] (the Effective Date) by and between: (a) [Full Legal Name of Presenter/Promoter], with principal place of business at [Address] (Presenter), and (b) [Full Legal Name of Artist or Artist’s Loan-Out Company], with principal place of business at [Address] (Artist). Presenter and Artist are each a Party and, collectively, the Parties. RECITALS A. Presenter desires to engage Artist to perform a live musical/theatrical performance at the venue commonly known as Harbor Center Theatre (海港中心剧场), located at [Venue Address] (the Venue); and B. Artist is willing to perform subject to the terms and conditions herein. NOW, THEREFORE, in consideration of the mutual covenants set forth below, the Parties agree as follows: 1. Definitions 1.1 Engagement means the live performance described in Section 2. 1.2 Gross Box Office Receipts (GBOR) means all sums actually received from ticket sales for the Engagement, including service/handling fees only to the extent retained by Presenter, excluding VAT/GST/sales tax, credit card merchant fees actually charged by third parties (not to exceed [x]%), and documented refunds/chargebacks. 1.3 Net Box Office Receipts (NBOR) means GBOR less the Approved Expenses (as defined below) expressly identified in Exhibit B and subject to any caps stated therein. 1.4 Approved Expenses means only those itemized expenses set forth in Exhibit B (e.g., venue rental, advertising, ticketing fees), each subject to any cap, that are pre-approved in writing by Artist’s representative prior to being recouped from GBOR/NBOR. 2. Engagement; Date; Performance 2.1 Date/Time. Artist shall perform one (1) live performance at the Venue on [Date] with doors at [Time], soundcheck at [Time], and a performance start time of [Time]. Performance length shall be not less than [__] minutes and not more than [__] minutes, exclusive of encores, unless otherwise mutually agreed in writing. 2.2 Support Acts; Billing. Any support/opening acts are subject to Artist’s prior written approval, not to be unreasonably withheld. Artist shall receive [sole/top/co-]billing as “[Artist Name]” in all advertising and promotional materials, with billing not less favorable than any other artist appearing on the same bill. 2.3 Curfew; Overruns. Presenter shall disclose any curfew or noise restrictions in writing at least [10] days prior. No penalties for overruns shall be assessed absent Artist’s written consent. 3. Compensation; Settlement 3.1 Compensation Structure. The Parties agree to the following compensation (select and complete as applicable): (a) Guaranteed Fee: A fixed guarantee of [Currency and Amount] (the Guarantee); or (b) Guarantee Plus Percentage: The Guarantee plus [__]% of NBOR after recoupment of Approved Expenses; or (c) Percentage Deal: [__]% of NBOR after Approved Expenses; or (d) Flat Buyout: A flat fee of [Currency and Amount], inclusive of all performance compensation and local taxes except as expressly stated in Section 4. 3.2 Deposit; Payment Method. A non-refundable deposit of [__]% of the Guarantee (or buyout) is due within [5] business days of full execution. The balance is due at settlement immediately following the performance by wire transfer, cashier’s check, or other mutually agreed guaranteed funds. Late payment constitutes a material breach. 3.3 Settlement; Audit. Box office settlement shall occur immediately post-performance with an itemized statement and supporting documentation. Artist (or its representative or auditor) may inspect ticket reports, drop counts, and settlement records and may audit Presenter’s books relating to the Engagement within [12] months after the performance upon [10] days’ prior notice. Underpayment of more than [5]% shall be promptly cured with interest at [__]% per annum and audit costs reimbursed. 4. Taxes; Withholding; Forms 4.1 Taxes. Presenter shall be responsible for all venue-related taxes and shall withhold any legally required taxes from payments to Artist only to the extent required by applicable law, providing contemporaneous written notice and official receipts. Presenter shall cooperate to minimize withholding, including accepting valid tax forms: [W-8BEN-E/W-8BEN/W-9 or local equivalents]. 4.2 VAT/GST. If VAT/GST applies, the Parties shall issue compliant tax invoices and the fee shall be stated [exclusive/inclusive] of VAT/GST as indicated in Exhibit B. 5. Travel; Accommodation; Local Transportation 5.1 Travel and Lodging. Unless otherwise stated in Exhibit A, Presenter shall provide and prepay [__] round-trip airfares at [class], [__] hotel rooms (minimum [__]-star or equivalent) for [__] nights, and local ground transportation for Artist and crew between airport, hotel, and Venue. Alternatively, if buyout amounts are specified in Exhibit B, Presenter shall pay the stated buyouts and Artist shall self-arrange. 5.2 Per Diems. Presenter shall provide per diems of [Currency and Amount] per person per show day (and half per travel day), unless a hospitality rider is provided pursuant to Exhibit C. 6. Technical and Hospitality 6.1 Riders. The Technical Rider and Hospitality Rider attached as Exhibits A and C are incorporated by reference. Presenter shall provide all backline, sound, lighting, stagehands, and reasonable hospitality as therein specified. 6.2 Access; Soundcheck. Artist shall have exclusive access to the stage and production facilities for a continuous soundcheck of not less than [__] minutes. 7. Merchandising 7.1 Rights; Commission. Artist retains the exclusive right to sell Artist-branded merchandise at the Venue. Presenter shall provide a staffed, secure sales location and allow credit card terminals. Any house commission shall not exceed [__]% of net receipts after sales taxes and credit card fees, and no commission shall apply to recorded music (CD/vinyl/digital download cards) unless explicitly stated here: [__]%. 7.2 Venue/Concessions. Presenter shall not sell or permit the sale of unapproved merchandise confusingly similar to Artist’s merchandise. 8. Advertising; Publicity; Sponsors 8.1 Use of Name and Likeness. Presenter is granted a limited, non-exclusive, revocable license to use Artist’s approved name, trademarks, logos, and approved publicity materials solely to advertise the Engagement. No use implying endorsement of any product, political cause, or sponsor is permitted without Artist’s prior written approval. 8.2 Promotional Materials. All headlining ads must use approved artwork and conform to billing. Presenter shall promptly remove any unapproved materials upon notice. 8.3 Complimentary Tickets. Artist shall receive [__] complimentary tickets and [__] guest list admissions, with at least [__] available as prime seats. 9. Recording; Broadcasting; Photography 9.1 Restrictions. No audio/video recording, live streaming, or broadcast of the performance or soundcheck is permitted without Artist’s prior written consent, except Presenter may make a non-commercial, two-song archival recording solely for internal security/training purposes, to be destroyed within [30] days absent further written consent. 9.2 Audience Photography. Presenter shall enforce a reasonable policy prohibiting professional cameras and flash photography absent Artist’s consent and shall post and announce such policy as needed. 10. Intellectual Property; Performance Rights 10.1 Ownership. Artist retains all rights in and to Artist’s musical/comedic/dramatic works, performances, trademarks, and copyrights. No work-for-hire is intended or created by this Agreement. 10.2 Public Performance Licenses. Presenter shall obtain and maintain all public performance licenses required by applicable performing rights organizations for the Venue (e.g., the competent PRO(s) in the jurisdiction) and shall pay any associated fees. Nothing herein grants mechanical, synchronization, or derivative rights. 10.3 Name and Likeness. Except as permitted in Section 8, no other rights in Artist’s name, likeness, voice, or biographical material are granted. 11. Force Majeure Neither Party shall be liable for failure or delay caused by events beyond its reasonable control, including acts of God, government orders, epidemics/pandemics, public health emergencies, war, civil unrest, labor disputes not caused by the affected Party, fire, flood, or utility failures, provided the affected Party gives prompt notice and uses diligent efforts to mitigate. If force majeure prevents performance, the Parties shall use good faith efforts to reschedule within [6] months on substantially similar terms. Deposits shall be applied to the rescheduled date; if no reschedule is feasible, deposits shall be refunded to the paying Party, less unrecoverable, pre-approved, documented out-of-pocket costs. 12. Cancellation; Default 12.1 Presenter Cancellation (Non–Force Majeure). If Presenter cancels for reasons other than force majeure or Artist’s breach: (a) within [60–31] days of the Engagement, Presenter shall pay [50]% of the Guarantee; (b) within [30–15] days, [75]%; (c) within [14] days, [100]%, plus any non-refundable travel/hotel costs. 12.2 Artist Cancellation (Non–Force Majeure). If Artist cancels for reasons other than force majeure or Presenter’s breach, Artist shall promptly refund any unearned deposits and use commercially reasonable efforts to reschedule on comparable terms. 12.3 Material Breach; Cure. Upon material breach, the non-breaching Party may terminate after [5] days’ written notice and opportunity to cure, except where cure is not possible due to time sensitivity of the Engagement, in which case immediate termination is permitted. 13. Warranties; Representations; Indemnities 13.1 Mutual. Each Party represents that it has full authority to enter into and perform this Agreement and that doing so does not violate any other agreement. 13.2 Artist. Artist warrants that the performance will not infringe any third-party rights and will comply with applicable laws. Artist does not warrant audience size, critical reception, or revenue. 13.3 Presenter. Presenter warrants that the Venue is properly licensed, insured, safe, and compliant with building, fire, health, and safety regulations, and that Presenter will provide adequate qualified security and medical/first aid resources appropriate to the capacity and event profile. 13.4 Indemnities. Each Party (the Indemnifying Party) shall indemnify, defend, and hold harmless the other Party and its officers, employees, and agents from and against third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of the Indemnifying Party’s breach of this Agreement, negligence, or willful misconduct. Indemnities exclude consequential, special, or punitive damages except to the extent awarded to a third party in a claim covered by this Section. 14. Insurance 14.1 Presenter Insurance. Presenter shall maintain commercial general liability insurance with limits not less than [USD/EUR/local currency equivalent of] 1,000,000 per occurrence and 2,000,000 aggregate, naming Artist (and Artist’s loan-out company, if any) as additional insureds for the Engagement, and provide certificates at least [10] days prior. 14.2 Artist Insurance. Artist shall maintain insurance for owned instruments/equipment and customary liability coverage for its personnel. 14.3 Waiver of Subrogation. Each Party’s policies shall provide a waiver of subrogation in favor of the other Party to the extent available. 15. Visas; Work Permits; Compliance 15.1 Presenter shall provide timely invitation letters and reasonable assistance for any required visas, work permits, and carnets. If visas/permits are denied despite timely, good-faith efforts, the Engagement may be cancelled without fault and handled under Section 11. 15.2 Laws; Policies. The Parties shall comply with all applicable laws and Venue policies disclosed in advance, including noise ordinances, curfews, and capacity limits. 16. Safety; Production; Security 16.1 Safety. Presenter shall ensure the stage, rigging, power, and production meet industry standards and applicable codes. Artist may suspend performance if safety is compromised, without prejudice to Artist’s right to compensation if Presenter fails to cure promptly. 16.2 Security. Presenter shall provide professional security appropriate to the event and protect Artist, crew, equipment, and merchandise areas. Backstage access shall be controlled per Artist’s advance. 17. Radius; Exclusivity [Optional] Artist shall not perform a public ticketed performance within [__] kilometers/miles of the Venue between [__] days before and [__] days after the Engagement without Presenter’s prior written consent, excluding private, corporate, or media appearances not open to the general public. 18. Confidentiality The financial and business terms herein are confidential. No Party shall disclose them except to professional advisors, as required by law, or to effectuate insurance, visas, or tax filings. 19. Independent Contractor; Assignment Artist is an independent contractor. Nothing creates a partnership, joint venture, or employment relationship. Neither Party may assign this Agreement without the other Party’s prior written consent, except either Party may assign to an affiliate or in connection with a merger or sale of substantially all assets, provided the assignee assumes all obligations. 20. Notices All notices shall be in writing and deemed given when delivered by hand, reputable courier, or email with confirmation, to the addresses below or as updated by notice: For Presenter: [Name, Title, Address, Email] For Artist: [Name, Title/Agent, Address, Email] 21. Governing Law; Dispute Resolution 21.1 Governing Law. Judgment on the award may be entered in any court of competent jurisdiction. 21.3 Interim Relief. Either Party may seek injunctive or other equitable relief from a competent court to protect intellectual property, confidentiality, or to preserve the status quo pending resolution. 22. Miscellaneous 22.1 Entire Agreement; Amendments. This Agreement, including Exhibits, constitutes the entire understanding and supersedes all prior agreements regarding the Engagement. Amendments must be in a writing signed by both Parties. 22.2 Severability. If any provision is held invalid, the remaining provisions remain in full force, and the invalid provision shall be replaced by a valid one that most closely reflects the Parties’ intent. 22.3 No Waiver. Failure to enforce any provision is not a waiver of future enforcement of that or any other provision. 22.4 Counterparts; E-Signatures. This Agreement may be executed in counterparts and by electronic signatures, each deemed an original.
