竞业限制条款(适用于劳动关系) 鉴于:甲公司依法从事[填写主营业务],拥有涉及技术秘密和经营信息的商业秘密及相关知识产权;李某在甲公司任职期间可能接触、知悉上述商业秘密与保密信息。为保护甲公司合法权益,双方依据《中华人民共和国劳动合同法》《反不正当竞争法》及相关司法解释之规定,在平等、自愿基础上就竞业限制事宜达成如下约定: 一、定义 1.1 商业秘密与保密信息:指甲公司不为公众所知悉、能为甲公司带来经济利益、具有实用性并经甲公司采取保密措施的信息,包括但不限于技术方案、源代码、算法、数据集、研发路线、原理、工艺、配方、设计图纸、样品、测试与评估报告、缺陷与改进方案、产品路线图、经营策略、客户及潜在客户清单、交易习惯、价格政策、供应商信息、投标文件、合同条款、财务及成本信息、营销与定价策略、商业计划、并购与投资方案、未公开专利与商标申请信息等。 1.2 竞争性业务:指与甲公司现有或离职前两年内实际经营的主营业务、核心产品/服务相同或实质上构成替代且在相关市场上对甲公司构成直接或潜在竞争的业务。具体以本条款附件一“竞争性业务范围”所列为准。 1.3 竞争性用人单位:指在与甲公司相同或相近相关市场从事竞争性业务的法人或非法人组织(包括其母公司、子公司、控制或被控制的关联方、实际控制人控制之企业等)。具体以附件二“竞争对手名录”所列为准;附件所列经双方书面一致同意方可调整。 1.4 非招揽对象:指甲公司在李某离职之日前十二个月内发生过实际交易或正在实质接洽的客户、经销商、代理商、合作伙伴(含潜在客户),以及甲公司在职员工(含签约未入职人员)。 二、适用对象声明 2.1 李某确认其在甲公司担任[高级管理/高级技术/其他负有保密义务岗位],因工作需要接触并知悉甲公司商业秘密及保密信息,符合劳动合同法关于竞业限制适用对象之规定。 三、保密义务 3.1 李某在职期间及离职后持续负有对商业秘密与保密信息的保密义务,非经甲公司书面许可,不得以任何方式披露、使用或允许他人使用该等信息。 3.2 李某应在离职时归还、删除或销毁载有商业秘密与保密信息的所有载体及其复制件,并配合完成账户、设备、权限的移交与注销。 四、竞业限制义务 4.1 限制期间:自双方劳动关系解除或终止之日起生效,期限为[填写:不超过24个月],实际起止以离职手续办结之日计算。任何情形下限制期限均不得超过法律允许的最长期限。 4.2 限制地域:为[填写具体地域,如中国大陆/省/市/甲公司具有实质业务的区域]。如甲公司在限制期间内于上述地域内新增设分支机构、生产/研发/销售基地,但在离职时已形成确定计划且可被合理预见的,亦纳入限制地域。 4.3 限制内容: - 就职限制:限制期间内,李某不得在任何竞争性用人单位处担任雇员、顾问、顾问式雇员、合伙人、独立承包人、实习或以任何形式提供与竞争性业务相关的劳务或服务。 - 自主经营限制:不得自行或通过第三方投资、设立、实际控制或参与经营竞争性业务(被动持有不超过[如5%]的公开流通证券除外)。 - 非招揽限制:不得直接或间接(含通过第三人)向非招揽对象进行业务招揽、诱导或交易,不得挖引、招揽或协助招揽甲公司在职员工离职或与竞争性用人单位建立劳动/劳务关系。 4.4 合理性与可分割执行:如人民法院/仲裁机构认定本条款之业务范围、地域或期限存在过宽部分,应在法律允许范围内予以限缩并继续执行限缩后的义务。 五、竞业限制经济补偿 5.1 支付标准:甲公司于限制期间内按月向李某支付竞业限制经济补偿金,每月人民币[金额或比例:如为离职前十二个月平均工资的30%-60%或双方约定的固定金额],且不低于法律、法规或裁判规则要求的最低标准(如有)。 5.2 支付方式:自限制期起算之次月起按月在每月[具体日期]前支付至李某指定账户,依法代扣代缴个人税费。 5.3 逾期与催告:甲公司未按期足额支付的,李某有权书面催告,甲公司自收到催告之日起[如10个工作日]内仍未补足的,李某有权单方解除竞业限制义务;该等解除不影响李某就已发生期间应得补偿金的主张及甲公司的既往违约责任。 六、违约责任与救济 6.1 违约金:李某违反本条款任何竞业限制或非招揽义务的,应向甲公司支付违约金人民币[具体数额或计算方式,例如:已支付竞业限制补偿金总额的2-3倍,且不低于人民币[金额]];违约金不足以弥补甲公司损失的,甲公司有权就不足部分另行主张赔偿。 6.2 不当获利返还:李某因违约取得的报酬、红利、投资收益等不当获利,甲公司有权依法请求返还。 6.3 持续履行与行为保全:除请求违约金和损害赔偿外,甲公司有权在不超过法定最长期限的范围内请求继续履行竞业限制义务,并可依法向有管辖权的人民法院申请行为保全或禁令性救济。 6.4 竞业补偿抵充:李某违反竞业限制的,甲公司已支付的竞业限制补偿金有权要求返还,并可与违约金/赔偿金相互抵扣。 七、提前解除与特别约定 7.1 甲公司提前解除权:限制期间内,甲公司可基于经营需要提前解除本条款之竞业限制义务,但应至少提前[如30日]书面通知李某,并额外一次性支付相当于[如三个月]竞业限制补偿金的解除补偿金(法律、司法解释或地方法规另有强制性规定的,从其规定)。 7.2 丧失前提:如发现李某在职期间存在严重违纪、严重违反保密义务、侵害甲公司知识产权或其他严重违约行为,甲公司有权解除与李某的竞业限制安排,同时保留追究相应法律责任的权利;但该等解除不影响甲公司就已经发生的损失主张赔偿。 八、证据与协助 8.1 李某承诺在限制期间如拟从事任何新的工作或合作,将在入职/合作前以书面形式向甲公司披露拟任职务、岗位职责、用人单位名称与业务范围,并应促使该用人单位出具不涉及竞争性业务与非招揽的书面承诺。 8.2 甲公司如对李某遵守本条款存在合理怀疑,有权在不侵犯个人隐私、依法合规的前提下通过公开渠道或必要的合理方式进行核验,李某应予以配合。 九、知识产权不影响竞业限制 9.1 李某在职期间因履行职责或主要利用甲公司物质技术条件完成的职务作品、职务发明创造、技术改进及相关成果的知识产权归属,依法律及双方另行签署的知识产权归属与保密协议执行;该等权利安排不影响本条款之独立有效性与执行。 十、期限届满与后果 10.1 限制期限届满或经有效解除后,竞业限制义务终止。除法律另有规定或双方另有书面约定外,保密义务不因竞业限制终止而终止。 10.2 本条款约定的违约金、赔偿金、返还不当得利、行为保全等救济不因期限届满而当然消灭,对期限内已发生之违约或侵权行为,甲公司仍可依法主张。 十一、可分割性与优先适用 11.1 本条款如有任何条款被认定为无效、部分无效或不可执行,均不影响其他条款之效力;对范围、地域、期限过宽部分,双方同意由裁判机关在法律允许范围内予以合理限缩并予以执行。 11.2 本条款与双方劳动合同及其他保密、知识产权协议不一致的,以保护商业秘密与公平竞争所必需且更为严格的条款为优先,但不得违反强制性法律规定。 十二、争议解决与适用法律 12.1 本条款之订立、效力、履行、变更、解除及争议解决,适用中华人民共和国法律(为本条之目的不含香港特别行政区、澳门特别行政区及台湾地区法律)。 12.2 因本条款引发或与本条款有关之争议,双方应先行协商;协商不成的,依法提交劳动争议仲裁委员会仲裁;对仲裁裁决不服的,依法向有管辖权的人民法院提起诉讼。 十三、附件与生效 13.1 附件一:竞争性业务范围;附件二:竞争对手名录。附件为本条款不可分割之组成部分,与本条款具有同等法律效力。 13.2 本条款经双方签字/盖章之日起生效。对未尽事宜,双方可另行签订补充协议,补充协议与本条款具有同等法律效力。 提示与执行要点(非条款正文) - 请结合甲公司实际业务、李某岗位职责、地域市场、离职前收入水平,合理明确附件内容、地域范围及补偿标准,避免过宽而被限缩或被认定无效。 - 补偿金应按月足额支付并保存支付凭证;竞业限制期限不得超过两年;适用对象应为高级管理、技术或其他负有保密义务人员。 - 对“提前解除补偿”“逾期支付的解除条件”“违约金计算”建议填入具体数值,并与当地司法裁判规则保持一致。
Non-Competition and Non-Solicitation Covenant This Non-Competition and Non-Solicitation Covenant (this Covenant) is entered into by and between Company B, a [jurisdiction and entity type] with its principal place of business at [address] (the Company), and Employee B, [identification details], residing at [address] (the Employee), effective as of [date]. In consideration of the Employee’s employment or continued employment with the Company, the compensation and benefits provided or to be provided to the Employee (including, without limitation, the consideration set forth in Section 2 below), and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows: 1. Definitions 1.1 Business means the business activities conducted or demonstrably planned by the Company or its Affiliates during the 12 months preceding the Termination Date, including without limitation [brief description of Company’s products/services/lines of business]. 1.2 Affiliate means any entity that directly or indirectly controls, is controlled by, or is under common control with the Company. 1.3 Confidential Information means information of the Company or its Affiliates that is confidential, proprietary, or trade secret, whether oral, written, electronic, or in any other form, including, without limitation, technical data, know-how, processes, product plans, business plans, strategies, pricing, costs, customer or supplier lists, financial information, inventions, discoveries, and works in progress, in each case whether or not marked confidential and whether disclosed before or after the date hereof. 1.4 Competing Business means any person or entity that, within the Restricted Territory, engages in, or intends to engage in, the design, development, manufacture, marketing, sale, distribution, provisioning, or support of products or services that are the same as, or are substitutable for, or are reasonably competitive with, the Business. 1.5 Customer means any person or entity to whom the Company or its Affiliates provided products or services, or with whom the Company or its Affiliates actively solicited business, and with whom the Employee had Material Contact during the 12 months preceding the Termination Date. 1.6 Key Employee means any employee, consultant, or contractor of the Company or its Affiliates who (i) possesses or has access to Confidential Information; (ii) has managerial, supervisory, or senior technical responsibilities; or (iii) is employed in sales, product, research and development, or other roles material to the Business, and with whom the Employee had Material Contact during the 12 months preceding the Termination Date. 1.7 Material Contact means direct interaction, responsibility for, supervision of, or receipt of Confidential Information pertaining to a person, entity, account, project, product, or market segment. 1.8 Restricted Period means the Employee’s period of employment with the Company and, following the Termination Date, the shorter of: (i) 12 months, (ii) the maximum period permitted by applicable law, or (iii) such lesser period as a court of competent jurisdiction may determine to be enforceable. The parties further agree to the following step-down durations, to be applied if and to the extent a longer duration is found unenforceable: 12 months; 9 months; 6 months. 1.9 Restricted Territory means (i) each country, province, state, or other geographic area in which the Employee worked for, had responsibility for, or received Confidential Information about the Company’s operations during the 12 months preceding the Termination Date; and (ii) any geographic area in which the Company or its Affiliates sold, delivered, or actively marketed products or services within such period. The parties further agree to the following step-down territories, to be applied if and to the extent a broader territory is found unenforceable: worldwide; the [region/continent]; [country]; [province/state]; within [X] kilometers/miles of any facility or customer site for which the Employee had Material Contact. 2. Consideration for Restrictive Covenants 2.1 As specific consideration for the Employee’s agreements herein, the Company shall provide the Employee with the following: (i) continued employment on and after the effective date of this Covenant; and (ii) additional consideration consisting of [cash payment/sign-on bonus/equity grant/garden leave pay/other], valued at [amount/currency], the adequacy of which the Employee hereby acknowledges. 2.2 Post-Termination Compensation (where required by applicable law). If the Employee’s post-termination non-competition obligations require compensation under the applicable law of the place of employment (including, for example, the People’s Republic of China), the Company shall pay the Employee a monthly non-compete compensation during the post-termination portion of the Restricted Period in an amount not less than the minimum required by applicable law (by way of illustration for PRC law, no less than [30%] of the Employee’s average monthly salary during the 12 months preceding the Termination Date or the local statutory minimum standard, whichever is higher), payable monthly in arrears. If the Company ceases payment of such required compensation, the post-termination non-compete shall cease as of the date of cessation, except as otherwise required by law. 3. Non-Competition During the Restricted Period, the Employee shall not, within the Restricted Territory, directly or indirectly, whether as an employee, employer, consultant, independent contractor, agent, principal, partner, stockholder (except as a passive owner of not more than 5% of the outstanding shares of a publicly traded company), member, director, officer, or in any other capacity, (i) engage in, (ii) perform services (of the type that are the same as or substantially similar to those the Employee provided to the Company during the 12 months preceding the Termination Date), or (iii) have ownership or financial interest in a Competing Business. Notwithstanding the foregoing, the Employee may accept employment with a Competing Business in a role that is not competitive with the Business and does not, directly or indirectly, involve responsibilities that overlap with the Business, provided such role is pre-cleared in writing by the Company, not to be unreasonably withheld. 4. Non-Solicitation of Customers and Business Partners During the Restricted Period, the Employee shall not, directly or indirectly, on behalf of the Employee or any third party: 4.1 solicit, divert, or accept business from any Customer for products or services that are competitive with the Business; or 4.2 induce any supplier, distributor, licensor, licensee, or other business partner of the Company or its Affiliates with whom the Employee had Material Contact to reduce, terminate, or adversely modify its relationship with the Company or its Affiliates. 5. Non-Solicitation of Personnel; Non-Interference During the Restricted Period, the Employee shall not, directly or indirectly: (i) solicit, recruit, induce, or encourage any Key Employee to leave the employ or engagement of the Company or its Affiliates; (ii) hire or engage any Key Employee; or (iii) otherwise interfere with the relationship between the Company or its Affiliates and any of their employees, consultants, contractors, or agents. 6. Confidential Information; Non-Disclosure The Employee shall not, during employment or thereafter, disclose, use, or permit the use of any Confidential Information except in the proper performance of the Employee’s duties for the Company or as expressly authorized in writing by the Company or as required by law (and then only after providing prompt notice to the Company to the extent lawful). This Section supplements and does not limit any separate confidentiality, invention assignment, or similar agreement between the parties. 7. Notice of Subsequent Employment; Cooperation 7.1 During the Restricted Period, the Employee shall provide the Company with written notice of any new employment or engagement within 7 days of acceptance, identifying the new employer/client, position, and duties, and shall provide a copy of this Covenant to any prospective employer or principal prior to commencement. 7.2 Upon reasonable request, the Employee shall furnish the Company a written description from the new employer of the Employee’s anticipated duties sufficient to allow the Company to assess compliance. 7.3 The Employee agrees to cooperate in good faith to tailor duties in a manner that avoids violation of this Covenant. 8. Tolling The post-termination portion of the Restricted Period shall be tolled and extended by the period during which the Employee is in breach of any of Sections 3–6, to the maximum extent permitted by applicable law. 9. Reasonableness; Legitimate Interests The Employee acknowledges and agrees that: (i) the Company’s legitimate protectable interests include, without limitation, its trade secrets, Confidential Information, goodwill, customer and prospect relationships, and investment in employee training; (ii) the restrictions in this Covenant are reasonable and no broader than necessary to protect such interests in scope, geography, and duration; and (iii) the Employee has had the opportunity to consult independent legal counsel before signing this Covenant. 10. Blue-Pencil; Step-Down; Reformation If any provision of this Covenant is found by a court of competent jurisdiction to be overly broad or otherwise unenforceable, the parties authorize such court to modify, revise, or “blue-pencil” the provision to the minimum extent necessary to render it enforceable, and to enforce it as so modified. The step-down durations and territories in Sections 1.8 and 1.9 are intended to be applied in the alternative to preserve enforceability. 11. Remedies The Employee agrees that any breach of this Covenant would cause the Company irreparable harm for which monetary damages would be inadequate and difficult to ascertain. Accordingly, in addition to any other remedies available at law or in equity, the Company shall be entitled to seek temporary, preliminary, and permanent injunctive relief and specific performance, without the necessity of posting bond or proving actual damages (to the extent permitted by law). The Company shall also be entitled to recover damages, disgorgement of compensation received by the Employee in connection with any breach, and, where permitted by law, reasonable attorneys’ fees and costs incurred in enforcing this Covenant. 12. Compliance With Applicable Law; Jurisdiction-Specific Adjustments 12.1 The parties intend this Covenant to be construed and enforced to the maximum extent permissible under applicable law. If the governing law or the law of the Employee’s place of employment restricts or prohibits non-competition or non-solicitation covenants, this Covenant shall be interpreted to provide the maximum permissible protection of the Company’s legitimate interests, which may include, where applicable, limits on the scope of duties performed for a Competing Business, non-solicitation, non-dealing, non-interference, and confidentiality obligations. 12.2 Without limiting the generality of Section 12.1: (a) People’s Republic of China. If the Employee is employed in or primarily works in the PRC, (i) the post-termination non-compete shall not exceed 24 months; (ii) the Company shall pay the monthly non-compete compensation described in Section 2.2; (iii) the Company may terminate the post-termination non-compete upon [30] days’ prior written notice and payment of accrued compensation up to the termination date; and (iv) these covenants shall apply only to employees permitted by PRC law to be subject to post-termination non-compete obligations (e.g., senior management, senior technical staff, and other personnel with confidentiality obligations). (b) Jurisdictions prohibiting employee non-competes. In any jurisdiction that prohibits employee non-competes (in whole or in part), the non-compete in Section 3 shall be of no force and effect to the extent prohibited, but the remaining provisions (including confidentiality and, where lawful, non-solicitation and non-interference) shall remain enforceable to the fullest extent permitted. 12.3 Nothing in this Covenant shall be construed to restrict the Employee from engaging in any activity protected by applicable labor, employment, antitrust, or competition laws. 13. Consideration; At-Will Employment; No Restriction on Whistleblowing 13.1 The Employee acknowledges that the consideration provided for this Covenant is fair and adequate and that the Employee would not receive such consideration absent the Employee’s agreement to these restrictions. 13.2 Unless otherwise expressly set forth in a separate written agreement, nothing herein alters the at-will nature of employment (if applicable under governing law). 13.3 Nothing herein prohibits the Employee from reporting possible violations of law or regulation to, or from cooperating with, any governmental agency, or from making disclosures protected by law, including under whistleblower protections. 14. Governing Law; Venue This Covenant shall be governed by and construed in accordance with the laws of [Governing Law Jurisdiction], without regard to its conflicts of law principles. The parties agree that any action arising out of or relating to this Covenant shall be brought exclusively in the courts of [venue], and each party irrevocably submits to the jurisdiction of such courts; provided that the Company may seek injunctive or equitable relief in any jurisdiction where the Employee resides, works, or has engaged in acts in breach of this Covenant. 15. Severability; Integration; Amendment; Waiver If any provision of this Covenant is held invalid or unenforceable, such provision shall be severed and the remaining provisions shall remain in full force and effect. This Covenant (together with any referenced confidentiality or invention assignment agreements) constitutes the entire agreement of the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous negotiations and understandings concerning the same. This Covenant may be amended only by a written instrument signed by both parties. No waiver shall be effective unless in writing and signed by the waiving party, and no waiver of any breach shall be deemed a waiver of any other or subsequent breach. 16. Acknowledgment The Employee acknowledges that the Employee has carefully read this Covenant, understands its terms, has had the opportunity to consult with independent legal counsel of the Employee’s choosing, and is entering into it voluntarily and with full knowledge of its legal consequences. 以下为丙公司与顾问丙之间的竞业限制条款(中英双语对照文本)。请于签署前根据适用法律及事实情况补充、选择或调整方括号内内容,包括限制范围、期限、地域、对价、适用法与争议解决等关键要素。 一、定义 1.1 “受限业务”系指丙公司在本协议有效期内或顾问丙与丙公司合作关系终止前[12]个月内实际从事、运营、提供或已经经董事会或高管批准并实质推进的业务、产品或服务,且顾问丙曾参与、接触或知悉相关商业计划、客户信息或技术资料的部分。 1.2 “受限期间”系指本协议存续期间及终止后的[12/24]个月;但如因丙公司重大违约导致顾问丙依约解除合作关系,则受限期间不适用于该等提前终止后的期间,除非适用法另有强制规定。 1.3 “受限地域”系指[中华人民共和国境内(不含港澳台)/特定省市:____/全球/丙公司在合作终止前[12]个月内实质开展受限业务且顾问丙有实质接触之国家或地区]。 1.4 “受限对象”系指顾问丙在合作终止前[12]个月内有过实质业务接触的:(a) 丙公司现有客户或供应商;(b) 丙公司积极争取之潜在客户(以书面商机/投标/提案为证);(c) 丙公司雇员、顾问或关键独立承包商。 Article 1 Definitions 1.1 “Restricted Business” means any business, product, or service that Company C has conducted, operated, provided, or has been duly approved and substantively pursued during the Term or within [12] months prior to termination of the engagement, in which Consultant C participated, had exposure to, or gained knowledge of business plans, customer information, or technical materials. 1.2 “Restricted Period” means the Term and [12/24] months following termination; provided that if Consultant C terminates the engagement due to Company C’s material breach in accordance with the agreement, the post-termination Restricted Period shall not apply, unless otherwise mandatorily required by applicable law. 1.3 “Restricted Territory” means [the Mainland PRC (excluding Hong Kong, Macau, Taiwan)/specified provinces or cities: ____/worldwide/any country or region where Company C conducted Restricted Business and Consultant C had material contact within [12] months before termination]. 1.4 “Restricted Person” means any of the following with whom Consultant C had material business contact within [12] months before termination: (a) Company C’s existing customers or suppliers; (b) prospective customers actively solicited by Company C (evidenced by written pipeline/bid/proposal); or (c) Company C’s employees, advisors, or key independent contractors. 二、竞业限制 2.1 在受限期间内且于受限地域范围内,顾问丙不得直接或间接(以自己名义或通过任何关联方、雇佣、合伙、投资、代理、顾问、董事、受雇或其他身份):(a) 从事、经营、参与或协助任何与受限业务相同或实质竞争之业务;(b) 为受限业务之竞争方提供与受限业务相关的管理、技术、产品、市场、销售或战略性质的服务;或(c) 以任何方式对受限业务的竞争方进行融资、担保或其他实质性支持。 2.2 被动投资例外:在不参与管理或提供咨询的前提下,顾问丙可持有任何在公开证券交易所上市公司不超过[5]%之已发行证券,或经真正被动管理之集合基金/指数基金中的间接持有。 Article 2 Non-Competition 2.1 During the Restricted Period and within the Restricted Territory, Consultant C shall not, directly or indirectly (in Consultant C’s own capacity or through any affiliate, employment, partnership, investment, agency, advisory, board service, engagement, or otherwise): (a) engage in, operate, participate in, or assist any business that is the same as or materially competitive with the Restricted Business; (b) provide management, technical, product, marketing, sales, or strategic services to any competitor with respect to the Restricted Business; or (c) finance, guarantee, or otherwise materially support any competitor of the Restricted Business. 2.2 Passive investment carve-out: Consultant C may hold up to [5]% of the outstanding securities of any company listed on a recognized stock exchange, or indirect holdings through bona fide passive mutual/index funds, without participating in management or providing advisory services. 三、非招揽与非干扰 3.1 客户非招揽:受限期间内,顾问丙不得直接或间接向任何受限对象(客户或潜在客户)推销、招揽或接受与受限业务存在竞争关系的业务或订单;但不针对特定对象的普遍广告或公开推广不视为违反本条。 3.2 人员非招揽:受限期间内,顾问丙不得直接或间接招揽、引诱或促使任何受限对象中的雇员、顾问或关键独立承包商终止与丙公司的劳动、雇佣或服务关系,或减少其与丙公司的合作;一般招聘广告不构成违反,除非顾问丙对特定个人进行定向接触。 3.3 非干扰:受限期间内,顾问丙不得以任何方式干扰或企图干扰丙公司与任何受限对象之间的现有或预期业务关系。 Article 3 Non-Solicitation and Non-Interference 3.1 Customer non-solicitation: During the Restricted Period, Consultant C shall not directly or indirectly solicit, market to, or accept competing business or orders from any Restricted Person (customers or prospects) with respect to the Restricted Business; general, non-targeted advertising shall not constitute a breach. 3.2 Personnel non-solicitation: During the Restricted Period, Consultant C shall not directly or indirectly solicit, induce, or encourage any employee, advisor, or key independent contractor who is a Restricted Person to terminate or reduce his/her/its relationship with Company C; general recruitment advertisements shall not constitute a breach absent targeted outreach. 3.3 Non-interference: During the Restricted Period, Consultant C shall not interfere with, or attempt to interfere with, any existing or prospective business relationships between Company C and any Restricted Person. 四、对价与合理性确认 4.1 对价:为换取顾问丙履行本条款项下的义务,丙公司同意向顾问丙支付[专项竞业限制补偿人民币____元/月,于合作终止后之受限期间内按月支付/已包含在顾问费用中之独立对价:人民币____元,支付方式与时间:____]。如适用法要求在职或离职后竞业限制须有充分且独立对价,本条款项下之对价构成充分对价。 4.2 合理性确认:双方确认本条款之目的在于保护丙公司的合法商业利益,包括商业秘密、保密信息、客户关系及投资于培训与研发之成果。顾问丙承认受限期间、受限地域及受限业务之范围在性质与范围上属合理且为必要之最小限制;如法院认定任何范围过宽,应在法律允许之最大限度内予以适当调整并执行。 Article 4 Consideration and Reasonableness Acknowledgment 4.1 Consideration: In exchange for Consultant C’s obligations herein, Company C shall pay [a dedicated non-compete consideration of RMB ____ per month during the post-termination Restricted Period, payable monthly/independent consideration of RMB ____, timing and method: ____]. To the extent applicable law requires adequate and independent consideration for in-term or post-termination restraints, the consideration herein is intended to be sufficient. 4.2 Reasonableness: The Parties recognize that this clause is intended to protect Company C’s legitimate business interests, including trade secrets, confidential information, customer goodwill, and investments in training and R&D. Consultant C acknowledges that the Restricted Period, Territory, and scope are reasonable and no broader than necessary; if any scope is found excessive, it shall be modified and enforced to the maximum extent permitted by law. 五、例外与预先存在事项 5.1 预存权益:附件[__]列明顾问丙于本条款签署时已存在且依法持有之业务、投资或客户关系,该等事项在不使用丙公司保密信息且不与受限业务构成实质性竞争的前提下不受限制。 5.2 书面同意:经丙公司事先书面同意,顾问丙可从事特定活动或为特定主体提供服务;丙公司不得无理拒绝或拖延该等同意。 Article 5 Carve-outs and Pre-Existing Matters 5.1 Pre-existing interests: Schedule [__] lists Consultant C’s existing and lawfully held businesses, investments, or client relationships as of the date hereof, which are carved out provided no Company C confidential information is used and there is no material competition with the Restricted Business. 5.2 Written consent: Consultant C may engage in specified activities or services with Company C’s prior written consent, which shall not be unreasonably withheld or delayed. 六、遵守法律与重订条款 6.1 遵守法律:本条款仅在适用法律允许之范围内适用。如任何条款在任何司法辖区被认定为无效、不可执行或过宽,应在该辖区内自动缩减、修改或分离至足以使之有效且可执行之程度,且不影响其他条款或其他辖区之效力。 6.2 蓝铅笔条款:双方同意并请求法院或仲裁庭在必要时对本条款之期限、地域或业务范围进行合理限缩(blue pencil/reformation)并据此执行。 Article 6 Compliance with Law and Reformation 6.1 Compliance: This clause applies only to the extent permitted by applicable law. If any provision is held invalid, unenforceable, or overbroad in any jurisdiction, it shall be automatically reduced, modified, or severed to the extent necessary to be enforceable in that jurisdiction without affecting other provisions or other jurisdictions. 6.2 Blue pencil: The Parties agree and request that any court or tribunal reform the duration, territory, or scope, as necessary, to render this clause enforceable. 七、违约救济与期间延展 7.1 救济:顾问丙理解且同意,违反本条款将造成难以弥补之损害,金钱赔偿不足以完全救济,丙公司有权在法律允许范围内寻求禁令、特定履行及其他衡平或法律救济(包括但不限于停止侵害、证据保全与行为保全),且该等救济不以提供担保为前提[如适用法要求可按法院决定提供]。 7.2 期间延展:如顾问丙违反本条款,受限期间在该等违反持续期间及其合理处理期间相应中止并顺延[__]个月,直至违约行为完全停止且得到救济,但总延长期限不得超过适用法允许之最长期限。 7.3 费用与损害赔偿:顾问丙应对丙公司因此遭受之直接损失、可得利益损失(如适用法允许)及合理的调查与维权费用(包括律师费、公证费、鉴定费等)承担赔偿责任。 Article 7 Remedies and Tolling 7.1 Remedies: Consultant C acknowledges that any breach would cause irreparable harm and monetary damages may be inadequate. Company C shall be entitled, to the extent permitted by law, to injunctive relief, specific performance, and other equitable or legal remedies (including cease-and-desist, evidence preservation, and conduct preservation), without the necessity of posting a bond [or as required by the tribunal]. 7.2 Tolling: If Consultant C breaches this clause, the Restricted Period shall be tolled during the period of breach and reasonably necessary remediation, and extended by [__] months thereafter, not exceeding the maximum permitted by applicable law. 7.3 Costs and damages: Consultant C shall be liable for Company C’s direct losses, lost profits where permitted, and reasonable enforcement costs (including attorneys’ fees, notarization, and expert fees). 八、关系与信息保护之不减损 8.1 本条款不影响双方关于保密、知识产权归属与使用限制的任何约定,上述义务独立存在并在法律允许的最长期限内存续。 8.2 如保密或商业秘密保护义务之存续期间长于受限期间,则较长期间优先适用;保密与商业秘密义务之违反不以本条款之违反为前提。 Article 8 Non-Derogation of Relationship and Information Protection 8.1 This clause does not derogate from the Parties’ confidentiality, IP ownership, or use restrictions, which survive independently to the maximum period allowed by law. 8.2 If confidentiality or trade secret obligations survive longer than the Restricted Period, the longer period shall prevail; breach of confidentiality/trade secrets is actionable regardless of any breach hereof. 九、适用法与争议解决 9.1 适用法:本条款受[中华人民共和国法律(不含冲突规范)/___法]管辖并据其解释。 9.2 争议解决:[提交至____仲裁委员会,按照其届时有效之仲裁规则仲裁,仲裁地为____,仲裁语言为____;或提交有管辖权之法院:____]。在争议解决期间,不影响任何一方就紧急禁令或保全措施向有管辖权之法院申请救济。 Article 9 Governing Law and Dispute Resolution 9.1 Governing law: This clause shall be governed by and construed in accordance with [the laws of the PRC (excluding conflict-of-laws rules)/the laws of ____]. 9.2 Dispute resolution: [Arbitration before ____ Arbitration Commission under its then-effective rules, seat ____ and language ____; or courts of ____ having jurisdiction].
