- Producer Reps: Producer is duly organized and has authority to enter this agreement; will secure all third-party rights it introduces (screenwriter, director, talent, music, artwork).
- Indemnities: Mutual indemnities for breach of respective reps, warranties, and covenants; Producer to maintain E&O insurance customary for feature films, naming Author as an additional insured.

10) Moral Rights; Integrity; Credit Preservation
- The parties acknowledge that in some jurisdictions moral rights are inalienable (e.g., author’s rights of attribution and integrity recognized under the Berne Convention art. 6bis and, where applicable, under local copyright statutes such as the PRC Copyright Law recognizing rights of authorship and integrity). Nothing herein shall be construed to waive non-waivable rights. Producer will not distort or mutilate the Property in a manner prejudicial to Author’s honor or reputation, and will comply with the approval and credit provisions as a material condition.

11) Reserved/Ancillary Rights and Derivatives
- Sequels/Remakes/Prequels/Spin-offs based on the Picture: Producer shall have exclusive rights to audiovisual derivatives of the Picture (including remakes and sequels) provided they derive from Producer’s film; Author retains literary sequel/prequel rights in print. Producer shall have a first negotiation/last refusal right for audiovisual adaptations of Author’s literary sequels/prequels.
- Television/Series Rights: [Include or exclude]. If excluded, Producer shall have right of first negotiation/last refusal for a limited period.

12) Turnaround; Reversion
- If Producer fails to commence principal photography within [X] months after option exercise, and no force majeure applies, all motion picture rights revert to Author, subject to Producer’s continued rights in any original screenplays created by Producer personnel (not including rights in the Property) and subject to repayment of unrecouped development costs only if Producer elects to retain screenplay rights; no reversion impairs Author’s right to re-sell the Property free of claims to the underlying rights.

13) Assignment; Financing; Lender Protections
- Producer may assign to an affiliated production entity and to financiers/distributors as customary, provided Author’s approval and credit rights survive and are binding on successors and assigns. Author agrees to execute customary lender/financier notices of assignment and to recognize standard step-in rights that do not diminish Author’s approval and credit protections.

14) Accounting; Audit
- Producer shall render semi-annual statements for any contingent compensation with payments within [30] days thereafter. Author has audit rights on reasonable notice not more than once per year, with underpayment thresholds for cost reimbursement.

15) Guild and Labor Compliance
- Producer shall comply with applicable guild, union, and employment laws in the relevant jurisdictions. Nothing herein requires Producer to violate guild rules; however, such compliance shall not excuse failure to obtain Author approvals required herein.

16) Confidentiality; Publicity
- Mutual confidentiality as to deal terms and development materials; no announcements without mutual approval, except as required by law or financing/distribution contracts.

17) Remedies; Limitation of Liability
- Without limiting injunctive relief for violations of Sections 5 (Credit) and 6 (Approvals) prior to release, the parties agree that post-release relief is limited to prospective corrective measures and damages. No special or consequential damages except as to third-party claims covered by indemnities.

18) Governing Law; Dispute Resolution
- Governing Law: [To be specified—e.g., New York law or the law of the principal production jurisdiction]. The agreement will be construed consistent with applicable copyright statutes (e.g., 17 U.S.C. §§ 101 et seq. for U.S. exploitation) and non-waivable moral rights provisions where applicable.
- Venue/Arbitration: Any dispute shall be submitted to binding arbitration before [forum, e.g., JAMS/CIETAC] in [city], with provisional relief available from a court of competent jurisdiction to enforce credit and approval rights.

19) Conditions Precedent; Deliverables
- Delivery by Author: Copy of the work as published (and any manuscript materials), publisher consents or reversion documents if required, copyright registration details (if registered), and a chain-of-title schedule.
- Condition Precedent: If a publisher controls any portion of adaptation or tie-in rights, execution of a publisher’s quitclaim or consent satisfactory to Producer.

20) Notices; Execution
- Notices in writing by email with courier hard copy; deemed received upon confirmation of delivery. The agreement may be executed in counterparts and electronically.

Notes on Legal Compliance and Industry Standards
- A signed writing is required to effectuate any transfer of copyright in the United States (17 U.S.C. § 204(a)). Recordation of the assignment with the U.S. Copyright Office is recommended for priority.
- Credit provisions are enforceable; injunctive relief is often available pre-release. Moral rights of attribution and integrity may be non-waivable under certain national laws, and the agreement above is drafted to respect those non-waivable rights while accommodating customary film production practices.
