上述各方合称“双方”,单称“一方”。在单方保密结构下,“披露方”指披露保密信息的一方,“接收方”指接收保密信息的一方;在互惠结构下,双方均可能为披露方与接收方。

鉴于:为[填写项目名称或合作目的,例如“影视项目开发与融资、选角、发行与宣发合作”]之需要,双方可能相互披露或单方披露与该项目有关的非公开信息。为规范信息保护、预防不正当使用与泄露,双方订立本保密与不披露协议(“本协议”)。

一、定义
1.1 保密信息:指披露方(或其代表)以书面、口头、电子或其他形式向接收方(或其代表)披露或提供的任何非公开信息,包括但不限于:
- 项目开发材料:故事梗概、剧本/曲谱/词作、分镜、人物设定、样片/试播片/DEMO、剧情走向、制作方案与预算、档期安排、收益分配方案、招商/赞助/品牌联动方案、发行与宣发策略;
- 商务条款:合作框架、报价/片酬/保底与分成、保密期限、排他安排、里程碑、投融资条件与估值、对赌与回购条款、合同范本与谈判记录;
- 名单与资源:选角名单、试镜资料、艺人/创作团队/制作人员信息及联系方式、内部KOL/媒体与渠道资源、未公开合作方名单;
- 视听与技术:未公开的影像/音频资料、样带、母带、数字素材、制作工艺与流程、特效/镜头设计、DRM/水印与防泄露方案;
- 数据与合规:未公开的商务数据、流量与用户画像、投放与效果报告、算法或指标体系、合同管理与审计信息;
- 个人信息:涉及自然人的姓名、联系方式、工作行程、经纪合约关键条款、报酬/税务信息、肖像与声音、健康与安全安排等,以及其他个人信息或敏感个人信息;
- 其他依法或依约应当保密的信息。
为免歧义,依法构成“商业秘密”的保密信息,系指不为公众所知悉、具有商业价值且经披露方采取保密措施的信息。

1.2 代表:指一方的关联方、董事、高管、雇员、顾问、经纪人、代理人、承包商、潜在融资方及其专业顾问(含律师、会计师、财务与税务顾问等)。

二、保密义务与使用限制
2.1 接收方仅为实现本协议约定之目的使用保密信息,不得用于任何与该目的不一致或竞争的用途(包括但不限于绕开披露方与第三方直接交易、复制或仿制项目方案、用于竞品开发或投标)。
2.2 接收方应对保密信息严格保密,采取不低于保护自身同等重要信息的合理保护措施(包括访问控制、最小必要知悉、加密传输与存储、权限审计、电子水印与内容追踪等)。
2.3 接收方仅可向为实现合作目的且确有必要知悉的代表披露保密信息,前提是:
- 该等代表已书面承诺或依法负有不低于本协议严格程度的保密义务;
- 接收方对代表的违约承担连带责任;
- 对含个人信息的材料,额外遵守第三条之要求。
2.4 未经披露方书面同意,接收方不得:
- 将保密信息用于对外宣传、案例展示、投标素材或投资者路演资料;
- 对任何技术性材料进行反向工程、反编译或试图绕过DRM/水印等技术保护措施;
- 复制、下载、摘录或制作副本,除非为必要且受控之内部使用目的;
- 向与披露方存在直接或潜在竞争关系的主体披露保密信息。

三、个人信息与合规
3.1 如保密信息中包含个人信息或敏感个人信息,接收方应遵守适用的个人信息保护法律法规(包括但不限于《中华人民共和国个人信息保护法》、相关配套规章及行业监管要求):
- 仅在实现合作目的之最小范围内处理;
- 不得超出法定或经充分告知并取得同意的用途、方式与期限;
- 对敏感个人信息实施单独告知与单独同意(如由接收方直接收集);
- 不得非法向境外提供个人信息;确需跨境传输的,依法履行安全评估、标准合同或认证等义务;
- 与受托处理个人信息的第三方签署合规的数据处理协议,载明处理目的、期限、类型、安全措施与删除/返还要求。
3.2 发生或可能发生涉及保密信息(含个人信息)的安全事件时,接收方应于知悉后[24/48]小时内书面通知披露方,说明事件事实、影响范围、已采取与拟采取的补救措施,并按披露方合理要求协助履行相应的监管报告与用户通知义务。

四、例外
接收方下列信息不受本协议限制,但接收方负有书面证据证明责任:
- 披露时已为公众所知悉的信息;
- 非因接收方或其代表过错而进入公众领域的信息;
- 接收方在披露前已合法持有且不负保密义务的信息;
- 接收方从有合法披露权的第三方处正当获得且不负保密义务的信息;
- 接收方在未接触保密信息的前提下独立开发形成的信息。

五、依法披露
如接收方因法律、行政法规、证券监管或具有管辖权的司法/监管机关之要求必须披露保密信息的,应在法律允许的范围内提前书面通知披露方,协助申请保密令、不公开审理、证据封存等保护措施;仅在必要范围和最低限度内披露,并标注保密属性。

六、资料返还与销毁
在披露方书面要求、合作目的完成或本协议终止之任一情形下,接收方应立即停止使用保密信息,并在[7-10]个工作日内:
- 返还所有有形载体及其副本;对电子资料予以不可逆删除并清空备份;
- 书面出具由授权代表签署的合规销毁/返还证明;
- 法律或监管要求必须留存的除外,但应持续承担本协议项下保密义务,且仅为留存目的而存储。

七、知识产权与不授予
7.1 保密信息的全部权利、所有权与利益(包括现有或将来产生的著作权、邻接权、商标权、专利权、商业秘密、肖像与声音权利等)均归披露方或其合法权利人所有。本协议不构成任何明示或默示的许可、让与或授权。
7.2 未经披露方书面许可,接收方不得使用披露方或其合作方的名称、商号、商标、影视剧名、艺人姓名/艺名、形象、Logo、素材或其他标识用于对外沟通与宣传。

八、期限
8.1 本协议自双方授权代表签字(盖章)之日生效,保密义务自首次披露日起生效。
8.2 保密期限为自最后一次披露之日起[3/5]年;对依法构成商业秘密的信息,保密义务于该信息合法进入公众领域或披露方书面解除前持续有效;对包含个人信息的材料,保密义务至实现处理目的或保存期限届满且完成删除/匿名化时止,并不影响对已构成商业秘密部分的长期保护。

九、违约责任与救济
9.1 如接收方或其代表违反本协议,披露方有权要求其立即纠正、停止侵害,并采取必要的补救措施(包括但不限于内部追责、删除与召回、书面致歉与澄清、配合调查与取证)。
9.2 披露方有权依法向有管辖权的人民法院申请行为保全/禁令等救济;如法院依法要求担保,接收方不持异议。
9.3 接收方应赔偿披露方因此遭受的一切损失,包括直接损失、为控制或减轻损失所支出的合理费用(取证、律师费、公证费、评估费等)、监管处罚、第三方索赔、商誉与声誉损失等。双方可约定违约金为人民币[数额或“披露信息/合作金额的一定比例”];若违约金明显过高或过低,按法律规定予以调整。
9.4 如违约涉及个人信息或商业秘密的泄露、滥用或非法处理,披露方并有权依据反不正当竞争、个人信息保护、著作权与相关民事责任等法律另行主张。

十、不构成合伙、排他与要约
本协议不构成双方之间的合资、合伙或雇佣关系,不构成对任何交易之承诺或要约。任何实质性业务合作以双方另行签署的书面合同为准。

十一、转让与继续履行
未经对方事先书面同意,任何一方不得转让本协议项下的权利义务,但一方为重组、并购或主体变更而向其继受主体整体转移本协议且不损害对方利益的除外。无论本协议是否终止,第二、三、四、五、六、七、八、九、十一、十二、十三条继续有效。

十二、适用法律与争议解决(择一)
选项A(法院管辖):本协议适用中华人民共和国法律(不含冲突规范)。因本协议引起的或与本协议有关的争议,由[披露方住所地/项目所在地]有管辖权的人民法院专属管辖。
选项B(商事仲裁):本协议适用中华人民共和国法律(不含冲突规范)。任何争议提交[中国国际经济贸易仲裁委员会/北京仲裁委员会/上海国际仲裁中心]按其届时有效仲裁规则仲裁,仲裁地为[北京/上海/广州],仲裁语言为中文。仲裁裁决为终局,对双方均有约束力。仲裁不影响任何一方就紧急禁令或行为保全向有管辖权法院申请。

十三、通知
与本协议有关的通知与文件应以书面形式,通过专人递交、挂号信、电子邮件(带回执)或双方确认的合同管理系统发送至本协议首页所列或后续书面确认的联系方式,自送达之日或系统回执确认之日视为到达。联系方式变更应提前书面通知对方。

十四、完整协议与可分割
本协议构成双方就本协议事项之完整协议,取代此前一切口头或书面沟通与谅解(与保密义务不一致者)。本协议任何条款被认定为无效或不可执行,不影响其他条款之效力;无效部分在法律允许范围内以尽可能接近原意之方式被视为有效。

十五、签署与副本
本协议可签署为中英文双语版本;如有歧义,以中文版本为准。可采用电子签名或经双方确认的电子方式签署,与手写签字/盖章具有同等法律效力。本协议可签署多份或对应页组成之合并文本,具有同等法律效力。

附注(非合同条款,供操作与合规参考)
- 法律依据(简要):中华人民共和国民法典关于保密、违约责任与违约金调整的规定;反不正当竞争法关于商业秘密的定义与保护;著作权法及相关司法解释关于作品样片/剧本/音乐等的权利保护;个人信息保护法关于最小必要、目的限定、敏感个人信息、跨境传输与安全事件处置的要求;民事诉讼法关于行为保全/证据保全的程序。
- 娱乐行业要点:
  1) 将“保密信息”具体化至剧本、样带、选角名单、片酬、招商与发行方案,便于界定与取证;
  2) 对电子资料务必加注保密标识、动态水印与访问日志,约定账号专人使用与二次分发禁止;
  3) 对外包与供应链(剪辑、调色、宣发代理、试音/试镜平台)必须签署“背靠背”保密与个人信息处理条款;
  4) 如涉及跨境试音、跨境云端协作或境外评审,提前完成个人信息跨境合规安排;
  5) 如涉及证券市场披露义务,事先设定“窗口期与信息墙”机制,防止选择性披露与内幕信息泄露。
- 操作提示:在签署前完成对接收方的合规尽调,明确“互惠/单方”结构;对违约金采用区间或与项目金额挂钩以增强可执行性;如需更强可执行力,可同步签署电子证据保全与送达确认机制。

保密协议(娱乐行业通用)/ Mutual Nondisclosure Agreement (Entertainment Industry)

本保密协议(“本协议”)由以下双方于【生效日期】签署:【披露方/接收方甲】(地址:【】)与【披露方/接收方乙】(地址:【】)。双方在本协议中各自可作为“披露方”或“接收方”,视信息披露之情形而定。  
This Mutual Nondisclosure Agreement (this “Agreement”) is entered into as of [Effective Date] by and between [Party A] (address: [ ]) and [Party B] (address: [ ]). Each party may act as a “Discloser” or “Recipient,” as applicable to a given disclosure.

鉴于双方拟就影视、音乐、综艺、直播、游戏、播客、广告及/或相关衍生或配套业务(包括但不限于开发、融资、制作、发行、营销、授权、艺人合作、品牌合作、技术服务及数据合作等)开展洽谈与/或合作(“目的”),需就双方披露之保密信息进行保护,特订立本协议。  
In contemplation of discussions and/or collaboration regarding the development, financing, production, distribution, marketing, licensing, talent engagements, brand partnerships, technical services, and/or data collaborations in film, television, music, variety, live events, gaming, podcasts, advertising, and related ancillary businesses (the “Purpose”), the parties agree to protect the confidentiality of information disclosed hereunder.

一、定义 / Definitions  
1.1 “保密信息”系指披露方或其代表以口头、书面、电子或其他形式向接收方或其代表披露的、标注为保密或根据信息性质及披露情形合理应被视为保密之任何非公开信息,包括但不限于:剧本、文学纲要、节目模式、故事大纲、视听素材(样片、粗剪、花絮、音乐样段/素材、配乐工程)、分镜、选角与档期信息、艺人及工作人员资料与报酬、制作与发行计划、预算与财务数据、招商方案与赞助条款、广告投放数据、发行与授权条款、合同条款与谈判记录、商业计划与用户数据、技术与安全方案、未公开的市场或放映窗口安排、商标/版权/专利策略及相关权利文件、联系方式与名单等;以及包含或反映上述信息的任何笔记、分析、汇编或资料。  
“Confidential Information” means any non-public information disclosed by Discloser or its Representatives to Recipient or its Representatives, whether oral, written, electronic, or otherwise, that is marked confidential or that reasonably should be understood as confidential given its nature and circumstances of disclosure, including without limitation: scripts, treatments, formats, storylines, audiovisual assets (screeners, rough cuts, behind-the-scenes, music stems/cues, session files), storyboards, casting and availability information, talent/crew data and compensation, production and distribution schedules, budgets and financials, sponsorship decks and brand terms, ad performance data, distribution and licensing terms, contract terms and negotiation notes, business plans and user data, technical and security designs, unreleased windowing or marketing plans, trademark/copyright/patent strategies and related documents, contact lists; and any notes, analyses, compilations, or materials that contain or reflect such information.

1.2 “代表”指一方之董事、管理人员、雇员、承包商、代理、律师、会计师、银行或融资方、投资人、保险人、广告或发行代理、制作或后期合作方、艺人经纪人与经理人、选角总监、音乐监制与出版方,以及在为实现目的而需知悉保密信息之其他顾问。  
“Representatives” means a party’s directors, officers, employees, contractors, agents, attorneys, accountants, banks or financiers, investors, insurers, advertising or distribution agents, production or post-production partners, talent agents and managers, casting directors, music supervisors and publishers, and other advisors who need to know Confidential Information for the Purpose.

1.3 “个人信息/个人数据”指任一可识别自然人之信息(例如姓名、联系方式、肖像、声音、履历、合同条款、工作行程、支付信息等),无论是否构成受适用数据保护法定义之“个人信息”“个人数据”或“敏感信息”。  
“Personal Data” means information relating to an identifiable natural person (e.g., name, contact details, likeness, voice, résumé, contract terms, work schedule, payment information), whether or not categorized as “personal” or “sensitive” under applicable data protection laws.

二、保密与用途限制 / Confidentiality and Use Restrictions  
2.1 接收方仅得为实现目的而使用保密信息,不得用于任何其他用途,包括不得用于与披露方竞争或规避披露方商业安排之目的。  
Recipient shall use Confidential Information solely for the Purpose and not for any other purpose, including any competitive or circumvention purpose.

2.2 接收方应对保密信息严格保密,采取不低于合理谨慎且不低于其保护自身同类信息的标准予以保护,并将知悉范围限于其有必要知悉且已受到不低于本协议保护义务之代表。接收方对其代表之违约行为承担连带责任。  
Recipient shall keep Confidential Information strictly confidential, using at least reasonable care and no less than the degree of care it uses to protect its own similar information, and shall limit access to Representatives with a need to know who are bound by obligations no less protective than this Agreement. Recipient is responsible for breaches by its Representatives.

三、例外 / Exclusions  
3.1 下列信息不属保密信息:(a) 非因接收方过错已为公众所知;(b) 披露前接收方已合法知悉且不受保密义务限制;(c) 接收方在未使用或参考保密信息情况下独立开发获得;或 (d) 自第三方合法取得且不违反任何保密义务。  
Confidential Information does not include information that: (a) is or becomes publicly available through no fault of Recipient; (b) was lawfully known to Recipient without restriction prior to disclosure; (c) is independently developed by Recipient without use of or reference to the Confidential Information; or (d) is rightfully received from a third party without a duty of confidentiality.

四、依法披露 / Compelled Disclosure  
4.1 如接收方因法律、法规、监管或法院/仲裁机构之要求必须披露保密信息,接收方应在法律允许范围内及时书面通知披露方并配合寻求保密处理或限制披露之救济;仅披露必要之最低限度信息,并继续适用本协议之保密义务。  
If Recipient is required by law, regulation, or court/arbitral order to disclose Confidential Information, Recipient shall, to the extent legally permitted, promptly notify Discloser and cooperate to seek protective treatment; disclose only the minimum required and continue to treat the disclosed information as confidential.

五、安全与处理要求 / Security and Handling  
5.1 接收方应实施合理的行政、技术与物理安全措施,包括访问控制、加密(在合理可行范围内)与日志管理,以防止未经授权之访问、使用、复制或披露。  
Recipient shall implement reasonable administrative, technical, and physical safeguards, including access controls, encryption where reasonably feasible, and logging, to prevent unauthorized access, use, copying, or disclosure.

5.2 未经披露方事先书面同意,接收方不得将保密信息上传至面向公众的生成式人工智能模型或任何会将信息用于训练之系统。  
Absent Discloser’s prior written consent, Recipient shall not upload Confidential Information to public-facing generative AI models or any system that uses such information for model training.

六、个人数据 / Personal Data  
6.1 如保密信息包含个人数据,各方应遵守适用之数据保护法律,仅在实现目的及得到合法授权/同意之范围内处理,采取适当安全措施,并在跨境传输时确保具备合法基础与必要保障。  
Where Confidential Information includes Personal Data, each party shall comply with applicable data protection laws, process such data only for the Purpose under a valid legal basis/consent, implement appropriate safeguards, and ensure lawful bases and protections for cross-border transfers.

七、资料返还与销毁 / Return and Destruction  
7.1 经披露方书面要求,接收方应在【10】个工作日内返还或销毁保密信息及其载体,并在书面证明已完成;但法律、监管或灾备备份中之留存可保留至各自必要期间,且持续受本协议约束。  
Upon Discloser’s written request, Recipient shall within [10] business days return or destroy the Confidential Information and media, and certify completion in writing; provided that retention required by law, regulation, or archival backups may be kept for the necessary period and remain subject to this Agreement.

八、知识产权;不授予许可;独立开发 / IP; No License; Independent Development  
8.1 保密信息及其一切知识产权均为披露方或其许可方所有。本协议未明示授予的任何权利均予以保留。  
All rights, title, and interest in the Confidential Information and all intellectual property therein are owned by Discloser or its licensors. No rights are granted by implication, estoppel, or otherwise, except as expressly set forth herein.

8.2 接收方承认并同意:(a) 披露方不因披露任何“创意”“构思”“格式/模式”或“素材”而授予接收方使用或开发之权利;(b) 接收方可在未使用保密信息情形下独立开发或获取与披露方材料相似之作品或项目,前提是接收方能够证明该等独立性;(c) 除非双方另行签署具备明确授予与对价条款之书面协议,接收方不因接收或评估任何“点子”“建议”“提案”而承担使用或支付之义务,亦不构成默示合同。  
Recipient acknowledges and agrees that: (a) disclosure of any “ideas,” “concepts,” “formats,” or “materials” does not grant Recipient rights to use or exploit them; (b) Recipient may independently develop or acquire works or projects similar to Discloser’s materials without use of the Confidential Information, provided Recipient can demonstrate such independence; and (c) no obligation to use or compensate arises from receipt or evaluation of any ideas, suggestions, or submissions absent a separate written agreement with express grant and consideration, and no implied-in-fact contract is created hereby.

九、保证与陈述 / Warranties  
9.1 各方陈述其有权按本协议披露保密信息,且该等披露不致违反其对任何第三方之保密义务。  
Each party represents that it has the right to disclose the Confidential Information as contemplated herein and that such disclosure does not breach any confidentiality obligation to third parties.

9.2 保密信息按“现状”提供,披露方不就其准确性、完整性或适销性/特定目的适用性作出任何明示或默示保证。  
Confidential Information is provided “as is,” and Discloser makes no warranties, express or implied, as to accuracy, completeness, merchantability, or fitness for a particular purpose.

十、期限与存续 / Term and Survival  
10.1 本协议自生效日起生效,持续至【自生效日起三(3)年/五(5)年】;任一方可书面通知终止本协议,但对在终止前披露之保密信息之义务不受影响。  
This Agreement commences on the Effective Date and continues for [three (3)/five (5)] years. Either party may terminate upon written notice, without affecting obligations regarding Confidential Information disclosed prior to termination.

10.2 对于商业秘密之保密义务在该等信息仍具商业秘密属性期间持续有效;涉及个人数据之义务在适用法律要求期间持续有效。  
Obligations concerning trade secrets survive for so long as such information remains a trade secret; obligations concerning Personal Data survive as required by applicable law.

十一、救济 / Remedies  
11.1 各方确认任何违反本协议之行为将可能对披露方造成无法弥补之损害;披露方除可依法请求损害赔偿外,有权寻求禁令或其他衡平法救济,无需提供或仅需提供最低法定数额之担保。  
Each party acknowledges that breach may cause irreparable harm for which monetary damages may be inadequate; Discloser is entitled to seek injunctive and other equitable relief in addition to damages, without the need to post, or with minimal, bond to the extent permitted by law.

十二、无义务与无代理关系 / No Obligation; No Agency  
12.1 本协议不构成双方达成任何交易、签署任何后续协议或开展任何合作之义务,亦不构成合伙、合资或代理关系。任何排他性或使用许可须另行签署书面协议。  
This Agreement does not obligate either party to enter into any transaction, execute further agreements, or proceed with any collaboration, nor does it create a partnership, joint venture, or agency. Any exclusivity or license must be in a separate written agreement.

十三、转让 / Assignment  
13.1 未经对方事先书面同意,任何一方不得转让本协议或其项下权利义务;但一方得在合并、资产出售或控制权变更时将本协议转让予其继受人,且该继受人书面承继本协议义务。  
Neither party may assign this Agreement or any rights/obligations hereunder without the other party’s prior written consent, except to a successor in interest in connection with a merger, asset sale, or change of control, provided such successor assumes this Agreement in writing.

十四、适用法律与争议解决 / Governing Law and Dispute Resolution  
14.1 适用法律:本协议受【选择一项:中华人民共和国(为适用之目的,不含冲突规范);香港特别行政区;英格兰及威尔士;美国纽约州;美国加利福尼亚州】法律管辖并依其解释。  
Governing Law: This Agreement shall be governed by and construed in accordance with the laws of [select one: the People’s Republic of China (excluding conflict-of-laws rules for these purposes); Hong Kong SAR; England & Wales; the State of New York; the State of California], as applicable.

14.2 管辖/争议解决:与本协议有关之任何争议,提交至【选择:有管辖权之人民法院/香港法院/英格兰法院/纽约州或联邦法院/加州州或联邦法院;或根据【机构名称】仲裁规则在【地点】仲裁】解决。为取得临时救济(如禁令),任何一方可向具备管辖权之法院申请。  
Jurisdiction/Dispute Resolution: Any dispute arising out of or in connection with this Agreement shall be resolved by [select: the competent People’s Courts/Hong Kong courts/English courts/state or federal courts in New York/state or federal courts in California; or arbitration under the [Institution] Rules in [Seat]]. Either party may seek interim relief (e.g., injunction) from any court of competent jurisdiction.

十五、通知 / Notices  
15.1 任何通知、请求或其他通信应以书面作出,并通过亲递、快递或电子邮件发送至以下地址/邮箱(或经书面更新之地址/邮箱),自送达之时生效:【甲:地址/邮箱;乙:地址/邮箱】。  
All notices, requests, or communications shall be in writing and delivered by hand, courier, or email to the following addresses/emails (or as updated in writing) and are effective upon delivery: [Party A: address/email; Party B: address/email].

十六、其他 / Miscellaneous  
16.1 完整协议:本协议构成双方就其标的事项之完整协议,取代此前一切口头或书面谅解;修改须经双方授权代表签署书面文件。

MUTUAL NONDISCLOSURE AGREEMENT (ENTERTAINMENT INDUSTRY)

This Mutual Nondisclosure Agreement (Agreement) is entered into as of [Effective Date] (the Effective Date) by and between [Party A legal name], a [jurisdiction and entity type] with an address at [address] (Party A), and [Party B legal name], a [jurisdiction and entity type] with an address at [address] (Party B). Each of Party A and Party B may be referred to herein individually as a Party and collectively as the Parties.

1. Purpose
The Parties contemplate discussions regarding a potential business relationship concerning the development, financing, production, distribution, licensing, casting, marketing, or exploitation of audio-visual or musical works and related entertainment properties (the Project). In connection with the Project, each Party may disclose to the other certain Confidential Information (as defined below). The Parties agree to use such Confidential Information solely for evaluating, negotiating, or performing the Project (the Purpose).

2. Definitions
2.1 Confidential Information means all non-public, proprietary, or sensitive information disclosed by or on behalf of a Party or its Affiliates (the Disclosing Party) to the other Party or its Affiliates (the Receiving Party), whether disclosed orally, visually, electronically, or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes, without limitation:
(a) scripts, treatments, formats, bibles, outlines, loglines, synopses, storylines, characters, plot points, spoilers, and other creative materials;
(b) music compositions and recordings, demos, stems, masters, mixes, cue sheets, artwork, sound effects, and related materials;
(c) budgets, cash flows, revenue projections, waterfall models, tax incentive strategies, financing structures, bond and insurance information, and deal terms;
(d) production schedules, call sheets, dailies, rough cuts, screeners, unreleased episodes, and test materials;
(e) talent, crew, and vendor information, including compensation, availability, and contact details; casting materials, screen tests, and audition tapes;
(f) distribution plans, marketing, publicity, and release strategies; media plans; branding and promotional concepts;
(g) software, technology, workflows, security protocols, passwords, and watermarking details; and
(h) any notes, analyses, summaries, or derivatives prepared by the Receiving Party that contain or reflect Confidential Information.

2.2 Exceptions. Confidential Information does not include information that the Receiving Party can demonstrate by contemporaneous written records:
(a) is or becomes publicly available through no breach of this Agreement by the Receiving Party or its Representatives;
(b) was rightfully known to the Receiving Party without restriction before disclosure by the Disclosing Party;
(c) is independently developed by the Receiving Party without use of or reference to the Disclosing Party’s Confidential Information; or
(d) is rightfully received from a third party without duty of confidentiality.

3. Use and Non-Disclosure
3.1 The Receiving Party shall:
(a) use the Disclosing Party’s Confidential Information solely for the Purpose;
(b) keep it confidential and not disclose it except as permitted under Section 4; and
(c) employ at least the same degree of care as it uses to protect its own confidential information of like kind, but no less than a commercially reasonable standard of care.

3.2 No Reverse Engineering; No Recording. The Receiving Party shall not reverse engineer, decompile, disassemble, or otherwise attempt to derive the composition, structure, or underlying elements of any materials furnished under this Agreement, nor shall the Receiving Party photograph, audio-/video-record, copy, scrape, capture screenshots of, or otherwise reproduce any screenings, materials, set visits, dailies, screeners, or audition tapes except as expressly permitted in writing by the Disclosing Party.

4. Permitted Disclosures
4.1 Representatives. The Receiving Party may disclose Confidential Information to its and its Affiliates’ employees, officers, directors, agents, professional advisors (including attorneys, managers, and accountants), insurers, completion bond companies, guild auditors, prospective financiers, distributors, and bona fide co-production or service partners (collectively, Representatives) who have a need to know for the Purpose, provided such Representatives are bound by confidentiality obligations no less stringent than those in this Agreement. The Receiving Party remains responsible for any breach by its Representatives.

4.2 Compelled Disclosure. If the Receiving Party or its Representatives are legally compelled by subpoena, court order, regulatory process, or applicable guild or governmental requirement to disclose any Confidential Information, the Receiving Party shall, to the extent legally permitted, promptly notify the Disclosing Party to allow it to seek protective relief, and shall disclose only that portion of the Confidential Information that is legally required to be disclosed.

4.3 Guild and Labor Compliance. Nothing in this Agreement prevents disclosures strictly required by applicable guild, union, or labor obligations, provided the Receiving Party endeavors to preserve confidentiality to the fullest extent permitted.

5. Ownership; No License
All Confidential Information remains the sole and exclusive property of the Disclosing Party (or its licensors). No license or other rights are granted by this Agreement except the limited right to use Confidential Information for the Purpose. No obligation to proceed. Neither Party is obligated to enter into any further agreement or transaction by virtue of this Agreement.

6. Return and Destruction
Upon the earlier of the Disclosing Party’s written request or termination of discussions concerning the Purpose, the Receiving Party shall promptly cease using, and either return or destroy (at the Disclosing Party’s election) all Confidential Information, including copies and derivatives, and certify such return or destruction in writing. Notwithstanding the foregoing, the Receiving Party may retain one archival copy solely to comply with legal, regulatory, insurance, or bona fide records-retention obligations, which remains subject to this Agreement.

7. Term; Survival
7.1 Term. This Agreement commences on the Effective Date and continues for [two (2)/three (3)/five (5)] years, unless earlier terminated by either Party upon written notice.
7.2 Survival. The Receiving Party’s confidentiality and use obligations with respect to Confidential Information survive for five (5) years from each disclosure; trade secrets (as defined by applicable law) shall be protected for so long as they remain trade secrets.

8. Independent Development
Each Party acknowledges that the entertainment industry regularly develops, acquires, and exploits similar ideas and materials. Subject to compliance with this Agreement, neither Party is precluded from independently developing, acquiring, producing, or exploiting materials that are similar to the other Party’s materials, provided such activities are based on information independently developed or obtained without use of the other Party’s Confidential Information.

9. Equitable Relief; Remedies
The Receiving Party acknowledges that unauthorized use or disclosure of Confidential Information would cause irreparable harm for which monetary damages may be inadequate. Accordingly, in addition to any other remedies, the Disclosing Party is entitled to seek injunctive relief and specific performance without posting bond or proving actual damages, to the maximum extent permitted by law. All other rights and remedies are cumulative.

10. No Warranties; Reliance
Confidential Information is provided “as is” without any representation or warranty, express or implied, including as to accuracy or completeness. Each Party will rely on the other’s Confidential Information at its own risk and will conduct independent due diligence.

11. Publicity; No Press
Neither Party shall use the name, logos, trademarks, or trade names of the other, or make any public announcement, press release, or social media post regarding the Purpose or the Parties’ discussions, without the other Party’s prior written consent, except as required by law or regulation (with advance notice where legally permitted).

12. Data Protection
To the extent Confidential Information includes personal data or personally identifiable information, the Receiving Party shall process such data in compliance with applicable data protection laws and use reasonable administrative, technical, and physical safeguards to protect it. If cross-border transfers are implicated, the Parties shall execute any required data transfer mechanisms.

13. Assignment
Neither Party may assign this Agreement, in whole or in part, without the other Party’s prior written consent, except that either Party may assign this Agreement without consent in connection with a merger, reorganization, or sale of all or substantially all of its assets or equity, provided the assignee assumes all obligations hereunder. Any prohibited assignment is void.

14. Governing Law; Forum; Waivers
This Agreement is governed by the laws of [New York/California] without regard to its conflicts of law principles. The Parties consent to exclusive jurisdiction and venue in the state and federal courts located in [New York County, New York / Los Angeles County, California]. If any provision is held invalid or unenforceable, the remainder will remain in full force and effect, and the invalid provision will be replaced with a valid provision that most closely reflects the Parties’ original intent. 17. U.S. Defend Trade Secrets Act Notice (18 U.S.C. § 1833(b))
Notwithstanding any provision in this Agreement, an individual will not be held criminally or civilly liable under any federal or state trade secret law for the disclosure of a trade secret that: (a) is made in confidence to a federal, state, or local government official, or to an attorney, solely for the purpose of reporting or investigating a suspected violation of law; (b) is made in a complaint or other document filed in a lawsuit or other proceeding, if such filing is made under seal; or (c) is made to an attorney in connection with a lawsuit for retaliation for reporting a suspected violation of law, and the trade secret is filed under seal and not disclosed except pursuant to court order.

18. Access to Premises, Sets, Screenings
If the Receiving Party or its Representatives are granted access to premises, sets, virtual sets, post-production facilities, or screenings, such access is a privilege that may be revoked at any time and is subject to all site rules, security protocols, and confidentiality requirements. The Receiving Party shall ensure compliance with all applicable health, safety, security, and anti-piracy measures, including watermarking and device restrictions.

19. No Agency; No Partnership
Nothing in this Agreement creates any agency, partnership, joint venture, fiduciary, or employment relationship between the Parties.
