为此,双方约定如下:
第一条 定义与解释 1.1 “场地”指A馆室内可用空间及经甲方书面确认之附属区域(若有),详见附件一《场地平面图及技术参数》。 1.2 “本活动”指乙方以[行业/主题]为核心、面向[受众范围]举办之春季路演,包括但不限于布展、排练、嘉宾致辞、产品/项目展示、媒体拍摄、观众入场与撤场等。 1.3 “工作日”指中国内地法定工作日;“日”指自然日。 1.4 本协议之附件为不可分割之组成部分,与正文具有同等法律效力。如有冲突,以正文为准;若需技术细化,以附件载明且经双方盖章确认的最新版本为准。
第二条 租赁标的、用途与容量控制 2.1 甲方同意将A馆出租予乙方用于举办本活动;乙方承诺仅将场地用于本协议所载之路演活动,不得擅自改变用途或用于法律法规禁止之事项。 2.2 场地包含:主厅约[ ]平方米、后台/化妆间[ ]间、公共走道及经同意之装卸口、临时设备堆放区等,具体以附件一标注为准。 2.3 场地最大同时容纳人数(含工作人员)为[ ]人。乙方应严格执行容量上限及人流分区与疏散通道留设,不得占压消防通道及安全出口。 2.4 乙方不得在未获书面许可情况下进行结构性改造、屋顶荷载悬挂、打孔、焊接或使用明火、烟火、冷焰火、干冰机等特殊效果;确需使用之,须符合消防与安监规范并取得主管部门及甲方书面许可。

第五条 许可、审批与合规 5.1 乙方应自行负责并保证在法定期限内取得与本活动相关之全部许可、备案或审批文件,包括但不限于:
第六条 安全生产与现场管理 6.1 乙方应编制并执行经甲方备案之《活动总体安全方案》,包含:人流组织与容量控制、出入口设置、应急疏散与集合点、临时用电方案、舞台与搭建结构安全说明、消防器材布设、医疗救护与应急联络机制等。 6.2 乙方应配备与活动规模相匹配之安保与志愿者队伍,关键岗位(电工、高空作业、特种设备操作等)需持证上岗。 6.3 乙方应确保所有材料与设备满足阻燃、防火等级要求;任何遮挡、封闭或占用安全出口、消防栓、喷淋、消火栓箱等行为均属重大违约。 6.4 甲方有权就现场安全提出指令或暂停建议;乙方应无条件配合。因乙方不配合导致的损失,由乙方承担。
第七条 第三方承包商与搭建 7.1 乙方引入之承包商(搭建、AV、布展、票务、安保、清洁、餐饮等)须经甲方书面准入并遵守附件三《馆内管理与施工规范》。 7.2 乙方及其承包商进场前须完成安全教育,佩戴工牌,办理进出场登记;物料出门须凭放行条。 7.3 乙方应确保承包商购买适当保险并承担各自雇员的劳动用工合规及安全责任。
第八条 知识产权与宣传 8.1 乙方保证就本活动使用之商标、作品、品牌、肖像、演讲内容、音乐/影像素材等享有合法权利或取得合法授权,并承担因此引发的全部第三方权利主张。 8.2 对于活动期间产生之节目信号或图片资料之录制、直播、回放、短视频分发等,乙方应确保已就表演者权、录音录像制作者权等取得授权,并依法履行著作权集体管理组织的许可与费用支付义务。 8.3 乙方授予甲方一项非独占、不可转让、免版税之有限许可,仅用于事实性报道与甲方自有渠道之案例展示,在不歪曲活动事实的前提下使用乙方之活动名称与标识;任何商业性联名、赞助露出须另行书面约定。 8.4 乙方使用甲方名称、标识进行宣传,应事先获得甲方书面同意,并符合甲方品牌使用规范。
第九条 票务与观众管理(如适用) 9.1 如本活动采取售票或预约入场,乙方应建立实名制入场与检票机制,采取反“黄牛”措施并依法履行发票开具与价格公示义务,保障消费者退换票权利依法实现。 9.2 乙方对未成年人、老年人及残障人士提供必要便利与安全保障,符合无障碍设施使用要求。
第十条 个人信息与隐私保护 10.1 如乙方收集、处理观众、嘉宾、承包商之个人信息,应遵守《个人信息保护法》《网络安全法》《数据安全法》等规定,明示处理目的、范围与规则,取得必要同意并落实最小必要、去标识化与安全存储等措施。 10.2 甲方为安全管理设置之视频监控仅用于治安与安全目的,留存期限依法合规控制。非经法定程序或当事人同意,不得擅自向第三方提供。
第十一条 保险 11.1 乙方应于进场前[5]个工作日向甲方提交有效保险凭证,至少包括:
第十二条 损害、赔偿与责任限制 12.1 乙方应对因其或其承包商、嘉宾、观众之原因造成甲方或第三方之人身伤害、财产损失、知识产权侵权、行政处罚等承担赔偿责任,并使甲方免责;但因甲方故意或重大过失造成的后果除外。 12.2 因甲方提供之场地设施存在瑕疵且甲方明知或应知而未尽到合理提示与修复义务致损的,甲方在法律规定范围内承担相应责任。 12.3 在法律允许的范围内,除人身伤害、因故意或重大过失、知识产权恶意侵权、保密义务及应付价款外,甲方的累计赔偿责任以乙方已支付之当期场地租金总额为上限;双方均不对利润损失、商誉损失、间接或惩罚性损害承担责任。
第十三条 验收、复位与损坏处理 13.1 双方于进场时共同完成《进场交接单》,载明设施、设备、清单与完好状况;撤场时进行复检并形成《撤场验收单》。 13.2 乙方应在撤场期限内完成清理、复位,恢复至进场时状态。逾期未完成的,甲方可自行组织处理,费用由乙方承担。 13.3 如发生损坏,按“修复优先、无法修复则更换或赔偿”的原则处理,赔偿金额以甲方实际修复/更换成本及停用损失(如适用)为依据。
第十四条 取消、变更与延期 14.1 乙方主动取消的,除不可抗力或依情势变更另有约定外,按下列比例向甲方支付取消费用(可从定金及保证金中抵扣,不足部分另行支付):
第十五条 不可抗力与情势变更 15.1 不可抗力系指不能预见、不能避免且不能克服之客观情况,包括但不限于自然灾害、政府行为、突发公共卫生事件、战争或社会性重大事件等。不可抗力发生时,受影响一方在合理期限内通知并提供证明,可在相应范围内免责。 15.2 因情势变更致合同目的难以实现或显失公平的,双方可依诚实信用原则协商变更或解除;协商不成的,任何一方可依法向有管辖权的人民法院/仲裁机构请求变更或解除(以适用法律为准)。
第十六条 保密 16.1 双方对因履行本协议获知之对方商业秘密、技术信息、方案与价格等负有保密义务,非经对方书面同意不得向任何第三方披露,法律法规另有规定或监管机关依法要求除外。 16.2 保密义务不因本协议解除或终止而失效,有效期为披露日起[3]年,涉及未公开商业秘密的,持续至该信息合法公开之日。
第十七条 税费 17.1 与本协议项下应付价款相关之税费依现行税法由相应纳税义务人承担。各方各自承担因自身经营引致之税费与行政费用。
第十八条 转让与转租 18.1 未经甲方书面同意,乙方不得转让本协议项下权利义务,不得转租、分租或以任何方式将场地交由第三方使用。 18.2 经同意之转让或转租,乙方仍应与受让人/次承租人对甲方承担连带责任。
第十九条 违约、催告与解除 19.1 构成重大违约之情形包括但不限于:拖欠费用逾期超过[5]个工作日;未取得法定许可即举办活动;严重违反消防安全与容量控制要求;未经许可擅自改变用途;给场馆造成重大损害或重大负面社会影响等。 19.2 一方违约时,守约方可书面催告限期改正;逾期未改正的,守约方有权单方解除本协议并要求赔偿。 19.3 本协议解除或终止后,已发生之违约与赔偿责任不受影响。
第二十条 争议解决与适用法律 20.1 本协议之订立、效力、履行、解释与争议解决,均适用中华人民共和国法律(不含冲突规范)。 20.2 因本协议引起或与之相关之争议,双方应先行友好协商;协商不成的,任何一方均可向甲方住所地有管辖权的人民法院提起诉讼。[如双方选择仲裁,请改写为:提交[ ]仲裁委员会,按其现行仲裁规则在[ ]进行仲裁。]
第二十一条 通知与送达 21.1 本协议项下之通知、文件应以专人送达、挂号信、快递或电子邮件方式发送至本协议首页所列地址或双方另行确认之地址/邮箱。 21.2 以电子邮件方式发送的,自邮件进入对方邮件系统之时视为送达;以快递方式发送的,自签收日或快递显示派送完成之日视为送达。
第二十二条 其他 22.1 本协议经双方签字/盖章之日生效。经双方书面确认可使用电子签名,效力等同于手写签字/盖章。 22.2 本协议构成双方就本协议标的之完整协议,取代此前之任何口头或书面沟通与谅解。 22.3 若本协议任何条款被认定为无效或不可执行,不影响其他条款之效力。双方应以合法有效之条款替换,以最大程度实现原条款之目的。 22.4 本协议正本一式[ ]份,甲方执[ ]份,乙方执[ ]份,具有同等法律效力。

Venue License Agreement (Art Season Opening Ceremony – Chenghu Cultural Tourism Center)
This Venue License Agreement (Agreement) is entered into as of [Date] (Effective Date) by and between:
[Chenghu Cultural Tourism Center Management Entity], a [jurisdiction and form of entity] with its principal place of business at [address] (Licensor); and
[Organizer Legal Name], a [jurisdiction and form of entity] with its principal place of business at [address] (Licensee).
Licensor and Licensee are each a Party and together the Parties.
Recitals A. Licensor manages and/or controls access to the cultural and tourism facilities commonly known as the Chenghu Cultural Tourism Center (Venue). B. Licensee desires to conduct the opening ceremony for the [Year/Season] Art Season (Event) at the Venue, and Licensor is willing to grant Licensee a limited license to occupy and use certain portions of the Venue for the Event on the terms and conditions set forth herein.
Agreement
Grant of License; Nature of Rights 1.1 License. Subject to the terms of this Agreement, Licensor grants to Licensee a revocable, non-transferable, limited license to occupy and use the area(s) of the Venue identified in Schedule A (Premises) solely for the Event and related load-in, rehearsals, and load-out during the period specified in Section 2 (collectively, the License). 1.2 No Tenancy. The Parties agree that this Agreement is a license to occupy only. It does not create any leasehold, tenancy, or other real property interest. Licensee acknowledges that Licensor retains legal possession, control, and management of the Venue at all times. 1.3 Exclusivity. The License is [exclusive/non-exclusive] as to the Premises during the Term only, subject to Licensor’s retained rights to enter for safety, inspection, or to address an emergency.
Term; Access; Schedule 2.1 Term. The license term (Term) shall commence at [time] on [date] and expire at [time] on [date], including the following access windows:
Premises; Services; Technical Requirements 3.1 Premises. The Premises include the spaces indicated on Schedule A, including any back-of-house areas, green rooms, storage, staging areas, and ingress/egress as described. All other areas are excluded unless expressly identified. 3.2 Venue Rules and Technical Specifications. Licensee shall comply with Licensor’s venue rules, safety policies, and technical specifications attached as Schedule E and Schedule F (collectively, Venue Rules), which are incorporated by reference. In case of conflict, this Agreement controls unless the Venue Rules are more protective of health, safety, or structural integrity. 3.3 Included Services. Licensor will provide: (a) base house lighting; (b) base HVAC during the Event hours; (c) reasonable housekeeping before and after Event hours; and (d) standard utilities connections, in each case as detailed in Schedule C. Any additional services, equipment, personnel, or overtime will be charged at Licensor’s then-current rates. 3.4 Production and Rigging. Any rigging, staging, temporary structures, scaffolding, aerial equipment, or loads on building or truss systems require Licensor’s prior written approval and certification by qualified professionals. Licensee shall supply all engineering documents and certificates of compliance upon request.
Permitted Use; Capacity; Prohibited Activities 4.1 Use. Licensee may use the Premises solely for the Event and customary ancillary activities (receptions, press calls) as described in Schedule B. Any material deviation requires Licensor’s prior written approval. 4.2 Capacity. Attendance shall not exceed the lawful or posted capacity for each area of the Premises. Licensee shall implement crowd management consistent with the Security Plan (Schedule G). 4.3 Prohibited Activities. Without limiting the Venue Rules, the following are prohibited unless approved in writing by Licensor and authorities having jurisdiction: open flame; pyrotechnics; smoke/fog; lasers; drones/unmanned aircraft; hazardous materials; animals (other than legally permitted service animals); confetti/glitter; floor-adhesive tape other than venue-approved; affixing materials to walls/fixtures; and any activity in violation of fire, life-safety, building, or public assembly regulations.
Licenses, Permits, and Compliance with Law 5.1 Permits and Approvals. Licensee shall, at its sole cost, obtain and maintain all required governmental permits, licenses, and approvals for the Event, including without limitation public assembly approvals, fire safety approvals, cultural/tourism approvals, police/public security notifications, film/recording permits, outdoor advertising permissions, and any special activity permits required by the applicable jurisdiction(s). 5.2 Compliance. Licensee shall conduct the Event in full compliance with all applicable laws, regulations, orders, and industry standards, including those relating to public safety, fire code, health and sanitation, public nuisance, accessibility, labor/employment, anti-bribery/anti-corruption, sanctions/export controls, consumer protection, advertising, privacy, and data protection. Licensee shall not cause or permit any nuisance or unlawful activity. 5.3 Music and Performance Rights. Licensee is responsible for securing and paying for all public performance, synchronization, and mechanical licenses necessary for music or other copyrighted content used at the Event, including licenses from applicable collective management organizations, and shall ensure that all performers and presenters have cleared rights to their performances.
Fees; Taxes; Deposits; Settlement 6.1 Fees. Licensee shall pay Licensor the fees set out in Schedule C, including base license fees, staffing, equipment, utilities, cleaning, security, and any other charges. Overtime, damages, restoration, and additional services shall be billed at Licensor’s published rates. 6.2 Payment Schedule. Unless otherwise stated in Schedule C:
Security; Safety; Medical; Crowd Management 7.1 Security Plan. Licensee shall implement the Security Plan (Schedule G) approved by Licensor, including screening, access control, credentialing, and cash/ticket security as applicable. Licensor may require use of venue-approved security vendors. 7.2 Emergency Services. Licensee shall provide qualified first aid/EMS coverage if required by law, the Security Plan, or Licensor’s reasonable assessment of risk. Evacuation procedures must be communicated to staff and contractors. 7.3 Health Measures. Licensee shall comply with any public health orders and venue-imposed health measures applicable at the time of the Event.
Food and Beverage; Alcohol 8.1 Catering. Food and beverage service is subject to Licensor’s exclusive providers unless otherwise approved in writing. All caterers must comply with health and safety regulations and maintain required permits and insurance. 8.2 Alcohol. Alcohol service requires all legally required permits and responsible service protocols. Service to minors or intoxicated individuals is strictly prohibited.
Merchandising; Sponsorship; Signage 9.1 Merchandising. Merchandise sales require Licensor’s prior written approval of locations, vendors, and product categories. Any revenue share or fees shall be as set forth in Schedule H. 9.2 Sponsorship Conflicts. Licensee shall not display or allow display of branding that conflicts with Licensor’s exclusive sponsors listed in Schedule E without Licensor’s written consent. 9.3 Signage and Advertising. All on-site signage, exterior installations, and advertising must be pre-approved by Licensor and comply with applicable permitting requirements. No permanent alterations are permitted.
Intellectual Property; Recording; Publicity 10.1 Ownership. Each Party retains all right, title, and interest in and to its respective trademarks, trade dress, copyrights, and other intellectual property. No license is granted except as expressly stated. 10.2 Venue Marks and Imagery. Subject to Licensor’s prior written approval, Licensor grants Licensee a limited, non-exclusive, non-transferable license to use the Venue name “Chenghu Cultural Tourism Center” and approved venue imagery solely to promote the Event in accordance with Licensor’s brand guidelines. All goodwill accrues to Licensor. 10.3 Recording and Broadcast. Licensee may [record/stream/broadcast] the Event only with Licensor’s prior written consent and subject to: (a) compliance with Venue Rules; (b) rights clearance for all content and performers; (c) restrictions on placement of cameras and cabling; and (d) no impairment of safety or guest experience. Licensee shall indemnify Licensor for claims arising from recording or transmission. 10.4 Attendee Privacy. If Licensee captures images or personal data of attendees, Licensee shall provide clear notices and obtain any required consents under applicable data protection and privacy laws.
Condition; Alterations; Restoration 11.1 Condition. Licensee accepts the Premises in its “as-is, where-is” condition, subject to a joint pre-Event walkthrough. Licensee shall immediately notify Licensor of any unsafe condition. 11.2 Alterations. No alterations or invasive work may be performed without Licensor’s written consent. All permitted alterations shall be at Licensee’s expense and must be removed and the Premises restored to original condition at the end of the Term, ordinary wear and tear excepted. 11.3 Damage. Licensee is responsible for all damage to the Venue, equipment, fixtures, or grounds caused by Licensee, its contractors, vendors, guests, or invitees. Licensor may repair and charge Licensee the reasonable cost thereof.
Insurance 12.1 Required Coverage. At its sole cost, Licensee shall procure and maintain, with insurers rated [A-] or better by A.M. Best or equivalent, the following insurance from the Effective Date through completion of load-out:
Indemnification; Limitation of Liability 13.1 Licensee Indemnity. Licensee shall defend, indemnify, and hold harmless Licensor and its affiliates, officers, directors, employees, and agents from and against all claims, demands, causes of action, damages, losses, liabilities, fines, penalties, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) personal injury (including death) or property damage occurring in connection with the Event or the conduct of Licensee, its contractors, vendors, performers, invitees, or guests; (b) Licensee’s breach of this Agreement or violation of law; and (c) intellectual property or privacy claims arising from Event content, recording, or publicity, except to the extent caused by Licensor’s gross negligence or willful misconduct. 13.2 Licensor Indemnity. Licensor shall defend, indemnify, and hold harmless Licensee against third-party claims to the extent arising from Licensor’s gross negligence or willful misconduct. 13.3 Limitation of Liability. To the maximum extent permitted by applicable law, neither Party shall be liable to the other for any indirect, incidental, consequential, special, exemplary, or punitive damages, or loss of profits or revenues, arising from or related to this Agreement, even if advised of the possibility thereof; provided that this limitation does not apply to a Party’s indemnification obligations for third-party claims, breaches of confidentiality, or infringement/misappropriation of intellectual property, or to liability that cannot be excluded under applicable law.
Force Majeure; Postponement 14.1 Force Majeure. Neither Party shall be liable for failure or delay in performance (other than payment obligations) to the extent caused by events beyond its reasonable control, including acts of God, extreme weather, natural disasters, war, terrorism or credible threats, civil unrest, epidemic/pandemic, governmental orders or restrictions, labor disputes (not involving the affected Party’s own workforce), utility failures not caused by the affected Party, or structural emergencies (Force Majeure Event). 14.2 Notice; Mitigation. The affected Party shall provide prompt notice and use commercially reasonable efforts to mitigate and resume performance. 14.3 Postponement/Rescheduling. If a Force Majeure Event materially impairs the Event, the Parties shall in good faith attempt to reschedule within [180] days on mutually acceptable dates, applying prepaid amounts to the rescheduled date. If rescheduling is not feasible within such period, either Party may terminate without further liability, and Licensor shall refund prepaid fees less documented, unavoidable costs incurred before the Force Majeure Event.
Cancellation; Termination for Cause 15.1 Licensee Cancellation. If Licensee cancels for convenience, Licensee shall pay the following liquidated damages (agreed by the Parties as a reasonable estimate of Licensor’s loss and not a penalty):
Confidentiality Each Party shall keep confidential the non-public terms of this Agreement, security plans, and any proprietary information disclosed by the other Party, except as required by law or for enforcement of rights hereunder.
Assignment; Subcontracting Licensee shall not assign this Agreement or sublicense access to the Premises without Licensor’s prior written consent, which shall not be unreasonably withheld for customary event vendors. Any permitted assignment shall not relieve Licensee of its obligations unless expressly released in writing.
Relationship of the Parties; Contractors The Parties are independent contractors. Licensee is responsible for its employees, agents, vendors, performers, and contractors, who must comply with the Venue Rules and applicable law. Licensor may remove any individual who endangers safety or materially disrupts operations.
Data Protection; CCTV Licensee shall comply with applicable data protection and privacy laws with respect to any personal data processed in connection with the Event. The Venue may use CCTV for security and operational purposes in accordance with applicable law and posted notices.
Environmental; Sustainability; Waste Licensee shall minimize waste, avoid prohibited materials, and comply with recycling and disposal procedures. Hazardous waste, if any, shall be handled only by licensed vendors at Licensee’s expense.
Notices All notices under this Agreement shall be in writing and delivered by hand, recognized courier, or email with confirmation to the addresses below (or as later updated in writing):
Governing Law; Dispute Resolution 22.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of [Venue Jurisdiction], without regard to its conflict of laws principles. 22.2 Venue/Jurisdiction. The Parties submit to the exclusive jurisdiction of the courts located in [Venue City/Province], [Venue Jurisdiction]. 22.3 Alternative Dispute Resolution (optional). Upon mutual written agreement, disputes shall be resolved by confidential arbitration administered by [institution] under its [rules], seated in [city], with [one/three] arbitrator(s), and the award may be entered in any court of competent jurisdiction. 22.4 Language. This Agreement is executed in English. If translated, the English version controls.
Representations and Warranties 23.1 Authority. Each Party represents that it has full power and authority to enter into and perform this Agreement. 23.2 Anti-Corruption. Each Party represents that it shall comply with applicable anti-bribery and anti-corruption laws, and that no unlawful inducement or thing of value has been or will be offered in connection with this Agreement or the Event.
Public Statements Public announcements referencing the Venue or Licensor shall be subject to Licensor’s prior written approval, not to be unreasonably withheld or delayed.
No Waiver; Severability; Entire Agreement; Amendments 25.1 No Waiver. No waiver is effective unless in writing and signed by the waiving Party. No delay or omission operates as a waiver. 25.2 Severability. If any provision is held invalid or unenforceable, it shall be limited or severed to the minimum extent necessary, and the remainder shall remain in full force. 25.3 Entire Agreement. This Agreement, including Schedules A–H, constitutes the entire agreement and supersedes all prior understandings regarding the subject matter. 25.4 Amendments. Any modification must be in a written instrument signed by both Parties. 25.5 Counterparts; Electronic Signatures. This Agreement may be executed in counterparts, including by electronic signatures, each deemed an original and together constituting one instrument.
Survival Sections 6.4, 9, 10, 11.3, 12, 13, 15, 16, 19, 21, 22, 23, 25, and 26 survive expiration or termination.

新品发布会场地租赁协议 Venue Hire Agreement for Product Launch
重要说明/Important Note: 本双语文本为同一协议的中文与英文版本。双方同意,如中英文文本存在不一致或歧义,以中文版本为准并据以解释与执行。 This bilingual text constitutes the same agreement in Chinese and English. In case of any inconsistency or ambiguity between the versions, the Chinese version shall prevail for interpretation and enforcement.
1.2 承租方(“甲方”/“活动方”):[承租方全称],住所地:[地址],统一社会信用代码/身份证号:[编号]。 Lessee (“Lessee”/“Organizer”): [Full legal name of the Lessee], registered address: [address], Unified Social Credit Code/ID No.: [number].
1.3 定义。除上下文另有约定外: Definitions. Unless otherwise stated: (1) “场地”系指酒店方为本次活动提供之场所与附属区域,包括但不限于:[具体会议厅名称/层数/面积/前厅/后台/装卸区]。 “Venue” means the hotel areas provided for the Event, including without limitation: [specific ballroom/meeting room name/floor/area/foyer/back-of-house/loading bay].
(2) “活动”指甲方于场地内举办之新品发布会及相关活动(含彩排、搭建、拆除、媒体发布、直播/录播等)。 “Event” means the product launch and related activities (including rehearsals, load-in/build, strike/load-out, press, live streaming/recording).
(3) “活动期”指自进场搭建起至撤场完成止之连续期间。 “Event Period” means the continuous period from initial load-in/build to final load-out.
(4) “附加服务”指酒店方提供之灯光音响、视频、舞台、宴会餐饮、网络、保洁、安全等。 “Ancillary Services” means AV, staging, banquet/catering, internet, cleaning, security, etc., provided by the Hotel.
2.2 时间安排:进场搭建[日期/时间];彩排[日期/时间];活动正式开始[日期/时间];撤场完成[日期/时间]。甲方承诺严格遵守。 Schedule: Load-in/build [date/time]; rehearsal [date/time]; Event start [date/time]; load-out complete [date/time]. Lessee shall strictly comply.
2.3 超时使用:未经书面同意之超时,按[金额]/小时计费,且不视为酒店方默认延展;酒店方有权基于安全或运营原因拒绝超时。 Overtime: Unauthorized overtime is charged at [amount]/hour and shall not constitute a waiver or extension; the Hotel may refuse overtime for safety/operational reasons.
3.2 税务:上述费用适用增值税税率[税率]%。酒店方据实开具增值税专用/普通发票。依法产生之其他税费由各自依法承担。 Tax: VAT at [rate]% applies. The Hotel issues valid VAT invoices. Each party bears its own taxes as required by law.
3.3 保证金:甲方于签署之日支付履约及损害保证金人民币[金额]元;活动结束并结清费用且无损害/违约后[天数]个工作日内无息退还。 Security deposit: On signing, Lessee pays RMB [amount] as performance/damage deposit; refundable without interest within [number] business days after settlement and no damage/breach.
3.4 付款进度:
3.5 逾期付款:逾期部分按每日万分之[数值]计违约金;酒店方可暂停服务或解除本协议。 Late payment: Liquidated damages at [x]/10,000 per day on overdue amounts; the Hotel may suspend services or terminate this Agreement.
4.2 容量与布局:任何布局变更、舞台/桁架/吊挂/负载、用电功率须经酒店方书面批准,并符合结构载荷与消防疏散要求。 Capacity and layout: Any changes, stage/truss/rigging/load and power requirements require Hotel’s written approval and must meet load and egress standards.
4.3 施工与第三方供应商:甲方或其供应商进入场地前须完成进场登记、提交资质与保险证明;酒店方有权基于安全与运营标准拒绝不合规供应商。 Build and third-party vendors: Vendors must register, submit qualifications and insurance before access; Hotel may refuse non-compliant vendors for safety/operational reasons.
4.4 餐饮与独占性:酒店方对宴会餐饮享有优先/独家经营权;如甲方拟自带餐饮或酒水,须事先书面同意并可能产生开瓶费/外带费。 Catering and exclusivity: The Hotel has priority/exclusive rights for F&B; outside F&B requires prior written consent and may incur corkage/handling fees.
4.5 网络与电力:甲方应提前书面提出网络与电力需求;不得擅自连接未经批准之设备或影响酒店系统之行为。 Internet and power: Submit needs in advance; no unauthorized connections or activities affecting hotel systems.
4.6 噪声与扰民:甲方应控制噪声不超过当地标准与酒店政策;酒店方有权要求即时整改或暂停活动。 Noise and disturbance: Lessee shall keep noise within local limits and policies; Hotel may require immediate rectification or suspend the Event.
4.7 危险物品:禁止易燃易爆、有毒、有害及法律法规禁止之物品进场;特效(如冷焰火、烟雾)须依法报批并经酒店书面同意。 Hazardous items: Flammables, explosives, toxic/harmful substances, and prohibited items are not allowed; special effects require permits and Hotel’s prior written consent.
5.2 甲方对活动之摄影、录音录像、直播及传播享有权利,但不得侵犯第三人权利或违反法律、行政法规、行业规范与平台规则。 Lessee may photograph, record, and broadcast the Event, provided it does not infringe third-party rights or violate laws, regulations, industry norms, or platform rules.
5.3 酒店商标与形象:甲方在宣传中如需使用酒店方名称、商标、识别标志或酒店影像,须事先获得酒店书面同意;事实性地点标注除外。酒店方不得未经甲方书面同意使用甲方商标进行商业宣传。 Hotel marks and image: Use of the Hotel’s name, trademarks, logos, or images in promotion requires prior written consent, except factual location references. The Hotel may not use Lessee’s marks for commercial promotion without prior written consent.
5.4 不良内容与合规:甲方不得于场地内展示、传播违法或侵权内容,不得违反广告法、反不正当竞争法、未成年人保护等相关法律法规之规定。 Prohibited content and compliance: Lessee shall not display or disseminate illegal or infringing content and shall comply with the Advertising Law, Anti-Unfair Competition Law, protections for minors, and other applicable laws.
6.2 甲方应遵守《中华人民共和国民法典》、著作权法、商标法、个人信息保护法、网络安全法、治安管理处罚法、消防法及当地政府与主管部门之规范与指引。 Lessee shall comply with the Civil Code of the PRC, Copyright Law, Trademark Law, Personal Information Protection Law, Cybersecurity Law, Public Security Administration Punishments Law, Fire Protection Law, and applicable local regulations and guidance.
7.2 酒店方如因提供服务而处理个人信息,将依照适用法律及其隐私政策进行。 Where the Hotel processes personal information in delivering services, it shall do so in accordance with applicable law and its privacy policy.
8.2 如涉及搭建、舞台机械、特效或高空作业,甲方及其供应商应另行投保雇主责任/承包人一切险等相关险种。 For builds, stage mechanics, special effects, or at-height work, Lessee and vendors shall additionally procure employer’s liability/contractors’ all risks and related coverages.
9.2 酒店方应对因酒店方重大过失或故意不当行为导致之甲方财产损失或人身伤害承担责任。但酒店方对利润、商誉、数据之间接或后果性损失不承担责任(法律另有强制性规定除外)。 The Hotel is liable for Lessee’s losses or injuries caused by the Hotel’s gross negligence or willful misconduct. The Hotel shall not be liable for indirect or consequential damages such as lost profits, goodwill, or data (except as mandatorily required by law).
9.3 责任限额:在法律允许范围内,除人身伤害或因故意/重大过失外,酒店方对甲方之累计赔偿责任以本协议项下甲方已支付之总费用为限。 Liability cap: To the extent permitted by law, except for personal injury or willful/gross negligence, the Hotel’s aggregate liability is capped at the total fees paid under this Agreement.
10.2 甲方改期:在酒店可用档期内且经书面同意,可改期一次;改期视同取消并重新预订之差额与费用另行结算。 Rescheduling: Subject to availability and written consent, one reschedule permitted; rescheduling may be treated as cancellation and rebooking for fees/differences.
10.3 酒店方取消/调整:因设施检修、突发安全隐患或其他正当运营原因确需调整,酒店方应提供合理替代方案或退还相关费用;若甲方因此发生的必要且合理的直接成本增加,经证据支持由双方协商处理。 Hotel cancellation/adjustment: For maintenance, safety hazards, or legitimate operational reasons, the Hotel shall provide alternatives or refund related fees; any necessary and reasonable direct cost increases incurred by Lessee shall be addressed by mutual negotiation upon evidence.
10.4 不可抗力:如因地震、台风、洪水、火灾、传染病暴发、政府命令或限制、停电或通信中断(非因一方过错)、战争、骚乱、劳资纠纷(非一方可控)等不可抗力导致活动无法如期举行,受影响一方可主张免责;双方应尽最大努力减轻损失并协商改期或部分/全额退款的合理安排。 Force majeure: If the Event cannot proceed due to force majeure (earthquake, typhoon, flood, fire, epidemic, government orders/restrictions, utility outages not due to a party’s fault, war, riot, uncontrollable labor disputes, etc.), the affected party may be excused; parties shall mitigate losses and negotiate rescheduling or reasonable partial/full refunds.
11.2 安保与人群管理:甲方应配备足够安保与引导人员;如酒店方或主管部门要求增加安保,甲方应配合并承担相应成本。 Security and crowd management: Lessee shall provide adequate security and ushers; if the Hotel or authorities require enhanced security, Lessee shall comply and bear costs.
11.3 政府检查与命令:甲方应配合政府检查;如因政府禁令、应急响应或公共安全需要要求暂停或限制活动,双方按不可抗力条款处理。 Government inspections and orders: Lessee shall cooperate; if suspension or restrictions are imposed, the force majeure clause applies.
12.2 反腐败与礼品:双方承诺遵守反腐败与反商业贿赂法律法规,不向对方人员提供不当利益。 Anti-corruption and gifts: Parties shall comply with anti-corruption and anti-bribery laws and provide no improper benefits.
转让与分包
Assignment and Subcontracting 14.1 未经对方书面同意,任何一方不得转让本协议项下之权利义务。甲方之供应商仅为履约之分包商,并不因此与酒店方发生合同关系。 No party may assign this Agreement without the other’s written consent. Lessee’s vendors are subcontractors for performance only and have no privity with the Hotel.
终止
Termination 15.1 如一方严重违反本协议且在收到书面通知后[5]个工作日内未能纠正,守约方有权解除本协议并请求损害赔偿。 If a party commits a material breach and fails to cure within [5] business days of written notice, the non-breaching party may terminate and seek damages.
15.2 如违反安全、消防或法律法规之情形,酒店方有权即时暂停或终止活动;由此产生之费用与损失由违约方承担。 For violations of safety, fire, or law, the Hotel may immediately suspend or terminate the Event; the breaching party bears resulting costs and losses.
16.2 因本协议引起或与之有关之争议,双方应友好协商解决;协商不成的,提交[酒店所在地]有管辖权的人民法院诉讼解决。 Any dispute arising out of or in connection with this Agreement shall be resolved through friendly negotiation; failing which, it shall be submitted to the competent People’s Court at the Hotel’s location.
17.2 修改与弃权:任何修改或弃权须经双方授权代表书面签署方为有效;任一方之延迟或宽容不构成对权利之弃权。 Amendments and waiver: Any amendment or waiver must be in writing signed by authorized representatives; no delay or indulgence constitutes waiver.
17.3 可分割性:若本协议任何条款被认定无效或不可执行,不影响其余条款之效力;双方应以合法且尽可能接近原意之条款替换。 Severability: If any provision is invalid or unenforceable, the remainder remains in force; parties shall replace with a lawful provision closest to the original intent.
17.4 优先顺序:本协议正文与附件不一致时,以正文为准;本协议与酒店方一般条款不一致时,以本协议为准。 Order of precedence: Inconsistency between the body and Schedules—body prevails; between this Agreement and Hotel general terms—this Agreement prevails.
17.5 语言:本协议以中英文作成,以中文为准。双方同意为履约之目的可使用电子签名与电子记录。 Language and e-signatures: Executed in Chinese and English; Chinese controls. Electronic signatures and records may be used for performance purposes.
