Software License Agreement (Independent Game Editor)

This Software License Agreement (Agreement) is a binding legal contract between the individual or legal entity that downloads, installs, or uses the Software (Licensee) and [Licensor Legal Name], a [jurisdiction and entity type] with its principal place of business at [address] (Licensor). By clicking “I Agree,” installing, or using the Software, Licensee accepts this Agreement as of the Effective Date.

1. Definitions
1.1 Editor or Software means the [Editor Name] proprietary software application, including any updates, patches, bug fixes, and modifications made available by Licensor.
1.2 Editor Content means any templates, sample projects, sample code, example assets, materials, or documentation provided with the Software, excluding Open-Source Components.
1.3 Open-Source Components means third-party software included in or distributed with the Software and licensed under open-source licenses.
1.4 Redistributables means the runtimes, libraries, or other components designated by Licensor in writing (including on Licensor’s website or in release notes) as redistributable with the Output.
1.5 Project means a project file, data set, or workspace created or edited using the Software.
1.6 User Content means content, code, data, assets, or materials that Licensee imports into or creates within the Software, excluding the Software and Editor Content.
1.7 Output means the products generated by Licensee’s use of the Software (for example, compiled games, executables, packaged builds, asset exports, or other media exported via the Software), excluding the Software and Editor Content except as embedded in compliance with this Agreement.
1.8 Documentation means user guides, instructions, or other documentation supplied by Licensor regarding the Software.

2. License Grant; Scope
2.1 License. Subject to Licensee’s compliance with this Agreement and timely payment of any applicable fees, Licensor grants Licensee a limited, personal, revocable, non-exclusive, non-transferable license, without the right to sublicense (except as expressly provided in Section 5), to:
(a) download, install, and use one object code copy of the Software on devices owned or controlled by Licensee for the purpose of developing Projects and generating Output; and
(b) use Editor Content solely within Projects and solely to generate Output in accordance with this Agreement and the Documentation.
2.2 Seat or Device Limitation. Unless otherwise authorized in writing, the license is limited to a single Authorized User and a reasonable number of devices used by that Authorized User for development, not to exceed [number] devices concurrently.
2.3 No Implied Rights. Except for the licenses expressly granted in this Agreement, no other rights are granted by implication, estoppel, or otherwise. Licensor and its licensors reserve all rights not expressly granted.

3. Restrictions
3.1 Prohibited Acts. Licensee shall not, and shall not permit any third party to:
(a) copy the Software except as strictly necessary for installation, execution, backup, or archival purposes;
(b) sell, rent, lease, lend, sublicense, distribute, publicly perform, publicly display, or otherwise make the Software or Editor Content available to any third party, except as permitted in Section 5 for Redistributables embedded in Output;
(c) reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, underlying ideas, algorithms, or file formats of the Software, except to the limited extent that applicable law expressly permits despite this restriction;
(d) remove, obscure, or alter any proprietary notices, disclaimers, or branding in or on the Software or Editor Content;
(e) circumvent technical restrictions, license keys, online activation, or usage limitations; or
(f) use the Software to develop a competing general-purpose game editor or a product that substantially replicates core functionalities of the Software.
3.2 Use of Editor Content. Editor Content may not be used, extracted, or distributed as standalone content or aggregated into an asset pack or template library. Editor Content may be used only as incorporated into Output that is a complete, original Project of Licensee.
3.3 Compliance. Licensee is solely responsible for compliance with applicable laws, rules, regulations, and third-party rights in connection with its use of the Software and distribution of Output.

4. Ownership; Feedback
4.1 Software Ownership. The Software and Editor Content are licensed, not sold. Licensor and its licensors own all rights, title, and interest, including all intellectual property rights, in and to the Software and Editor Content.
4.2 User Content and Output. Licensee owns its User Content. Subject to Licensor’s rights in the Software and Editor Content, Licensee owns the Output it creates using the Software.
4.3 Feedback. Licensee may provide feedback, suggestions, or ideas about the Software (Feedback). Licensor may freely use, exploit, and incorporate Feedback without restriction and without any obligation to Licensee.

5. Output; Redistributables
5.1 Output Rights. Subject to Licensee’s compliance with this Agreement, Licensee may use, reproduce, distribute, publicly perform, publicly display, sell, license, and otherwise exploit the Output worldwide, royalty-free.
5.2 Embedding Editor Content. Editor Content may be included in Output only to the extent embedded and insubstantial relative to the Output as a whole and not extractable by ordinary means. Licensee shall not distribute Editor Content on a standalone basis.
5.3 Redistributables. To the extent that Output requires Redistributables to run, Licensor grants Licensee a limited, non-exclusive, non-transferable, royalty-free right to reproduce and distribute the Redistributables solely as part of and for the purpose of executing the Output, provided that:
(a) Licensee does not modify the Redistributables (except as enabled by Licensor in writing);
(b) Licensee does not use Licensor’s trademarks to market the Redistributables;
(c) Licensee does not remove proprietary notices included with the Redistributables; and
(d) Licensee complies with the export, sanctions, and legal compliance obligations in this Agreement.
5.4 Attribution. [If required:] Licensee shall include the following attribution in a reasonably prominent place in the Output’s credits and online distribution pages: “Made with [Editor Name]” and include a link to [URL].

6. Third-Party Materials; Open Source
6.1 Third-Party Materials. The Software may include or interoperate with third-party materials (including platform SDKs, middleware, or services). Licensee is responsible for obtaining and complying with any separate third-party licenses and terms as applicable.
6.2 Open-Source Components. Open-Source Components are licensed to Licensee under their applicable open-source licenses. To the extent required by those licenses, the terms of the open-source licenses will supersede this Agreement solely with respect to those components.

7. Accounts; Telemetry
7.1 Accounts. Certain features may require an account. Licensee is responsible for all activity under its account and for maintaining security of credentials.
7.2 Telemetry. The Software may collect limited technical and usage data (e.g., device info, crash logs, feature usage) to improve performance and stability, as described in Licensor’s privacy notice at [URL]. Licensee will not use the Software in a manner that causes the collection of personal data of end users unless permitted and disclosed by Licensee in accordance with applicable laws.

8. Fees and Taxes
If the Software is provided on a paid or subscription basis, Licensee shall pay applicable fees pursuant to the order or plan selected. Fees are non-refundable except as required by law or expressly stated by Licensor. Licensee is responsible for all applicable taxes, excluding taxes based on Licensor’s net income.

9. Confidentiality
The Software (including any license keys) and any nonpublic information disclosed by Licensor are Licensor’s confidential information. Licensee shall not disclose such information to any third party and shall use it solely to exercise rights under this Agreement.

10. Warranties; Disclaimers
10.1 Limited Warranty (Business Users). Licensor warrants to business Licensees that for thirty (30) days from delivery, the Software will substantially conform to the Documentation when used as directed. Licensee’s exclusive remedy and Licensor’s entire liability for breach of this warranty is repair or replacement of the Software, or a refund of fees paid for the affected license if repair or replacement is not feasible.
10.2 Consumer Law. If Licensee is a consumer entitled to non-waivable statutory rights in the jurisdiction of residence, nothing in this Agreement limits those rights.
10.3 Disclaimer. Except for the limited warranty above and any non-waivable statutory rights, the Software and Editor Content are provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, whether express, implied, statutory, or otherwise, including any warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, or error-free performance. Licensor does not warrant that the Software will meet Licensee’s requirements or be compatible with any hardware, software, or system.

11. Indemnification
11.1 By Licensee. Licensee shall defend, indemnify, and hold harmless Licensor and its affiliates, officers, directors, employees, and agents from and against any and all third-party claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) Licensee’s User Content or Output; (b) Licensee’s breach of this Agreement; or (c) Licensee’s violation of applicable law or third-party rights.
11.2 Procedure. Licensor will notify Licensee promptly of any claim and cooperate at Licensee’s expense. Licensee shall not settle a claim without Licensor’s prior written consent if the settlement imposes obligations on or admits fault of Licensor.

12. Limitation of Liability
12.1 Exclusion of Damages. To the maximum extent permitted by law, in no event shall Licensor be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenue, data, goodwill, or business interruption, arising out of or relating to this Agreement or the use of or inability to use the Software, even if advised of the possibility of such damages.
12.2 Cap. To the maximum extent permitted by law, Licensor’s total cumulative liability for all claims arising out of or relating to this Agreement shall not exceed the amounts actually paid by Licensee to Licensor for the Software during the twelve (12) months preceding the event giving rise to liability. If the Software is provided free of charge, Licensor’s total liability shall not exceed USD $100.
12.3 Basis of Bargain. The parties agree that the limitations of liability herein are a fundamental basis of the bargain and risk allocation.

13. Term; Termination; Suspension
13.1 Term. This Agreement is effective as of the Effective Date and continues until terminated as set forth herein.
13.2 Termination for Convenience. Licensor or Licensee may terminate this Agreement at any time upon written notice if the Software is not under a fixed subscription term, or at the end of any subscription term.
13.3 Termination for Cause. Either party may terminate this Agreement immediately upon written notice if the other party materially breaches and fails to cure within thirty (30) days after notice (ten (10) days for payment failures). Licensor may suspend or terminate immediately for violations of Sections 3, 9, or 16.
13.4 Effect of Termination. Upon termination, the license granted herein terminates and Licensee must cease use, uninstall, and destroy all copies of the Software and Editor Content. Sections intended to survive (including 1, 3, 4, 5.3–5.4, 6, 7.2, 9–16, and 18–20) shall survive termination. Termination does not affect Licensee’s ownership of existing Output created in compliance with this Agreement prior to termination, nor Licensee’s distribution of such Output with Redistributables as permitted by Section 5.3.

14. Government Users
The Software is “commercial computer software” and “commercial computer software documentation.” If acquired by or on behalf of the U.S. Government, use, duplication, or disclosure is subject to the restrictions in FAR 52.227-19 or DFARS 227.7202, as applicable.

15. Export; Sanctions; Anti-Corruption
Licensee shall comply with all applicable export control, sanctions, and anti-corruption laws, including those of the United States, the European Union, and the jurisdiction(s) where Licensee operates or distributes Output. Licensee shall not export, re-export, or provide the Software or Redistributables to any embargoed jurisdictions or prohibited parties.

16. Trademarks; Publicity
Licensor’s names, logos, and trademarks are owned by Licensor. This Agreement does not grant any trademark rights except as expressly permitted for attribution under Section 5.4. Licensor may identify Licensee as a user of the Software using Licensee’s name and logo, subject to reasonable trademark usage guidelines and Licensee’s right to revoke such publicity by notice.

17. Consumer Cancellation Rights
If mandatory consumer protection laws grant Licensee a right to withdraw or cancel within a statutory period, Licensor will honor such rights in accordance with applicable law. If Licensee downloads or activates the Software before the end of the withdrawal period, Licensee acknowledges that some rights may be affected or waived to the extent permitted by law.

18. Updates; Changes to Agreement
18.1 Updates. Licensor may provide updates or modifications to the Software. Updates are deemed part of the Software and subject to this Agreement unless accompanied by separate terms.
18.2 Changes to Agreement. Licensor may update this Agreement prospectively by notice (e.g., via the Software or website). Continued use after the effective date of changes constitutes acceptance. If Licensee does not agree, Licensee must cease use and uninstall the Software; for paid subscriptions, Licensee may terminate and receive a prorated refund for the unused portion of the current prepaid period.

19. Assignment
Licensee may not assign or transfer this Agreement, in whole or in part, by operation of law or otherwise, without Licensor’s prior written consent, and any attempted assignment in violation of this section is void. Licensor may assign this Agreement to an affiliate or in connection with a merger, acquisition, or sale of assets.

20. General
20.1 Governing Law; Venue. This Agreement is governed by the laws of [Governing Law Jurisdiction], excluding its conflict of laws rules. The exclusive jurisdiction and venue for disputes arising out of or relating to this Agreement shall be the courts located in [Venue], and the parties consent to personal jurisdiction there. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
20.2 Injunctive Relief. Breach of Sections 3 or 9 may cause irreparable harm for which monetary damages are inadequate. Licensor may seek injunctive or equitable relief without the posting of a bond.
20.3 Severability; Waiver. If any provision is held unenforceable, it will be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect. No waiver is effective unless in writing and signed by the waiving party.
20.4 Force Majeure. Neither party is liable for delays or failures due to events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, labor disputes, government action, internet or telecommunications failures, or utility outages.
20.5 Notices. Notices must be in writing and deemed given when delivered by hand, confirmed email, courier, or certified mail to the addresses set forth above or as later designated in writing.
20.6 Entire Agreement. This Agreement, together with any order forms and Documentation expressly referenced herein, constitutes the entire agreement between the parties concerning the Software and supersedes all prior or contemporaneous understandings. Any terms in a purchase order or other document that purport to modify this Agreement are rejected and have no effect.

Acceptance
By clicking “I Agree,” installing, or using the Software, Licensee acknowledges that Licensee has read, understood, and agrees to be bound by this Agreement.

Exhibit A: Redistributables
Licensor may designate the following as Redistributables for use with Output:
- [List runtime libraries, runtime executables, shaders, content packs designated as redistributable, if any]
- [Any platform-specific redistributable components]

1.8 “客户数据”系指客户或代表客户通过平台提交、存储、处理的任何数据、记录与内容,包括但不限于终端用户资料、订阅信息、交易与账单明细等。
1.9 “个人信息/个人数据”系指适用法律下可识别特定自然人的信息。
1.10 “适用法律”系指对任一方或本协议项下活动具有约束力的法律、法规、监管规则及法院/监管机关的生效决定。
1.11 “第三方服务”系指由第三方提供、并可与平台集成的支付服务提供商(PSP)、税务引擎、KYC/AML服务、CRM、会计系统等。
1.12 “子处理方”系指许可方为提供服务而委托处理客户数据的第三方。

2. 许可授予与使用范围
2.1 许可授予。许可方在订阅期内授予客户一项非独占、不可转让、不可分许可、可撤销且限于客户内部业务目的之权利:(a)通过网络访问与使用平台与软件;(b)依据文档配置平台及使用API进行合理集成。
2.2 使用限制。除非适用法律禁止以下限制,客户不得:(a)对软件进行反向工程、反编译或反汇编;(b)移除或更改任何权利声明、标识或专有标记;(c)将平台用于提供对外服务外包、时间共享或作为与许可方竞争的服务;(d)进行或公开发布基准测试(除非事先书面同意);(e)规避技术防护或使用配额;(f)将平台用于违法内容、欺诈、洗钱、恐怖融资、博彩或其他被适用法律、卡组织/支付网络规则或许可方合理禁止的用途。
2.3 账户与凭证。客户对其账户下的所有活动负责,应确保授权用户保密访问凭证并仅在必要范围内访问。客户应及时通知许可方任何未经授权的访问或安全事件。
2.4 开源组件。软件可能包含开源组件;就该等组件,适用相应开源许可的条款优先于本协议相冲突部分。

3. 订阅、费用与税费
3.1 费用构成。客户应支付订单所列之订阅费、使用费(如基于交易笔数、GMV、API调用量的计量费用)及超额费。许可方可就续期调整费率并在续期前合理通知。
3.2 计费与支付。除非订单另有约定,费用按预付计费;使用型费用按月后付。到期未付的金额可按不高于法律允许的最高利率计收滞纳金,许可方并可在提前通知后暂停服务。
3.3 税费。费用不含任何税费。客户应承担与其订阅及其向终端用户交易相关的所有适用税费(含但不限于增值税、销售税、预提税),许可方依法应代扣代缴者除外。若法律要求,客户应向许可方提供有效的减免税证明。
3.4 退款政策。除非订单另有约定或法律强制要求,已支付费用不予退还。

4. 平台与计费特性特别条款
4.1 非资金持有与非金融服务。除非订单或法律另有明确约定,许可方不作为资金托管人、银行、货币服务或支付机构,不直接为客户收付或结算资金。任何支付资金流由客户所选第三方服务执行,客户为商户或交易主体。
4.2 第三方支付与集成。客户对其选择并授权的平台集成之第三方服务(包括支付、税务、KYC、风险控制等)的合规性、配置与费用独自负责;第三方服务的可用性与履约受其各自条款约束,许可方不对第三方服务作任何担保。
4.3 卡数据与合规。若客户通过平台处理、传输或存储与支付卡相关的数据,客户应确保其业务满足适用的卡组织规则与合规要求(包括但不限于PCI-DSS),并仅以文档允许的方式使用平台。许可方将维持与其服务性质相称的行业通行安全措施,但不承诺替代客户自身合规义务。
4.4 争议与拒付。客户对其与终端用户之间的订阅条款、计费授权、取消与退款政策、税费申报及任何交易争议或拒付(chargeback)承担全部责任。
4.5 法规合规。客户承诺平台之使用符合适用消费者保护、价格与自动续订披露、电子签名、电子账单、数据保护、反洗钱与制裁出口管制等法律要求。

5. 可用性、支持与维护
5.1 可用性。许可方将以商业上合理的努力维持平台在订阅期内的可用性并降低不可用时间。许可方可为实施维护而进行计划性停机,并将提前合理通知。
5.2 支持。许可方按文档或支持政策提供技术支持与错误修复。严重故障许可方将优先处理,并在商业上合理范围内提供绕过方案或修复。
5.3 变更。许可方可对平台功能进行改进、替换或移除非核心功能,前提是不致于实质性降低订单约定之核心功能。涉及重大变更的,许可方将提前合理通知。

6. 实施与专业服务(如适用)
如订单包含实施、迁移或顾问服务,许可方将按双方书面约定的范围、交付物与验收标准提供,上述服务以努力义务为限,未作结果担保。

7. 数据保护与信息安全
7.1 角色与处理。就客户数据中之个人数据,除非双方另行签署数据处理协议(DPA)另有约定,客户为控制者/个人信息处理者,许可方在提供服务所必需范围内作为处理者/受托处理者处理客户数据。
7.2 安全措施。许可方将实施与行业通行标准相称的技术与组织措施以保护客户数据免遭未经授权的访问、使用或披露。
7.3 数据泄露通知。若发生影响客户数据安全的事件,许可方将在不无故延迟且在适用法律要求的期限内通知客户,并配合客户依法履行监管或当事人通知义务。
7.4 子处理方。客户授权许可方聘用子处理方提供服务。许可方将对其子处理方施加不低于本协议标准的保密与数据保护义务,并对其行为对客户承担责任。许可方将以合理方式披露主要子处理方清单并就重要变更提供通知与异议机制(如适用)。
7.5 跨境传输。在为提供服务之必要范围内,许可方及其子处理方可在境内外处理客户数据,并将依据适用法律采取充分保障措施(如标准合同条款、评估或其他合法机制)。
7.6 数据保存与删除。订阅期届满或本协议终止后,许可方将按文档支持的数据导出方式向客户提供合理的导出协助,并在合理期限内删除或匿名化客户数据,法律另有强制保存要求或客户另行书面指示的除外。

8. 知识产权
8.1 权利归属。平台、软件与文档之全部知识产权及其改进、衍生成果归许可方及其许可人所有。除本协议明确授予之有限使用权外,未向客户转让任何权利。
8.2 客户数据。客户对客户数据保有全部权利。客户授予许可方为履行本协议之必要而在订阅期内全球范围、不可转让、免版税之使用、复制、处理与传输客户数据之许可。
8.3 反馈。客户自愿提供之建议、需求或改进意见可被许可方自由使用与纳入平台,无需向客户支付对价且不承担保密义务,惟不公开披露客户保密信息。

9. 保密
9.1 含义。保密信息包括任何一方以书面、口头或其他方式披露且被标识或可合理视为保密的信息,包括但不限于技术、商业、产品路线图、定价与安全资料,惟不含以下信息:(a)非因接收方过错而公开可得;(b)接收前已合法知悉;(c)由第三方合法披露且不负保密义务;(d)接收方独立开发且未使用披露方保密信息。
9.2 义务。接收方仅为履行本协议之目的使用保密信息,并采取不低于合理注意义务的措施予以保护,除为履约之必要向有知情需要且受不低于本条约束的人员披露外,不得向第三方披露。
9.3 强制披露。法律或监管要求披露时,接收方应在法律允许范围内提前通知披露方并配合寻求保护令。

10. 担保与免责声明
10.1 有限担保。许可方声明其有合法权利授予本协议项下许可,且平台在订阅期内基本符合文档所述功能。
10.2 免责声明。在适用法律允许的最大范围内,许可方不就适销性、特定用途适用性、非侵权、及无错误或不间断提供等作任何明示或默示担保;对第三方服务、客户配置、集成、数据输入、合规性与业务结果不承担担保。

11. 赔偿
11.1 许可方的赔偿。若第三方主张平台在按文档正常使用的情况下侵犯其有效知识产权,许可方将为客户进行抗辩并承担最终判决或经许可方书面同意的和解金,前提是客户:(a)及时书面通知;(b)授予许可方对抗辩与和解的完全控制权;(c)合理配合。若侵权发生或可能发生,许可方可自择其一:(i)取得继续使用权;(ii)替换或修改以避免侵权且基本保持功能;(iii)按未履行订阅期比例退还预付费用并终止受影响服务。上述义务不适用于因客户数据、非文档用途、与非许可方产品组合或客户修改而引起的主张。
11.2 客户的赔偿。若第三方主张因客户数据、客户违反本协议或适用法律、客户与终端用户之交易/计费行为或第三方服务选择与配置引发的任何索赔,客户将为许可方进行抗辩并承担相关损失,许可方履行配合义务。

12. 责任限制
12.1 间接损害免责。在法律允许最大范围内,任何一方对利润损失、商誉受损、数据丢失、业务中断或任何间接、附带、惩罚性、特别或后果性损害不承担责任。
12.2 赔偿上限。除非因一方的故意不当行为、死亡/人身伤害、侵权赔偿义务(第11.1条)或不可依法限制的责任外,任何一方基于本协议引起的累计责任以客户在发生首个索赔事件前十二(12)个月内就相关服务已支付之费用为上限。
12.3 风险分配。双方同意本条款反映双方合理的风险分配与定价基础。

13. 期限、续期、暂停与终止
13.1 期限。本协议自生效日起生效,持续至所有订单订阅期届满或本协议依约终止。
13.2 续期。除订单另有约定,订阅期届满自动按相同期限续期,除非任一方在当前期限届满前至少三十(30)天书面通知不续期。
13.3 暂停。若客户(a)逾期未付;(b)违反使用限制;或(c)使用被合理认为将导致安全风险或违反法律,许可方可在通知后暂停全部或部分服务。
13.4 因违约终止。任一方严重违约且在收到书面违约通知后三十(30)日内未能纠正的,守约方可终止本协议及受影响的订单。
13.5 终止后果。终止或到期后:(a)客户对平台的访问与许可终止;(b)客户应支付所有到期未付费用;(c)许可方按第7.6条处理客户数据;(d)第8、9、10.2、11、12、13.5、15、16、17条在终止后继续有效。

14. 合规与审计
14.1 反贿赂与贸易管制。各方声明遵守适用的反贿赂反腐败、经济制裁与出口管制法律,不将平台用于任何受限国家、个人或用途。
14.2 使用合规核查。许可方可基于合理事由并在提前通知的前提下,采用不干扰运营的方式对客户是否遵守授权范围与使用配额进行核查(包括技术性日志审阅)。如发现超额使用,客户应补缴相关费用。

15. 转让
未经对方书面同意,任一方不得转让本协议,但任一方可在合并、收购、或出售其实质全部资产时将本协议转让予继受方,前提是继受方不为对方之直接竞争对手且承继本协议全部义务。

16. 不可抗力
任一方因不可抗力事件(包括但不限于自然灾害、政府行为、战争、恐怖活动、劳资争议、互联网/云服务广域中断等)导致延迟或不能履约的,在该等事件存续期间不构成违约,但应尽商业上合理努力减轻影响。

17. 通知
本协议项下通知以书面形式发送至订单所载双方联系人与地址/电子邮件。法律程序性文书应以可证明送达的方式送达。

18. 适用法律与争议解决
18.1 适用法律。除非订单另有明确选择,本协议受[选择一:中华人民共和国法律(不含冲突规范与适用国际私法导致之法律适用变更);香港特别行政区法;新加坡法;英格兰及威尔士法;纽约州法]管辖。

19.2 修改。任何修改须经双方授权代表书面同意方为有效。许可方可更新文档与使用政策以反映合理之服务变更,惟不得实质性降低订单约定之核心权益。
19.3 可分割性。若本协议任何条款被裁定无效或不可执行,其余条款仍有效;无效条款应在法律允许范围内以最接近原意之有效条款替换。
19.4 弃权。任一方对违约或权利之弃权不应视为对其他或后续违约或权利之弃权。
19.5 宣传。除非客户书面反对,许可方可在客户名单与营销材料中以名称与标识标示客户作为平台用户,不披露客户保密信息。
19.6 独立承包人。双方为独立合同相对人,不构成合伙、合资或雇佣关系。
19.7 电子签署。双方同意采用电子签名/点击同意方式签署本协议并具同等法律效力。

API Gateway Management Software License Agreement

This Software License Agreement (Agreement) is entered into as of [Effective Date] (the Effective Date) by and between [Licensor legal name], a [jurisdiction and entity type] with principal place of business at [address] (Licensor), and [Licensee legal name], a [jurisdiction and entity type] with principal place of business at [address] (Licensee). Licensor and Licensee are each a Party and collectively the Parties.

1. Definitions
1.1 Software means Licensor’s API gateway management software identified in the Order, including server components, control plane, data plane plugins or agents, SDKs, CLIs, configuration templates, and accompanying Documentation, in executable object code form only, and any Updates provided under this Agreement. Software excludes Open Source Software and Third-Party Services.
1.2 Documentation means user guides, installation instructions, release notes, and technical specifications for the Software made available by Licensor.
1.3 Order means the ordering document, quote, or SOW executed by the Parties that references this Agreement and specifies license metrics (e.g., nodes, cores, instances, throughput), term, fees, and Support level.
1.4 Updates means bug fixes, patches, error corrections, and minor enhancements to the Software that Licensor generally makes available to similarly situated customers with active Support. Updates exclude new products, modules, or major releases licensed separately.
1.5 Support means the support and maintenance services described in Schedule B, if purchased.
1.6 Open Source Software or OSS means software components licensed under license terms approved by the Open Source Initiative and included in the Software.
1.7 Third-Party Services means online services, connectors, or integrations provided by third parties and used with or by the Software (including cloud services, identity providers, logging/monitoring tools).
1.8 Customer Data means data ingested by, routed through, stored by, or configured for processing by the Software that is controlled by Licensee.
1.9 Telemetry means technical information about installation, configuration, performance, resource utilization, feature usage, and errors generated by the Software.
1.10 Confidential Information has the meaning set forth in Section 11.
1.11 Evaluation License means a short-term, non-production license for testing and evaluation of the Software.

2. License Grant and Scope
2.1 Grant. Subject to Licensee’s compliance with this Agreement and payment of all applicable fees, Licensor grants Licensee a limited, revocable, non-exclusive, non-transferable (except as permitted in Section 18.4), non-sublicensable license during the Term to install and use the Software solely for Licensee’s internal business purposes to manage API traffic, keys, policies, and analytics, within the license metrics and environment specified in the Order and Documentation.
2.2 License Metrics. Licensee’s use is limited to the metrics, environments, and caps identified in the Order (e.g., number of nodes/cores/instances, requests per second, environments/dev/test/prod, or on-premises vs. cloud). Licensee will implement reasonable controls to ensure usage does not exceed licensed metrics.
2.3 Copies and Backups. Licensee may make a reasonable number of copies of the Software solely for backup, disaster recovery, and archival purposes, provided that all proprietary notices are reproduced and such copies are not executed in production except for failover testing or recovery.
2.4 Agents and SDKs. Licensee may deploy plugins/agents/SDKs supplied with the Software on systems under Licensee’s control solely to support lawful use of the Software.
2.5 Evaluation License. If the Software is provided on an Evaluation License, Licensee may use it solely in a non-production environment for the evaluation period specified by Licensor (or 30 days if unspecified). Evaluation copies are provided “AS IS” with no Support, warranties, or indemnities, and may be disabled automatically at the end of the evaluation period.

3. Restrictions
3.1 No Source Code. The Software is licensed in object code only. No rights to source code are granted.
3.2 Prohibited Acts. Licensee shall not, and shall not permit any third party to: (a) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying ideas of the Software, except to the extent expressly permitted by applicable law notwithstanding this restriction; (b) modify, adapt, translate, or create derivative works of the Software; (c) remove, alter, or obscure proprietary notices; (d) circumvent license keys, usage limits, or technological measures; (e) lease, rent, sell, assign, sublicense, distribute, provide access to, or otherwise transfer the Software to any third party; (f) use the Software to provide managed services, time-sharing, or hosting for third parties without an express written addendum; (g) use the Software for benchmarking or competitive analysis except as mandated by law; or (h) use the Software in violation of Section 14 (Compliance with Laws) or in any High Risk Activities (Section 16).
3.3 Third-Party Services. The Software may interoperate with Third-Party Services selected by Licensee. Licensor does not control and is not responsible for Third-Party Services. Licensee is solely responsible for any terms governing such services and for their security and availability.

4. Delivery, Installation, and Activation
4.1 Delivery. Licensor will make the Software and license keys (if any) available by electronic delivery. Delivery occurs when Licensor provides access credentials or download links.
4.2 Installation. Licensee is responsible for installation, configuration, and system compatibility unless implementation services are expressly purchased in an Order.
4.3 Activation and License Keys. The Software may require activation or license keys. Licensee shall not tamper with or circumvent such mechanisms.

5. Ownership; Feedback
5.1 Ownership. Licensor and its licensors retain all right, title, and interest in and to the Software and Documentation, including all intellectual property rights. No rights are granted by implication or estoppel.
5.2 Feedback. If Licensee provides suggestions or feedback regarding the Software, Licensor may use such feedback without restriction or obligation, provided Licensor does not identify Licensee without consent.

6. Open Source Software
6.1 Notices. The Software may include OSS. Applicable OSS licenses and notices are identified in Schedule D or the Documentation.
6.2 OSS Terms. To the extent required by OSS licenses, the terms of such licenses will supersede this Agreement solely with respect to the OSS components, and Licensee’s rights and obligations with respect to OSS are governed by the applicable OSS license. Nothing in this Agreement restricts Licensee’s rights under such OSS licenses.

7. Telemetry and Usage Data
7.1 Telemetry. The Software may generate Telemetry. Licensor may process Telemetry to improve, support, secure, and license the Software. Telemetry does not include Customer Data. If required by law or policy, Licensee will configure the Software to disable or limit Telemetry, where the Software provides such options.
7.2 Aggregation. Licensor may use Telemetry in de-identified and aggregated form for analytics and product improvement.

8. Support and Maintenance
8.1 Support. If purchased, Licensor will provide Support as described in Schedule B and the Order. Support requires Licensee to maintain supported configurations and provide logs reasonably necessary to diagnose issues.
8.2 End of Life. Licensor may discontinue older versions in accordance with its then-current end-of-life policy, provided that no version is retired earlier than [12] months after supersession, except for security risks or third-party dependencies.

9. Security; Customer Responsibilities
9.1 Licensee Responsibilities. Licensee is solely responsible for: (a) network, system, and API security and access controls; (b) configuration of policies, rate limits, and routing rules; (c) safeguarding credentials, keys, and tokens; (d) backups of Customer Data; and (e) compliance with its own and third-party acceptable use policies.
9.2 No Processing by Licensor. The Software is designed for on-premises or Licensee-controlled environments. Licensor does not have access to Customer Data except as expressly authorized by Licensee for Support or as set forth in a data processing addendum (if applicable).
9.3 Security Advisories. Licensor may provide security advisories and Updates. Licensee will use commercially reasonable efforts to apply security Updates promptly.

10. Data Protection
10.1 Customer Data. As between the Parties, Licensee owns all Customer Data. Licensor acquires no rights in Customer Data except to the limited extent necessary to provide Support when authorized by Licensee.
10.2 Personal Data. If Support requires Licensor to process personal data on Licensee’s behalf, the Parties will execute a data processing addendum substantially in the form of Schedule C. Licensee will not provide Licensor access to production personal data unless strictly necessary.
10.3 De-Identification. Licensor will not attempt to re-identify any de-identified or aggregated data it receives.

11. Confidentiality
11.1 Definition. Confidential Information means non-public information disclosed by a Party that is marked or identified as confidential or that a reasonable person would understand to be confidential given the nature of the information and circumstances, including product roadmaps, pricing, security information, license keys, and Customer Data.
11.2 Exclusions. Confidential Information does not include information that: (a) is or becomes public without breach; (b) was known to the recipient without confidentiality obligations; (c) is independently developed without use of the discloser’s Confidential Information; or (d) is rightfully received from a third party without confidentiality obligations.
11.3 Obligations. The receiving Party will use Confidential Information only to perform under this Agreement, protect it using at least the care it uses for its own similar information (and no less than reasonable care), and limit access to personnel and subcontractors who have a need to know and are bound by confidentiality obligations no less protective than those herein.
11.4 Compelled Disclosure. The receiving Party may disclose Confidential Information to the extent required by law or court order, provided it gives prompt notice (where lawful) and cooperates in seeking protective treatment.
11.5 Survival. Confidentiality obligations survive for five (5) years after termination, except trade secrets, which survive so long as they remain trade secrets under applicable law.

12. Fees; Taxes; Audit
12.1 Fees. Licensee will pay the fees set forth in the Order. Unless otherwise stated, fees are non-cancelable and non-refundable.
12.2 Payment Terms. Invoices are due net thirty (30) days from invoice date. Late amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. Licensee is responsible for reasonable costs of collection.
12.3 Taxes. Fees are exclusive of taxes. Licensee will pay all sales, use, VAT, GST, and other taxes or duties assessed in connection with this Agreement, excluding taxes based on Licensor’s net income.
12.4 Audit. During the Term and for twelve (12) months thereafter, Licensor may audit, no more than once per year and with at least ten (10) days’ notice, Licensee’s records reasonably necessary to verify compliance with license metrics. Audits will occur during normal business hours and will not unreasonably disrupt operations. If an audit reveals underpayment or overuse, Licensee will promptly pay true-up fees at then-current rates, plus reasonable audit costs if underpayment exceeds 5%.

13. Warranties; Disclaimers
13.1 Software Limited Warranty. Licensor warrants that for ninety (90) days from initial delivery (Warranty Period) the unmodified Software, when used in accordance with the Documentation on supported environments, will substantially conform to the Documentation. Licensee must notify Licensor of nonconformities within the Warranty Period.
13.2 Remedies. For any breach of the above warranty, Licensor’s sole obligation and Licensee’s exclusive remedy is for Licensor to use commercially reasonable efforts to correct the nonconformity, provide a workaround, or, if Licensor cannot do so within a reasonable time, accept return of the Software and refund the prepaid license fee for the affected Software, in which case the license terminates.
13.3 Disclaimer. EXCEPT AS EXPRESSLY STATED IN SECTION 13.1, THE SOFTWARE, SUPPORT, AND ANY SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” LICENSOR DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT IT WILL MEET LICENSEE’S REQUIREMENTS.

14. Compliance with Laws; Export; Sanctions
14.1 Compliance. Each Party will comply with applicable laws in connection with its performance under this Agreement.
14.2 Export Control. The Software may be subject to U.S. and other jurisdictions’ export control and sanctions laws. Licensee shall not export, re-export, or provide the Software or related technical data to any embargoed country, prohibited party, or for prohibited end uses, and shall obtain any required authorizations.
14.3 Anti-Corruption. Licensee will not offer, pay, solicit, or accept bribes or kickbacks in relation to this Agreement.

15. Indemnification
15.1 By Licensor. Licensor will defend Licensee against any third-party claim alleging that Licensee’s authorized use of the Software infringes a valid intellectual property right (a Claim), and will pay damages finally awarded by a court of competent jurisdiction or amounts agreed in settlement by Licensor.
15.2 Exclusions. Licensor has no obligation for any Claim to the extent arising from: (a) use of the Software not in accordance with the Documentation or this Agreement; (b) modification of the Software by anyone other than Licensor; (c) combination or use of the Software with products, data, or services not provided by Licensor where the Claim would not have arisen but for such combination; (d) use of other than the current version, if the infringement would have been avoided by using a current version provided; or (e) Compliance with Licensee’s designs or instructions.
15.3 Remedies. If the Software is, or in Licensor’s opinion is likely to become, the subject of a Claim, Licensor may, at its option and expense: (a) procure the right for Licensee to continue using the Software; (b) replace or modify the Software to make it non-infringing without materially reducing functionality; or (c) terminate the license to the affected Software and refund a pro rata portion of prepaid fees for the remaining license term.
15.4 Procedure. The obligations in this Section 15 are conditioned on Licensee: (a) promptly notifying Licensor of the Claim; (b) giving Licensor sole control of the defense and settlement; and (c) providing reasonable cooperation. Licensor will not settle any Claim that imposes non-monetary obligations on Licensee without Licensee’s prior written consent (not to be unreasonably withheld).
15.5 By Licensee. Licensee will defend and indemnify Licensor against third-party claims arising from: (a) Licensee’s breach of Sections 3, 9, or 14; (b) Customer Data or combinations directed by Licensee; or (c) use of the Software in violation of law or third-party rights.

16. High Risk Activities
The Software is not designed for use in hazardous environments requiring fail-safe performance (e.g., nuclear facilities, aviation, medical devices, life support, or weapons systems). Licensee shall not use the Software in any High Risk Activities where a failure could lead to death, personal injury, or severe environmental or property damage.

17. Limitation of Liability
17.1 Exclusion of Certain Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR SUCH DAMAGES WERE FORESEEABLE.
17.2 Cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT WILL NOT EXCEED THE FEES PAID OR PAYABLE BY LICENSEE TO LICENSOR FOR THE SOFTWARE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
17.3 Exclusions from Cap. The limitations in Section 17.2 do not apply to: (a) Licensee’s payment obligations; (b) either Party’s breach of Section 11 (Confidentiality); (c) a Party’s indemnification obligations under Section 15; or (d) a Party’s willful misconduct or fraud.
17.4 Allocation of Risk. The Parties agree the fees reflect the allocation of risk set forth in this Agreement and that the limitations in this Section are essential elements of the bargain between the Parties.

18. Term; Termination; Suspension
18.1 Term. This Agreement begins on the Effective Date and continues until all license terms under all Orders have expired, unless terminated earlier in accordance with this Agreement.
18.2 Termination for Cause. Either Party may terminate this Agreement or an affected Order upon written notice if the other Party materially breaches and fails to cure within thirty (30) days after written notice describing the breach.
18.3 Effect of Termination. Upon termination or expiration of a license, Licensee will immediately cease use of the applicable Software, remove it from all systems, and certify destruction or deletion of all copies and license keys, except for one archival copy retained solely for compliance purposes.
18.4 Assignment. Neither Party may assign this Agreement without the other Party’s prior written consent, not to be unreasonably withheld, except either Party may assign to its Affiliate or in connection with a merger, acquisition, or sale of substantially all assets, provided the assignee is not a direct competitor of the non-assigning Party and assumes all obligations.
18.5 Suspension. Licensor may suspend licenses upon written notice if Licensee materially violates Section 3 or fails to pay undisputed amounts more than thirty (30) days past due and fails to cure within ten (10) days after notice.

19. Government End Users
The Software is commercial computer software. If Licensee is a U.S. Government end user or is licensing on behalf of such end user, Licensee acknowledges that the Software is provided subject to the restrictions in FAR 12.212 and DFARS 227.7202, as applicable.

20. Insurance (optional)
Licensor will maintain during the Term industry-standard insurance, including commercial general liability and technology errors and omissions/cyber liability with limits commercially reasonable for a company of Licensor’s size and risk profile, and will provide certificates upon reasonable request.

21. Notices
All notices must be in writing and delivered to the addresses first above written (or to updated addresses notified in writing) by personal delivery, certified mail (return receipt requested), or reputable overnight courier. Notices are deemed given when received.

22. Governing Law; Venue; Injunctive Relief
22.1 Governing Law. This Agreement is governed by the laws of [Governing Law State/Country], without regard to conflicts of law principles.
22.2 Venue. The Parties consent to the exclusive jurisdiction and venue of the state and federal courts located in [Venue], and waive any objection to venue or forum non conveniens.
22.3 Injunctive Relief. Neither Party is liable for delays or failures caused by events beyond its reasonable control, including acts of God, natural disasters, terrorism, war, labor disputes, government actions, utility failures, or widespread internet outages, provided the affected Party uses reasonable efforts to mitigate and resume performance.

24. Miscellaneous
24.1 Entire Agreement; Order of Precedence. This Agreement, together with all Orders and Schedules, constitutes the entire agreement and supersedes all prior or contemporaneous agreements and representations regarding the subject matter. In the event of conflict: (1) the Order controls; (2) then this Agreement; (3) then the Schedules; (4) then the Documentation.
24.2 Amendments; Waiver. Any amendment must be in writing and signed by both Parties. A waiver must be in writing and signed by the waiving Party and will not be construed as a waiver of any other term or any subsequent breach.
24.3 Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.
24.4 No Third-Party Beneficiaries. There are no third-party beneficiaries to this Agreement.
24.5 Independent Contractors. The Parties are independent contractors. This Agreement does not create any partnership, joint venture, or agency relationship.
24.6 Headings; Interpretation. Headings are for convenience only. The words including, include, and includes are deemed to be followed by the phrase without limitation. The English language version of this Agreement controls.
24.7 Counterparts; Electronic Signatures. This Agreement may be executed in counterparts, including by electronic signatures and PDF copies, each of which is deemed an original and together constitute one instrument.
