基础保密协议(公司—投资人) 本保密协议(“本协议”)由以下双方于[]年[]月[]日在[]签署: 一、披露方(“公司”):[公司全称],统一社会信用代码:[],住所:[],法定代表人:[]。 二、接收方(“投资人”):[投资方全称],证照/注册号:[],住所/营业地址:[],授权代表:[]。 公司与投资人以下合称“双方”,单称“一方”。 鉴于:(1)双方拟就[股权/可转债/其他融资方式]及/或相关商业合作进行接洽、尽职调查与谈判;(2)为此,公司拟向投资人披露与其业务、财务、技术、客户及其他事项有关的保密信息。双方经协商一致,订立本协议如下: 1. 定义与解释 1.1 “保密信息”系指公司以口头、书面、图像、电子数据室、样品或其他形式向投资人或其代表(定义见1.3条)披露的、标注“保密”或据其性质应合理视为保密的信息,包括但不限于:商业计划、财务报表与预测、估值与交易条款、股权结构与股东信息、合同与客户/供应商信息、产品路线图与研发资料、源代码与技术诀窍、数据集与数据字典、内部管理制度、人力资源信息、涉诉及合规资料、本协议之存在与洽谈进展及结果、尽调问卷与数据室全部内容等。无论该等信息是否以“商业秘密”名义披露,均构成本协议项下保密信息。 1.2 “商业秘密”指不为公众所知悉、能为权利人带来经济利益、具有实用性并经权利人采取保密措施的信息,包括技术信息与经营信息(参见《中华人民共和国反不正当竞争法》第九条、《中华人民共和国民法典》第一百二十三条)。 1.3 “代表”指一方之董事、监事、高级管理人员、雇员,以及为本次交易之目的而被该方聘请且负有相当保密义务的律师、会计师、财务顾问、投行、技术顾问、潜在共投方、资金出资人及其必要的关联方/控制实体。 1.4 本协议中使用之“包括/包含”均不构成限制之意。 2. 目的与使用限制 2.1 投资人仅得为评估与公司之潜在投资/交易(“目的”)合理必要之范围内使用保密信息,不得用于任何与目的无关或与公司竞争之用途。 2.2 除本协议允许之情形外,投资人不得向任何第三方披露保密信息。 3. 保密义务与注意义务 3.1 投资人应对保密信息严格保密,至少以不低于其对自有同等重要信息所采取之合理审慎标准进行保护,并建立访问控制、最小必要知悉、资料分类、加密与留痕等措施。 3.2 投资人仅可向为达成目的确有知悉必要之其代表披露保密信息,并确保该等代表受不低于本协议严格程度之书面保密义务约束。投资人应对其代表之行为承担连带责任。 3.3 口头披露之信息若于披露后[10]个工作日内由公司书面确认其保密性质,亦构成保密信息。 4. 例外情形 以下信息不受本协议限制,但投资人就适用该等例外负有举证责任: 4.1 在公司披露时已为合法公开或非因投资人之过错而后续成为公开的信息; 4.2 投资人能以书面证据证明在公司披露前已合法知悉的信息; 4.3 投资人独立开发且未使用或参考保密信息而获得的信息; 4.4 投资人自第三方合法取得且不受保密义务限制的信息。 5. 强制披露 5.1 若投资人因法律、司法/行政机关、证券交易场所或监管机构之要求必须披露保密信息,应在法律允许范围内于合理时间内书面通知公司,并与公司善意协作寻求保密令、非公开提交、删节披露或其他保护措施,仅在必要范围内披露并标注保密性质。 5.2 任何强制披露不构成放弃对其他信息之保密义务。 6. 证券法与内幕信息合规 6.1 投资人确认保密信息可能构成对公司或其关联证券具有重大影响的内幕信息,承诺遵守适用证券法律法规(包括《中华人民共和国证券法》及自律规则)之禁止性规定。 6.2 在该等信息依法公开并经过法定冷静期前,投资人及其代表不得: - 直接或间接买卖、建议他人买卖或以其他方式交易公司或其关联主体发行、上市或交易之证券及其衍生品; - 向任何无知悉必要之第三方泄露相关内幕信息。 6.3 因违反本条导致的任何监管调查、处罚、民事索赔与损失,由投资人自行承担并使公司免责。 7. 资料管理、返还与销毁 7.1 公司可随时书面要求投资人停止使用、返还或销毁全部保密信息及其载体、摘录与复制件(含电子备份),并出具经适当签署之书面证明。法律/合规留存所必需之副本可在仅限合规目的之条件下保留,继续受本协议约束。 7.2 投资人应自其系统与设备合理删除电子数据,并采取商业上合理措施促使其云服务/存储供应商同步删除可控范围内之副本。 8. 知识产权与不授予许可 8.1 保密信息及其相关的全部权利、所有权与权益归公司所有。除为目的之有限使用外,本协议未授予投资人任何明示或默示之许可、转让或其他权利。 8.2 未经公司事先书面同意,投资人不得对保密信息进行逆向工程、反编译或反汇编。 9. 信息准确性与不构成要约 9.1 保密信息按“现状”提供,不构成公司之任何明示或默示保证。公司对其完整性、准确性或适销性不承担保证责任,但不免除其因恶意或重大过失导致之法律责任。 9.2 本协议及任何保密信息之披露不构成对交易之要约、承诺或保证。除非双方另行签署具约束力的交易文件,否则任何一方均无义务达成交易或继续谈判。 10. 期限 10.1 本协议自双方签署/盖章之日生效。 10.2 对于非商业秘密的保密信息,投资人的保密义务自最后一次披露之日起持续[5]年;对于构成商业秘密的信息,保密义务在该信息依法保持不为公众所知悉且公司持续采取保密措施之期间内持续有效,不受前述期限限制。 10.3 本协议之终止不影响在终止前已发生之违约责任与第6、7、8、11、12、13、14、15条之继续有效。 11. 违约与救济 11.1 投资人违反本协议的,公司有权要求:立即纠正违约、停止使用与披露、采取补救措施、返还/销毁保密信息,并赔偿因此遭受的全部损失,包括直接损失、可得利益损失、调查与取证成本、律师费及为防止损害扩大所支出的合理费用。 11.2 双方确认保密义务具有不可弥补的损害风险,公司有权在不提供或少提供担保的情况下向有管辖权的法院或仲裁庭申请禁令、临时禁令、保全等衡平救济。 11.3[可选]双方同意约定违约金人民币[]元;如不足以弥补损失,公司有权请求增加违约金或另行主张损害赔偿。 12. 数据合规与跨境传输 12.1 如保密信息包含个人信息或重要数据,双方应遵守《中华人民共和国个人信息保护法》《数据安全法》及其他适用规范,明确处理目的、范围与期限,采用去标识化/匿名化等技术措施,并确保合法合规的处理基础。 12.2 涉及向境外提供个人信息或重要数据的,双方应依照适用法律完成安全评估、标准合同备案或认证等必要程序,并在必要时取得个人信息主体的单独同意或提供充分的告知。 12.3 投资人不得将保密信息用于用户画像、自动化决策或其他超出目的必要范围之处理。 13. 通知 13.1 与本协议有关之通知应以书面形式通过专人递送、快递或发送至双方下述预留电子邮件/地址之方式送达。联系人及联系信息如下:公司:[姓名/邮箱/地址];投资人:[姓名/邮箱/地址]。信息变更应书面通知对方。 13.2 电子邮件于发送至预留邮箱并无退信时视为送达;快递以签收日为送达日。 14. 转让与关联方 14.1 未经对方事先书面同意,任何一方不得转让其在本协议项下之权利或义务。但公司为重组、并购或控制权变更之目的进行的整体承继不在此限。 14.2 投资人不得以与其关联方共投、基金分层等为由减轻其在本协议项下之责任。 15. 适用法律与争议解决 15.1 本协议适用中华人民共和国法律(为本条之目的不含香港、澳门、台湾地区法律)。 15.2 因本协议引起或与之有关的任何争议,首先由双方友好协商解决;协商不成的,提交中国国际经济贸易仲裁委员会(CIETAC)于[北京/上海/深圳]按照其届时有效的仲裁规则仲裁,仲裁语言为中文,仲裁员为[一名/三名]。仲裁裁决为终局,对双方均有约束力。为申请临时措施或执行裁决之目的,任何一方可向有管辖权之法院申请保全或强制执行。 [可选法院管辖版本:由公司住所地有管辖权的人民法院专属管辖。二者择一保留其一。] 16. 完整协议与可分割性 16.1 本协议构成双方就本协议标的之完整协议,取代此前就该等事项达成的口头或书面谅解、备忘或通信记录。 16.2 若本协议任一条款被认定为无效、违法或不可执行,不影响其他条款之效力。该等条款应在法律允许最大范围内予以有效化或以最接近双方意图之条款替代。 17. 副本与签署 17.1 本协议可签署为若干份,每份均为正本,具有同等法律效力。可通过可靠的电子签名方式签署并交换,依据《中华人民共和国电子签名法》具同等法律效力。 17.2 双方确认已就本协议条款充分理解并获得必要之独立法律咨询。 [可选附加条款——非招揽]自本协议生效之日起至目的终止后[12]个月内,未经公司事先书面同意,投资人及其代表不得直接或间接招揽或雇用其在接触过程中接触到的公司关键员工(一般员工不在此限)。若因该等雇用系由员工自行主动联系且未因投资人招揽或引诱而发生的,不视为违反本条。 签署页无正文 披露方(公司):[] 法定代表人/授权代表签字:[] 日期:[] (公司公章) 接收方(投资人):[] 法定代表人/授权代表签字:[] 日期:[] (公章/签章) 重要提示与使用说明: - 本协议为基础模板,供公司—投资人情境下通用使用。具体期限、违约金、数据合规路径、争议解决方式等需结合交易规模、信息敏感度、监管适用性与各方法律地位进行定制。 - 如涉及境外投资人、上市公司、红筹架构、VIE安排、军工/特定行业许可或敏感数据跨境传输,请在签署前取得专项法律意见并同步完善证券合规与数据出境合规条款。
MUTUAL NON‑DISCLOSURE AGREEMENT (DEPARTMENT–SUPPLIER) This Mutual Non‑Disclosure Agreement (Agreement) is entered into as of [Effective Date] (the Effective Date) by and between: (i) [Department Legal Name], a [entity type and jurisdiction] with a principal place of business at [address] (Department); and (ii) [Supplier Legal Name], a [entity type and jurisdiction] with a principal place of business at [address] (Supplier). Department and Supplier are each a Party and collectively the Parties. RECITALS A. The Parties anticipate exchanging certain confidential, proprietary, and/or trade secret information in connection with evaluating, negotiating, or performing a potential or existing supplier relationship, including procurement of goods and/or services (the Purpose). B. The Parties desire to protect the confidentiality and restricted use of such information in accordance with the terms herein. NOW, THEREFORE, for good and valuable consideration, the sufficiency and receipt of which are hereby acknowledged, the Parties agree as follows: 1. Definitions. 1.1 Confidential Information means any non‑public information disclosed, directly or indirectly, by or on behalf of a Party (Discloser) to the other Party (Recipient), in any form (including written, oral, visual, electronic, or sample), that (a) is designated as confidential or proprietary at the time of disclosure or within thirty (30) days thereafter (with a summary reasonably identifying the information), or (b) by its nature or the circumstances of disclosure a reasonable person would understand to be confidential. Confidential Information includes, without limitation: business plans; pricing, quotes, proposals, and RFP/RFQ responses; customer and supplier lists; contracts and terms; financial data; product roadmaps; specifications; designs; drawings; software (including source and object code), firmware, APIs, schemas, and algorithms; manufacturing methods; test data; quality records; performance metrics; security and architecture documentation; personal data; and the existence and content of discussions between the Parties. 1.2 Trade Secret means information that derives independent economic value from not being generally known and is subject to reasonable measures to maintain its secrecy, as defined by applicable law. 1.3 Personal Data means any information relating to an identified or identifiable natural person, to the extent regulated under applicable data protection or privacy laws. 1.4 Representatives means a Party’s and its Affiliates’ employees, officers, directors, agents, contractors, professional advisors, and potential financing sources who have a strict need to know for the Purpose and are bound by confidentiality obligations no less protective than those herein. 1.5 Purpose has the meaning set forth in Recital A. 2. Restrictions on Use and Disclosure. 2.1 Non‑Use. Recipient shall use Discloser’s Confidential Information solely for the Purpose and for no other purpose, including not for competitive, reverse engineering, or benchmarking purposes without express prior written consent. 2.2 Non‑Disclosure and Standard of Care. Recipient shall hold Confidential Information in strict confidence and shall not disclose it to any person other than its Representatives. Recipient shall protect Confidential Information using at least the degree of care it uses to protect its own like information, and in any event no less than a commercially reasonable standard of care. 2.3 Responsibility for Representatives. Recipient is responsible for any breach of this Agreement by its Representatives and shall ensure they comply with its terms. 2.4 No Reverse Engineering. Recipient shall not analyze, decompile, disassemble, or otherwise reverse engineer any samples, software, technology, or other tangible embodiments of Confidential Information, except to the limited extent expressly permitted by applicable law notwithstanding contractual restrictions (and then only after providing advance written notice to Discloser). 3. Exclusions. Confidential Information does not include information that Recipient can demonstrate by contemporaneous documentation: (a) is or becomes publicly available through no breach of this Agreement by Recipient or its Representatives; (b) was rightfully known to Recipient without restriction prior to disclosure by Discloser; (c) is independently developed by Recipient without use of or reference to Discloser’s Confidential Information; or (d) is rightfully obtained by Recipient from a third party without breach of any obligation of confidentiality. Any combination of features shall not be deemed public merely because individual features are public, unless the combination as a whole is public. 4. Permitted Disclosures; Compelled Disclosures. 4.1 Advisors and Potential Financing Sources. Recipient may disclose Confidential Information to its professional advisors and potential financing sources solely as necessary for the Purpose, provided they are bound by confidentiality obligations at least as protective as this Agreement. 4.2 Compelled Disclosure. If Recipient or its Representatives are required by law, regulation, stock exchange rule, or court/administrative order to disclose Confidential Information, Recipient may do so, provided that (to the extent legally permitted) Recipient gives Discloser prompt written notice to allow Discloser to seek a protective order or other appropriate remedy and discloses only that portion of Confidential Information that Recipient is legally required to disclose. Any information so disclosed shall remain Confidential Information for all other purposes. 5. Security and Data Protection. 5.1 Security Measures. Recipient shall implement and maintain administrative, technical, and physical safeguards appropriate to the sensitivity of the Confidential Information and consistent with industry standards to protect against unauthorized access, use, alteration, or disclosure. 5.2 Personal Data. To the extent Confidential Information includes Personal Data, Recipient shall comply with applicable data protection and privacy laws (including, as applicable, the EU/UK GDPR, and analogous federal, state, provincial, or national laws). If required by such laws, the Parties will execute additional data processing terms. Recipient shall promptly notify Discloser of any actual, confirmed unauthorized access to Confidential Information that constitutes a personal data breach under applicable law and cooperate in required notifications and mitigation. 6. Return and Destruction. Upon the earlier of Discloser’s written request or termination/expiration of the Purpose, Recipient shall promptly (a) cease all use of Confidential Information, and (b) return or destroy all Confidential Information, including copies and extracts, and certify such destruction in writing upon request. Recipient may retain (i) copies in routine backup media that are not readily accessible in the ordinary course of business and that will be destroyed in accordance with standard retention cycles, and (ii) one archival copy solely to comply with legal or regulatory obligations or for evidence of compliance with this Agreement, in each case subject to continued confidentiality and non‑use obligations. 7. Ownership; No License. All Confidential Information is and remains the exclusive property of Discloser. No license or other right, express or implied, is granted under any intellectual property right of Discloser by virtue of any disclosure, except the limited right to use Confidential Information for the Purpose in accordance with this Agreement. 8. Warranties and Disclaimers. ALL CONFIDENTIAL INFORMATION IS PROVIDED “AS IS.” DISCLOSER DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, TITLE, NON‑INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE. Nothing in this Agreement obligates either Party to proceed with any transaction or relationship. 9. Term; Survival. 9.1 Term. This Agreement commences on the Effective Date and continues for [two (2)/three (3)/five (5)] years unless earlier terminated by either Party upon thirty (30) days’ written notice. 9.2 Survival. Recipient’s obligations with respect to Confidential Information disclosed during the Term survive for a period of [five (5)] years from the last disclosure; provided, however, that with respect to any Trade Secret, such obligations survive for so long as the information continues to qualify as a trade secret under applicable law. 10. Equitable Relief; Remedies. 10.1 Irreparable Harm. Recipient acknowledges that unauthorized use or disclosure of Confidential Information may cause irreparable harm to Discloser for which monetary damages may be an inadequate remedy. Accordingly, in addition to all other remedies available at law or equity, Discloser is entitled to seek immediate injunctive or other equitable relief to prevent or curtail any actual or threatened breach, without the necessity of posting bond to the extent permitted by law. 10.2 Cumulative Remedies. All rights and remedies are cumulative and not exclusive of any other rights or remedies provided by law or equity. 11. Export Controls and Sanctions. Recipient shall not export, re‑export, or transfer any Confidential Information in violation of applicable export control, sanctions, or trade laws, including those administered by [e.g., the U.S. Department of Commerce (EAR) and U.S. Department of the Treasury (OFAC)] and analogous authorities. Recipient shall implement internal controls to ensure compliance and shall not provide access to restricted parties. 12. Anti‑Corruption Compliance. Each Party shall comply with applicable anti‑corruption and anti‑bribery laws in connection with the Purpose, including (as applicable) the U.S. Foreign Corrupt Practices Act and the UK Bribery Act, and shall not offer, promise, give, request, or accept anything of value to improperly influence any act or decision. 13. Publicity; Use of Name. No Party shall, without the other Party’s prior written consent, use the other Party’s name, logo, or trademarks, or refer to the other Party or this Agreement in any publicity, press release, marketing material, securities filing, or external communication, except as required by law or regulation (in which case Section 4.2 applies). 14. Independent Development. Nothing in this Agreement restricts either Party from independently developing products, services, or information that compete with or are similar to those disclosed by the other Party, provided no use is made of the other Party’s Confidential Information in doing so. 15. Assignment; Successors. Neither Party may assign this Agreement, in whole or in part, without the prior written consent of the other Party, except to an Affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of substantially all assets, provided that the assignee assumes all obligations herein. Any prohibited assignment is void. Subject to the foregoing, this Agreement binds and benefits the Parties and their permitted successors and assigns. 16. Order of Precedence. If the Parties enter into a definitive procurement or master services agreement that includes a confidentiality clause covering the same subject matter, then, unless expressly stated otherwise in such later agreement, the confidentiality clause of that later agreement shall supersede this Agreement to the extent of any conflict; otherwise, this Agreement remains in full force and effect. 17. Notices. All notices under this Agreement shall be in writing and shall be deemed given when (a) delivered personally, (b) sent by a reputable overnight courier with tracking, (c) sent by certified or registered mail (return receipt requested), or (d) sent by email with confirmation of transmission, in each case to the addresses below (or to such other address as a Party may designate by notice): - If to Department: [name/title, address, email] - If to Supplier: [name/title, address, email] 18. Entire Agreement; Amendments. This Agreement constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior and contemporaneous understandings regarding the same. Any amendment or modification must be in a written instrument executed by authorized representatives of both Parties. 21. Counterparts; Electronic Signatures. This Agreement may be executed in counterparts (including by PDF or electronic signature via a recognized e‑signature platform), each of which is deemed an original and all of which together constitute one and the same instrument. 22. No Agency; No Third‑Party Beneficiaries. Nothing herein creates any agency, partnership, joint venture, or employment relationship between the Parties. There are no third‑party beneficiaries to this Agreement. 23. U.S. Trade Secret Immunity Notice (if applicable). To the extent U.S. law applies and Recipient is an employer binding its employees or contractors to this Agreement, notice is hereby provided under 18 U.S.C. § 1833(b) that an individual shall not be held criminally or civilly liable under any federal or state trade secret law for disclosure of a trade secret that (i) is made in confidence to a federal, state, or local government official, or to an attorney, solely for the purpose of reporting or investigating a suspected legal violation; (ii) is made in a complaint or other document filed under seal in a lawsuit or other proceeding; or (iii) is made to an attorney in connection with a lawsuit for retaliation for reporting a suspected legal violation. 销售—客户关系基础保密协议(双向) 本保密协议(“本协议”)由以下双方于【年】年【月】月【日】日签订: 甲方:【公司名称】;统一社会信用代码:【】;住所地:【】;法定代表人/负责人:【】。 乙方:【公司名称】;统一社会信用代码:【】;住所地:【】;法定代表人/负责人:【】。 鉴于:双方拟就产品/服务的销售、采购、试用、报价、技术交流、售前/售后服务及由此引发的商务合作(统称“合作事项”)进行接洽或开展合作,需就合作事项相互披露或可能获悉对方的保密信息。双方本着合法、诚信与必要最小化原则,依据《中华人民共和国民法典》《中华人民共和国反不正当竞争法》《中华人民共和国个人信息保护法》《中华人民共和国数据安全法》《中华人民共和国电子签名法》等相关法律法规,就保密义务达成本协议。 一、定义 1.1 保密信息:系指一方及其关联方(“披露方”)向另一方及其关联方(“接受方”)在合作事项中以书面、口头、图像、样品、实物、电子数据或其他任何形式披露或接受方以观察、访问、测试等方式获悉的、具有保密性或商业价值的信息,包括但不限于:商业计划、定价与折扣、报价与订单、客户/供应商信息、市场策略、销售数据、项目方案、演示、需求与规范、原始数据、合同文本及往来邮件、技术资料(含产品结构、接口、源码片段、算法、测试数据、缺陷与改进建议)、知识产权布局、财务与人力资源信息、合规与审计资料、个人信息及其他依法受保护的信息。无论是否标注“保密”“机密”或等同标识,凡依交易习惯或合理人标准应当认定为保密的信息,均属“保密信息”。保密信息的摘要、摘录、笔记、复制件、派生物与分析结果同属保密信息。 1.2 个人信息、重要数据、商业秘密:分别以适用法律之定义为准。 1.3 关联方:就任一方而言,系指直接或间接控制该方、受该方控制或与该方共同受第三方控制的实体。 二、目的与使用限制 2.1 接受方仅得为实现合作事项之评估、谈判、签约与履行之必要目的使用保密信息,不得用于任何与前述目的无关之用途。 2.2 未经披露方事先书面同意,接受方不得对任何样品、演示版本、接口或其他承载保密信息的载体实施反向工程、反向编译或反汇编,不得规避技术保护措施。 2.3 接受方不得以保密信息为基础对披露方的客户进行不当绕开、挖角或不正当竞争,亦不得以保密信息为依据对披露方产品/服务作误导性陈述或比较。 三、保密义务与安全措施 3.1 接受方应对保密信息严格保密,采取不低于保护其自有同等重要信息的保护措施,并至少采取符合行业通行标准的合理谨慎措施。 3.2 接受方仅可在“知情且必要”范围内向受其控制的员工、管理人员、关联方、外部专业顾问(含律师、会计师、咨询机构)及合规要求之审计/监管人员披露,前提是该等人员承担不低于本协议强度的保密义务,由接受方监督其遵守,并对其违约行为承担连带责任。 3.3 接受方未经披露方书面同意,不得复制、改写或以其他方式再加工保密信息;确属必要的复制应标注相同保密标识并建立访问、留存与销毁台账。 3.4 接受方应建立分级分类管理、访问控制、最小权限、加密传输与存储、日志留存与异常告警等安全措施,并确保境内外系统与人员访问符合适用法律的跨境、分级与留存要求。 四、例外情形 以下情形不视为违反本协议,惟接受方负有举证责任: 4.1 披露时已为公众所知悉,或非因接受方过错而公开者; 4.2 接受方在披露前已合法占有且不受保密义务约束者; 4.3 接受方独立开发且未利用披露方保密信息者; 4.4 接受方从无保密义务之第三方正当获取者; 4.5 基于法律、行政/司法命令或有权监管机关要求必须披露者,但在法律允许范围内,接受方应于披露前及时书面通知披露方并协助申请保密处理或限制披露范围。 五、个人信息与数据合规 5.1 如保密信息包含个人信息或重要数据,双方应遵循合法、正当、必要、诚信原则,实行最小充分性、目的限定与期限限定管理,依法履行个人信息处理者义务,并在必要时签署专项数据处理协议,明确处理目的、范围、类型、安全措施、委托处理(如有)及删除/返还要求。 5.2 跨境提供或境外访问个人信息或重要数据的,双方应依适用法律完成安全评估、标准合同备案或认证等程序,并确保境外接收方承担不低于本协议之保密与安全义务。 六、权利归属与不授予 6.1 保密信息及其所有权、知识产权、相关衍生权益均归披露方或其权利人所有。本协议不构成对任何专利、著作权、商标、商业秘密或其他权利的许可或转让。 6.2 除双方另行书面约定外,披露方对保密信息不作任何明示或默示保证,接受方据此产生之风险自行承担;但该免责不免除披露方依法应承担的质量、安全或强制性义务(如适用)。 七、期限与存续 7.1 本协议自双方签署/加盖公章之日起生效,至【三(3)/五(5)】年期满终止;但在任一方书面通知对方或双方签订后续主合同时亦可另行约定终止日。 7.2 对于构成商业秘密的保密信息,接受方之保密义务自披露之日起持续至该信息不再符合商业秘密之法定条件之日;对其他保密信息,保密义务自本协议终止之日起不少于【三(3)/五(5)】年持续有效。 八、资料返还与销毁 8.1 披露方可书面要求接受方在【10】个工作日内返还或销毁全部保密信息及其载体(含备份、摘录与派生物)。如法律法规或监管要求需留存的,接受方应仅为合规目的最小化留存,并继续履行保密与安全义务。 8.2 接受方应在完成返还/销毁后【10】个工作日内向披露方出具经授权签署的书面证明,必要时提供销毁记录或第三方凭证。 九、违约责任与救济 9.1 接受方违反本协议的,披露方有权要求其立即纠正、停止侵害、返还/销毁保密信息、采取补救措施,并赔偿由此造成的全部损失,包括但不限于调查取证、鉴定、公证、律师费、诉讼/仲裁费及为防止损害扩大所支出的合理费用。 9.2 双方确认,如发生或可能发生违反保密义务之情形,因金钱赔偿不足以弥补损失,守约方有权依法向有管辖权的法院或仲裁机构申请行为保全、禁令或其他衡平法上救济。 9.3 如接受方之员工、关联方、受托人或顾问违反本协议,视为接受方之违反,由接受方承担连带责任。 十、出口管制与合规 10.1 如保密信息受出口管制、技术封锁或制裁措施约束,接受方应遵守中国及信息来源国/地区的适用管制规定,不得将保密信息用于或提供给被限制的国家/地区、实体或个人。 10.2 双方承诺在合作事项中遵守反商业贿赂、反不正当竞争与贸易合规等法律法规。 十一、转让与分包 11.1 未经对方事先书面同意,任何一方不得转让本协议项下的权利义务。但为实现集团内部重组、分立、合并或将与合作事项相关的业务整体转移至关联方的,该方可将本协议项下权利义务整体转让予其关联方,并应提前书面通知对方,确保受让方承担不低于本协议之义务。 11.2 接受方如需委托第三方处理保密信息,须事先取得披露方书面同意,并与受托方签订不低于本协议强度的保密与数据安全协议。 十二、适用法律与争议解决 12.1 本协议受中华人民共和国法律(为本条之目的不包括冲突规范)管辖并依其解释。 12.2 因本协议引起的或与本协议有关的任何争议,双方应首先友好协商解决;协商不成的,按以下方式之一解决(以勾选/填写为准): (A)提交【中国国际经济贸易仲裁委员会/北京仲裁委员会/上海国际仲裁中心】按其届时有效的仲裁规则在【北京/上海/深圳】仲裁,仲裁裁决为终局,对双方均有约束力;或 (B)向【被告住所地/本协议签署地/披露方住所地】有管辖权的人民法院提起诉讼。 12.3 在争议解决期间,除争议事项外,双方应继续履行本协议项下其他条款。 十三、通知 13.1 与本协议相关的通知、要求与其他通信应以书面形式通过专人送达、挂号信、快递或发送至双方以下有效联系方式,或经书面通知变更的其他地址/邮箱: 甲方通知地址与邮箱:【】;联系人与电话:【】。 乙方通知地址与邮箱:【】;联系人与电话:【】。 13.2 电子邮件通知在成功发出后【一个】工作日视为送达;快递在物流显示签收之日视为送达,法律另有强制规定的从其规定。 十四、其他 14.1 完整协议:本协议构成双方就本协议标的之完整协议,并取代此前与该保密义务有关的口头或书面约定;但双方另行签署之主合同中保密条款与本协议不一致的,以对保密义务更为严格者为准。 14.2 修订与弃权:对本协议的任何修改、补充或弃权须以书面形式经双方正式授权代表签署方为有效。任何一方在某一情形下未主张权利不构成对该权利或其他权利之放弃。 14.3 可分割:本协议任何条款被判定无效或不可执行,不影响其余条款之效力。无效或不可执行条款应在法律允许范围内以最接近于该条款目的之替代条款替换。 14.4 副本与电子签署:本协议可签署【两】份或以上副本,各份具有同等法律效力;双方可通过符合适用法律的电子签名方式签署并具有同等法律效力。 14.5 语言:本协议以中文签署与解释。如有译本,仅供参考。 签署页(无正文) 甲方(盖章):____________________ 法定代表人/授权代表(签字):________ 日期:____________________________ 乙方(盖章):____________________ 法定代表人/授权代表(签字):________ 日期:____________________________ 实务提示(签署前删除): - 请根据实际业务选择争议解决方式与保密期限,对涉及个人信息/跨境传输的场景另行签署数据处理或标准合同条款。 - 对涉及样品测试、源代码或接口披露的情形,可增加“禁止逆向工程”与“安全测试范围”细化条款。
